WHEREAS, by virtue of the resignation of Bobby Joe Graves effective December 31, 2012 a vacancy will exist in the position of Constable, Ward 6, Ouachita Parish, Louisiana; and,

CALL TO ORDER
A regular meeting of the Board of Commissioners, Hospital Service District No. 1 of the Parish of Ouachita, State of Louisiana was called to order at 4: 30 P.M. at the Sage Restaurant, 1301 North 19th Street, Monroe, Louisiana, by Steve Hall, Chairman of the Board of Commissioners. All references to the “District” refer to the Hospital Service District No. 1 of the Parish of Ouachita, State of Louisiana. All references to the “Foundation” refer to the Living Well Foundation.

APPROVAL OF MINUTES OF DISTRICT BOARD MEETING OF NOVEMBER 20, 2012
After review of the minutes of the District’s November 20, 2012 Board meeting, a motion was made by Mr. Spencer and seconded by Mr. Mulhearn to adopt the minutes as presented and the motion was unanimously approved.
EXECUTIVE SESSION FOR PURPOSES OF STRATEGIC PLANNING, INCLUDING WITH RESPECT TO THE FUTURE OF THE WELLNESS CENTER AND RELATIONS WITH GRMC, GLENWOOD RESOLUTION AUTHORITY, INC., AND THE LIVING WELL FOUNDATION
A motion was made by Mr. Gilley, seconded by Mr. Spencer, and unanimously approved for the Board of Commissioners to go into executive session for the purposes of strategic planning, including reviewing the Wellness Center monthly financial statements.
Mrs. Culp, Executive Director of the Wellness Center, presented the Wellness Center monthly financial statements and her management report.
Mrs. Watson motioned, Mr. Mulhearn seconded, and the Commissioners present approved the motion to go back into public session.
REVIEW OF CURRENT FINANCIALS OF DISTRICT (OTHER THAN THE WELLNESS CENTER)
Mr. Hall presented the monthly financials of the District (other than the Wellness Center) ending November 30, 2012.
ADOPTION OF THE DISTRICT’S 2013 BUDGET

After due discussion, Mr. Mulhearn proposed, Mr. Spencer seconded, and the Board of Commissioners unanimously adopted the following resolution:
RESOLVED, that the proposed budget for the Hospital Service District No. 1 of the Parish of Ouachita, State of Louisiana (the "District") for its 2013 fiscal year, beginning January 1, 2013 (the "2013 Budget"), as previously presented by the Chairman to the District and revised at this meeting, is hereby adopted.
RESOLVED, that the amounts set forth in the Appropriations sections and the Capital Expenditures section of the 2013 Budget are appropriated for the respective purposes for which they are set forth.
RESOLVED, that amounts are available for expenditure only to the extent included in the 2013 Budget.
RESOLVED, that the Chairman of the District may authorize transfers of any amounts between line items of expenditures within the General Government function, between line items of expenditures within the Wellness Center Operations function, or between line items of expenditures within the Capital Expenditures function.
RESOLVED, that the Executive Director of the Wellness Center may authorize transfers of any amounts between line items of expenditures within the Wellness Center Operations function.
RESOLVED, that the Chairman of the District is authorized to cause the District to incur liabilities and make expenditures budgeted in the General Government function, in the Wellness Center Operations function, or in the Capital Expenditures function for those respective purposes, provided, however, that the Chairman shall not cause to be made any individual expenditures in excess of $100,000 without further approval of the Board of Commissioners.
RESOLVED, that the Executive Director of the Wellness Center is authorized to cause the District to incur liabilities and make expenditures budgeted in the Wellness Center Operations function for that purpose; provided, however, that the Executive Director shall not cause to be made any individual expenditures in excess of $25,000 without further approval of the Board of Commissioners.
ADOPTION OF THE DISTRICT’S 2013 RATES
Mr. Spencer moved to consider the following resolution:
RESOLVED, that rates set forth on the Wellness Center Rates January 1, 2013 schedule presented to this meeting are approved for use with all membership contracts newly entered into or renewed after January 1, 2013.
Mrs. Watson seconded the motion. The Board proceeded to a vote, and the motion passed with the unanimous approval of the Commissioners present.
AMENDMENT OF DISTRICT’S 2012 BUDGET
The following resolution was offered by Mr. Spencer, seconded by Mrs. Watson, and unanimously approved by the Board of Commissioners:
RESOLVED, that the budget for the District for its 2012 fiscal year, beginning January 1, 2012 (the "2012 Budget") is amended and restated in its entirety to match the "Source/Appropriation" and "Capital Expenditures" columns (for the categories) and the "2012 Estimated" columns (for the figures) in the proposed budget for the District for its 2013 fiscal year, beginning January 1, 2013, as presented at this meeting.
RESOLVED, that the appropriation of the amounts set forth in the Appropriations sections and the Capital Expenditures section of the 2012 Budget and their expenditure in 2012 are approved and ratified for the respective purposes for which they are set forth.
ANNUAL ELECTION OF DISTRICT OFFICERS
The following resolution was offered by Mr. Mulhearn, seconded by Mr. Gilley, and unanimously approved by the Board of Commissioners:

ANNUAL ADOPTION OF DISTRICT BOARD REGULAR MEETING SCHEDULE
Mr. Gilley moved to consider the following resolution:
RESOLVED, that the Board of Commissioners hereby schedules its regular meetings during the calendar year 2013 for the third Tuesday of every month, at 11:30 a.m. at the Wellness Center, all as more fully set forth on the schedule presented at this meeting.
Mr. Spencer seconded the motion. The Board proceeded to a vote, and the motion passed with the unanimous approval of the Commissioners present.
APPROVAL OF RE-ENGAGEMENT OF ACCOUNTANTS FOR DISTRICT
Mr. Mulhearn moved to consider the following resolution:
RESOLVED, that the firm of Takewell & Hanna, APAC, is approved to continue to perform accounting services for the District, including with respect to the Wellness Center; that the engagement letter dated December 17, 2012, between the District and such firm is approved; and that the District's Chairman is authorized to sign the engagement letter on behalf of the District, with such changes, if any, as the Chairman may approve, such approval to be conclusively evidenced by the Chairman's signature.
Upon Mr. Gilley second, the Commissioners approved the resolution by the unanimous vote of those present.
REVIEW AND APPROVAL OF LIVING WELL FOUNDATION’S PROPOSED 2013 BUDGET
The Living Well Foundation’s proposed 2013 budget was reviewed and the following resolution was offered by Mr. Gilley, seconded by Mr. Spencer, and unanimously approved by the Board of Commissioners:
WHEREAS, Section 2.B(6) of the Cooperative Endeavor Agreement dated January 31, 2007 between the District and the Foundation provides, among other things, that the budget of the Foundation for each fiscal yearis subject to the approval of the District;
WHEREAS, the Foundation has presented to the District a proposed budget for fiscal year 2013;
RESOLVED, that the District hereby approves the Foundation's proposed 2013 budget as presented to the District.
ELECTION OF NEW DIRECTOR OF THE LIVING WELL FOUNDATION
Mr. Mulhearn moved to consider the following resolution:
WHEREAS, Susan Hoffman, previously nominated by the Foundation and elected by the District, resigned as a director of the Foundation earlier this year;
WHEREAS, the nominee recommendation committee of the Foundation has recommended, and the Board of Directors of the Foundation has nominated, Jimmy Snow to replace Susan Hoffman as a director of the Foundation;
RESOLVED, that Jimmy Snow is elected, effective immediately, to serve as a director of the Foundation, to fill the vacancy created by the resignation of Susan Hoffman for the balance of the unexpired term, which term continues until December 31, 2013, and thereafter until his successor is elected and has qualified, unless he sooner resigns or is removed from office.
Mrs. Watson seconded the motion. The Board proceeded to a vote, and the motion passed with the unanimous approval of the Commissioners present.
RECOGNITION OF COMMITTEES OF THE LIVING WELL FOUNDATION
Mr. Hall offered the following resolution:
Executive Committee
WHEREAS, Section 3.5 of the Foundation's Bylaws provides that the Executive Committee shall consist of the Board Chair, the Vice Chair for Finance/Investment, the Vice Chair for Programs/Grant Review, and the Vice Chair for Planning/Operations, each by virtue of office, and that the Board Chair shall act as chair of the committee, and that the Secretary of the Foundation shall act as secretary of the committee (but shall not be a member thereof);
WHEREAS, the nominee has recommended, and the Board of Directors of the Foundations has nominated, the persons elected to such offices for 2013 to comprise the Executive Committee for 2013, with Lori Pearce as the non-voting secretary;
RESOLVED, that the District recognizes that the Executive Committee will consist of the following persons in 2013:

WHEREAS, Section 3.9 of the Foundation's Bylaws provides that the Audit Committee shall consist of at least three directors designated by the Board of Directors, and that the members of the committee shall select one member of the committee to act as chair of the committee;
WHEREAS, the nominee recommendation committee of the Foundation has recommended, and the Board of Directors of the Foundation has nominated, the following persons to serve on the Audit Committee in 2013:

with Deion Hemphill nominated as chair of the committee.
RESOLVED, that the District interprets the nomination of the members of the committee as designations and therefore recognizes the foregoing persons as members of the Audit Committee in 2013, and, given that all three persons were present and voted in favor of the
nomination of Deion Hemphill as chair of the committee, the District recognizes Deion Hemphill as having been selected by the members of the committee to act as chair of the committee.
Upon Mr. Mulhearn second, the Commissioners approved the resolution by the unanimous vote of those present.
ELECTION OF PRESIDENT/CEO OF LIVING WELL FOUNDATION
After due discussion, Mr. Spencer proposed, Mr. Mulhearn seconded, and the Board of Commissioners unanimously adopted the following resolution:
WHEREAS, the nominee recommendation committee of the Living Well Foundation has recommended (by virtue of all of its members being present at the meeting of the Board of Directors and voting in favor of nomination without objection), and the Board of Directors of the Foundation has nominated, Alice Prophit to be the President/Chief Executive Officer of the Foundation;
RESOLVED, that Alice Prophit is elected the President/Chief Executive Officer of the Living Well Foundation, effective upon her becoming an employee of the Foundation.
REVIEW AND APPROVAL OF EMPLOYMENT TERMS OF PRESIDENT/CEO OF LIVING WELL FOUNDATION
Mr. Spencer moved to consider the following resolution:
WHEREAS, the Foundation has proposed the terms of employment for its proposed President/Chief Executive Officer, Alice Prophit, effective as of January 1, 2013;
RESOLVED, that the terms of employment of Alice Prophit, as President/Chief Executive Officer of the Foundation, as presented in writing at the meeting of the Board of Commissioners, are approved, with such additional changes as may be approved by the Chairman of the District.
Mr. Gilley seconded the motion. The Board proceeded to a vote, and the motion passed with the unanimous approval of the Commissioners present.
REVIEW AND APPROVAL OF LIVING WILL FOUNDATION’S APPOINTMENT OF AUDITOR
A motion was made by Mr. Mulhearn, seconded by Mr. Spencer, and unanimously passed to accept the following resolution:
WHEREAS, Section 2.B(7)(c) of the Cooperative Endeavor Agreement between the Foundation and the District provides that appointment of the Foundation's auditor requires, among other things, the approval of the Board of Commissioners of the District;
RESOLVED, that the Foundation's re-appointment of Luffey, Huffman, Ragsdale & Soignier is approved.

There were no comments. The Commissioners and their guests enjoyed dinner before adjourning for the evening.

The next regular scheduled meeting of the District will be held on Tuesday, January 15, 2013.

Proceedings of the Board of Commissioners of West Ouachita Sewerage District No. 5, Ouachita Parish, Louisiana. Taken at the office of the district, 327 Wallace Road, West Monroe, Louisiana. Monday, January 14, 2013.

Commissioner Hall called the meeting to order promptly at 11 a.m.
The first item on the agenda was an invoice from the city of West Monroe from the Sparta Water Reuse Project. Mr. Lazenby presented it in its entirety and an extensive discussion followed. Mr. Lazenby suggested the invoice be paid in full. Commissioner Owens made a motion to approve the payment and Commissioner Leach seconded the motion. The motion passed a unanimous voice vote.
Next, was a partial estimate on #8, on the Lift Station "N" Project. Mr. Lazenby presented the invoice and explained this is the last payment except the retainage fee. No action was taken as none was needed.
The last item was cash disbursements. Mr. Cox presented the disbursements for the month and a discussion followed. Commissioner Leach made a motion to accept the disbursements as reasonable and necessary and Commissioner Owens seconded the motion. The motion passed by a unanimous voice vote.
No further business being presented the meeting adjourned at 12:05 p.m.

MONDAY, DECEMBER 3, 2012
POLICE JURY CONFERENCE ROOM
Jurors Present: Mr. Walt Caldwell, chair; Mr. Mack Calhoun; Dr. Ollibeth Reddix; and Mr. Shane Smiley.
Others Present: Mr. Brad Cammack; Ms. Karen Cupit; Warden Patrick Johnson; Ms. Tana Trichell; and Mr. Kevin Crosby.
Mr. Caldwell called the meeting to order at 7:30 PM.
Mr. Cammack and Warden Johnson presented the 2012 Amended and 2013 Proposed budgets for the Jail Operations fund and the new Jail Maintenance Reserve Fund. Discussion ensued.
Mr. Smiley moved and Mr. Calhoun seconded a motion to approve the 2012 Amended budget for the Jail Operations fund. There was no opposition. Motion carried.
Mr. Calhoun moved and Mr. Smiley seconded a motion to approve the 2013 Proposed budget for the Jail Operations fund. There was no opposition. Motion carried.
Mr. Smiley moved and Mr. Calhoun seconded a motion to approve the 2013 Proposed budget for the Jail Maintenance Reserve fund. There was no opposition. Motion carried.
Mrs. Trichell spoke to the committee regarding the work that NELEA does in and for Ouachita Parish. They are requesting an increase in funding to $15,000.00. Discussion ensued.
Ms. Moore and Mr. Robinson entered the meeting.
Mr. Caldwell moved and Dr. Reddix seconded a motion to increase the allocation to NELEA in the 2013 General Fund budget to $5,000.00. There was no opposition. Motion carried.
Mr. Caldwell discussed the allocation in the budget for NLEP. It is $40,000.00 in the 2012 budget and $25,000.00 in the 2013 budget. Discussion ensued. Dr. Reddix would like the Police Jury to take a closer look at the allocation paid to NLEP and NELEA during 2013. No action was taken on the matter.
Mr. Cammack and Mr. Crosby presented the 2012 Amended and 2013 Proposed budgets for the Road Program. Discussion ensued. Mr. Crosby stated that there would be an update to the road count list in 2013. Mr. Calhoun would like to see more money approved for gravel roads.
Mr. Caldwell moved and Mr. Calhoun moved a motion to move $50,000.00 from the General Fund Reserved fund and $50,000.00 from the General Fund to Public Works for the gravel road program in 2013. If the Road Program fund is determined to have monies to be used on the gravel road program, those monies will be used to replace these transfers. There was no opposition. Motion carried.
Mr. Smiley moved and Mr. Calhoun seconded a motion to approve the 2012 Amended budget for the Road Program fund. There was no opposition. Motion carried.
Mr. Smiley moved and Ms. Moore seconded a motion to approve the 2013 Proposed budget for the Road Program fund. There was no opposition. Motion carried.
Mr. Cammack and Mr. Crosby presented the 2012 Amended and 2013 Proposed budgets for the Urban Systems fund. Discussion ensued.
Mr. Smiley moved and Dr. Reddix seconded a motion to approve the 2012 Amended budget. There was no opposition. Motion carried.
Ms. Moore moved and Mr. Smiley seconded a motion to approve the 2013 Proposed budget. There was no opposition. Motion carried.
Mr. Cammack discussed the Correctional Center purchasing vehicles. The vehicles are included in the budget. There was no opposition to the purchase.
Mr. Cammack and Mr. Crosby presented the 2012 Amended and 2013 Proposed budgets for the Drainage fund. Discussion ensued.
Mr. Calhoun moved and Mr. Smiley seconded a motion to approve the 2012 Amended budget. There was no opposition. Motion carried.
Ms. Moore moved and Dr. Reddix seconded a motion to approve the 2013 Proposed budget. There was no opposition. Motion carried.
Mr. Caldwell discussed the Health Unit budget. The Clerk of Court has requested that if a tax is put on the ballot that it be put on the April 2013 ballot. The item would need to be presented at the Louisiana Bond Commission in January to make this ballot date.
Ms. Moore moved and Mr. Smiley seconded a motion to table the Health Unit budgets. There was no opposition. Motion carried.
Mr. Cammack presented the 2012 Amended Road Lighting District budgets. Discussion ensued. The budgets had previously been approved, but the assessment amounts were revised in some districts.
Ms. Moore and Mr. Smiley seconded a motion to approve the 2012 Amended Road Lighting Districts budgets. There was no opposition. Motion carried.
Mr. Cammack presented the 2012 Amended Administrative Fund budget. The budget had previously been approved, but due to some changes Mr. Cammack wanted to bring it back before the Jury. Discussion ensued.
Mr. Calhoun moved and Mr. Smiley seconded a motion to approve the 2012 Amended budget. There was no opposition. Motion carried.
Mr. Cammack presented the 2012 Amended and 2013 Proposed budgets for the General Fund Reserved. Discussion ensued.
Mr. Robinson moved and Ms. Moore seconded a motion to begin using Mr. Bill Roark on an “as needed” basis instead of keeping him on retainer. There was no opposition. Motion carried. The $18,000.00 currently in the budget for Mr. Roark’s retainer was removed.
Mr. Robinson moved and Mr. Smiley seconded a motion to approve the 2012 Amended budget. There was no opposition. Motion carried.
Mr. Robinson moved and Mr. Calhoun seconded a motion to approve the 2013 Proposed budget. There was no opposition. Motion carried.
Mr. Cammack presented the 2012 Amended and 2013 Proposed budgets for the General Fund. Discussion ensued.
Mr. Smiley moved and Ms. Moore seconded a motion to approve the 2012 Amended budget. There was no opposition. Motion carried.

NOTICE
The Ouachita Parish School Board met in special session on Thursday, December 27, 2012 at six (6:00) o’clock p.m. for the purpose of adopting a new reapportionment (redistricting) plan for the district at their regular meeting place, the Ouachita Parish School Board office. At five (5:00) o’clock p.m. a public hearing was conducted to allow public viewing of the plans prior to the Board meeting. The new plan will commence for the election of Board members in 2014 who will take office on January 1, 2015.
President Hicks called the meeting to order as he welcomed guests.
The Pledge of Allegiance to the American Flag was led by President Jerry Hicks.
Reverend John Russell gave the Invocation.
David Creed, representative with North Delta Planning and Development, presented two plans under consideration by the Board for adoption. Plan 5-A – is along the lines of current districts that retains four districts in the western part of the parish and three east of the Ouachita River, with the major adjustments being made with property north of Interstate 20 being reassigned from District C to District B, District F south of Interstate 20 being reassigned to District E, and the eastern-central portion of District G east of the Jack Hayes community being reassigned to District F. Plan 5-2 – the alternative plan, makes substantial realignments to Districts, A, B, C, E, F and G, with District A crossing the Ouachita River from West to East; combining existing District F into District G and excluding eastern-central Ouachita Parish; existing minority District E would become District F including the population surrounding Richwood and the Swartz community and excluding the Riverbend community; transferring the western portion of District B to District C; and transferring the southern section of existing District C to the new District E that crosses the Ouachita River to include southern and eastern-central Ouachita Parish and the Riverbend community. Plan 5-2 holds the potential to elect five Board members from western Ouachita parish and two in eastern Ouachita, placing current Board members Susan Spence (G) and Carey Walker (F) in same district on the east side.
After thorough review of the two plans (Plan 5-A and Plan 5-2), President Hicks called for a motion to vote on one of the two reapportionment plans offered by Mr. Creed. Since no one moved to vote on either plan, President Hicks moved to keep the same plan that is currently in place until the next meeting and asked for a motion and a second to that effect.
Whereby, Bill Norris moved, seconded by A. R. Sims, that the Board vote to adopt Reapportionment Plan (5-2) as presented.
A substitute motion was offered by Carey Walker, seconded by John Russell, that the Board adopt Reapportionment Plan (5-A) as presented.
At this time, President Hicks opened the meeting to the public and the Board for their comments and discussions concerning both reapportionment plans (5-2 and 5-A). When the discussion ceased, President Hicks called for a vote on Mr. Walker’s substitute motion to adopt the (5-A) Reapportionment Plan and the following votes were recorded: Bill Norris, no; Scott Robinson, no; A. R. Sims, no; Jerry Hicks, yes; John Russell, yes; Carey Walker, yes and Susan Spence, yes. Motion carried, with four “yes” votes and three “no” votes. (As a result of the passage of Mr. Walker’s substitute motion to adopt Reapportionment Plan (5-A), no action was taken on Mr. Norris’ original motion.)
President Hicks set the next meeting for January 10th at 6:00 p.m.
There being no further business to be brought before the Board, Mr. Sims moved, seconded by Mrs. Spence that the meeting adjourn. Motion carried unanimously.
