BID SECURITY, BONDS, EVIDENCE OF ATHORITY
All bids must be accompanied by bid security equal to five percent (5%) of the Base Bid and all additive alternates and must be in the form of a certified check, cashier’s check or Bid Bond written by a company licensed to do business in Louisiana.
The successful Bidder shall be required to furnish a Performance and Payment Bond written by a company licensed to do business in Louisiana per La.R.S.38:2219 A(1)(a).

CONTRACTOR AS PURCHASING AGENT
CONTRACTOR shall act as purchasing agent of the CITY for all purchases of materials and equipment to be incorporated in the construction of the PROJECT. CITY will provide whatever documentation is necessary in order to establish this relationship. CONTRACTOR shall not act beyond the scope of the authority granted to it, and shall provide all documentation requested by CITY, including documentation on the materials purchased, the sales tax saved and confirmation that all saving from non-payment of sales tax accrue only to the CITY and not to CONTRACTOR. Title and possession of all materials and equipment acquired pursuant to this authority granted to CONTRACTOR shall pass directly from the vendor to the CITY, and CONTRACTOR’S rights and obligations shall be that of purchasing agent. All purchases for the PROJECT shall be in the name of CITY, and all payments to vendors shall be made by the CONTRACTOR as CONTRACTOR-AGENT of the CITY, using funds that are accounted to the CITY. (All materials and equipment that are being incorporated into the PROJECT are titled in the name of the CITY upon delivery to the construction site, and prior to their incorporation into the PROJECT.)

CALL TO ORDER
A regular meeting of the Board of Commissioners, Hospital Service District No. 1 of the Parish of Ouachita, State of Louisiana was called to order at 11:40 A.M. at the Wellness Center, 3215 Cypress Street, West Monroe, Louisiana, by Steve Hall, Chairman of the Board of Commissioners. All references to the “District” refer to the Hospital Service District No. 1 of the Parish of Ouachita, State of Louisiana. All references to the “Foundation” refer to the Living Well Foundation.

APPROVAL OF MINUTES OF DISTRICT BOARD MEETING OF OCTOBER 16, 2012
After review of the minutes of the District’s October 16, 2012 Board meeting, a motion was made by Mr. Spencer and seconded by Mr. Mulhearn to adopt the minutes as presented and the motion was unanimously approved.
EXECUTIVE SESSION FOR PURPOSES OF STRATEGIC PLANNING, INCLUDING WITH RESPECT TO THE FUTURE OF THE WELLNESS CENTER AND RELATIONS WITH GRMC, GLENWOOD RESOLUTION AUTHORITY, INC., AND THE LIVING WELL FOUNDATION
A motion was made by Mr. Spencer, seconded by Mr. Gilley, and unanimously approved for the Board of Commissioners to go into executive session for the purposes of strategic planning, including reviewing the Wellness Center monthly financial statements.
Mrs. Culp, Executive Director of the Wellness Center, presented the Wellness Center monthly financial statements and her management report.
Mr. Mulhearn motioned, Mr. Gilley seconded, and the Commissioners present approved the motion to go back into public session.
REVIEW OF CURRENT FINANCIALS OF DISTRICT (OTHER THAN THE WELLNESS CENTER)
Mr. Hall presented the monthly financials of the District (other than the Wellness Center) ending October 31, 2012.
DISCUSSION REGARDING THE DATE AND TIME OF THE DECEMBER DISTRICT MEETING
After discussing the possibilities for a change in time and venue for the District’s December meeting, a decision was made to move the meeting time from 11:30 a.m. on Tuesday, December 20, to 4:30 p.m. The Board will gather in a dining room of the Sage Restaurant, with dinner to follow.
REVIEW OF THE UNAUDITED QUARTERLY FINANCIALS OF LIVING WELL FOUNDATION
Mr. Hall presented to the Commissioners the Foundation’s unaudited quarterly financials statements for September 30, 2012 for review and discussion.
REVIEW AND APPROVE LIVING WELL FOUNDATION’S 2013 STRATEGIC PLAN
The Living Well Foundation’s Strategic Plan for 2013 was reviewed and the following resolution was offered by Mr. Mulhearn, seconded by Mr. Spencer, and unanimously approved by the Board of Commissioners:
WHEREAS, Section 2.B(5) of the Cooperative Endeavor Agreement dated January 31, 2007 between the District and the Foundation provides, among other things, that the strategic plans of the Foundation, as updated from time to time, are subject to the approval of the Board of Commissioners;
WHEREAS, the Foundation has presented to the District a proposed updated Strategic Plan for 2013;
RESOLVED, that the Foundation's proposed 2013 Strategic Plan is approved in the form presented to the District.
APPROVAL OF CERTAIN FALL 2012 GRANTS BY LIVING WELL FOUNDATION
Mr. Gilley moved to consider the following resolution:
WHEREAS, Section 2.B(7)(i) of the Cooperative Endeavor Agreement between the Hospital Service District (the District) and the Living Well Foundation (the Foundation), and Section 2.10(i) of the Bylaws of the Foundation, each provides that the approval of the Board of Commissioners of the District is required in order for the Foundation to enter into any contract or transaction with an entity in which one or more of the Foundation's directors or officers is a director or officer or has a financial interest;
WHEREAS, in connection with its fall 2012 grant cycle, the Foundation recently approved, subject to certain conditions, one grant to an entity in which a Foundation director or officer is a director or officer or has a financial interest;
WHEREAS, the Board of Commissioners has reviewed, among other things, key portions of the grant proposal for the one grant in question, the scores of all six of the fall 2012 grant applications considered by the Foundation, the recommendations of the Programs/Grant Review Committee with respect to all six fall 2012 grant applications, the decisions made by the Foundation Board of Directors with respect to all six fall 2012 grant applications, and the written Notice of Financial Interests/Possible Conflict of Interests filed by the interested directors or officers with the Foundation with respect to the one grant applicant in question;
RESOLVED, that the Board of Commissioners hereby approves the grant by the Foundation to the Ouachita Outreach of West Monroe Community Center for a total grant award of $36,000, subject and pursuant to the negotiation and execution of a formal written grant agreement between the Foundation and the Ouachita Outreach of West Monroe Community Center substantially in the form of a grant agreement approved by the District.
Mr. Hall seconded the motion. The Board proceeded to a vote, and the motion passed with the unanimous approval of the Commissioners present.
