During the reporting period of October 2, 2012, and October 31, 2012, the Westen Utilities, Inc. was required to pull five (5) water samples for testing. Through an oversight in our office, only one (1) sample was pulled. QUARTERLY UPDATE OF JPMORGAN CHASE INVESTMENTS The JPMorgan Chase quarterly investment performance report for the period ending September 30, 2012 was reviewed and discussed by the Commissioners. A decision was made to liquidate some of the investments in this account to meet some upcoming expenses. EXECUTIVE SESSION FOR PURPOSES OF STRATEGIC PLANNING, INCLUDING WITH RESPECT TO THE FUTURE OF THE WELLNESS CENTER AND RELATIONS WITH GRMC, GLENWOOD RESOLUTION AUTHORITY, INC., AND THE LIVING WELL FOUNDATION A motion was made by Mr. Gilley, seconded by Mr. Mulhearn, and unanimously approved for the Board of Commissioners to go into executive session for the purposes of strategic planning, including reviewing the Wellness Center monthly financial statements. Mrs. Culp, Executive Director of the Wellness Center, presented the Wellness Center monthly financial statements and her management report. Mr. Gilley motioned, Mr. Mulhearn seconded, and the Commissioners present approved the motion to go back into public session. UPDATE ON ANNUAL REVIEW OF WELLNESS CENTER EMPLOYEE HANDBOOK After review and discussion regarding additional revisions to the Wellness Center’s Employee Handbook, Mr. Mulhearn proposed, Mrs. Watson seconded, and the Board of Commissioners unanimously adopted the following resolution: WHEREAS, the Board of Commissioners considers it to be in the best interests of the District that certain clarifying revisions be made to the Wellness Center Employee Handbook regarding a new policy in the case of inclement weather, effective immediately. RESOLVED, that the Board of Commissioners approves the adoption of the revised Wellness Center Employee Handbook, as presented at this meeting, effective immediately. RESOLVED, that the Executive Director continues to be authorized to make such further nonmaterial changes to the Wellness Center Employee Handbook as he or she may deem appropriate or desirable from time to time. REVIEW OF CURRENT FINANCIALS OF DISTRICT (OTHER THAN THE WELLNESS CENTER) Mr. Hall presented the monthly financials of the District (other than the Wellness Center) ending September 30, 2012. ANNUAL PREPARATION OF PROPOSED BUDGET AND RATES Debbie Takewell and Karen Hanna, the District’s CPAs, were in attendance to present a draft of the District’s proposed budget for its 2013 fiscal year, beginning January 1, 2013. After discussion, a few changes were considered desirable, and the final proposed budget was expected to be submitted in time for approval at the District’s November meeting. UPDATE ON APPOINTMENT OF A COMMISSIONER TO REPLACE VIOLET LINER Mr. Hall noted that Mrs. Jeri Beth Watson was officially appointed as a member of the Board of Commissioners to the Hospital Service District No. 1 by the Ouachita Parish Police Jury on October 1, 2012 to serve the unexpired term of Violet Liner, said term of office to end on October 6, 2015. Glenwood Resolution Authority’s Unaudited Quarterly Financial Statements for August 31, 2012 were presented for review and discussion. REVIEW AND APPROVAL OF RAISES FOR FOUNDATION PERSONNEL Mr. Mulhearn moved to consider the following resolution: WHEREAS, Section 2.B(7)(b) of the Cooperative Endeavor Agreement dated January 31, 2007 between the District and the Foundation provides, among other things, that the amendment of the employment terms of the five highest-paid employees of the Foundation are subject to the approval of the District; WHEREAS, the Foundation desires to increase the salary of Lori Pearce, effective January 1, 2013, as Treasurer/Chief Financial Officer and Secretary of the Foundation; RESOLVED, that the amendment of the terms of employment of Lori Pearce, as set forth in the written employment letter agreement presented to this meeting, dated October ___, 2012, with terms to be effective January 1, 2013 (which amends her written employment letter agreement dated January 31, 2011, as supplemented by her written employment letter agreement dated November 1, 2011), is approved, confirmed, and ratified.
