APPROVAL OF MINUTES OF DISTRICT BOARD MEETING OF JULY 24, 2012 After review of the minutes of the District’s July 24, 2012 Board meeting, a motion was made by Mr. Spencer and seconded by Mr. Mulhearn to adopt the minutes as presented and the motion was unanimously approved. REVIEW OF SECOND ANNUAL REPORT FROM THE OUACHITA PARISH SCHOOL BOARD UNDER THE HSD-OPSB COOPERATIVE ENDEAVOR AGREEMENT Ms. Robin Austin, the OPSB Grant Facilitator, and Linda Trimble, Grant Coordinator, were in attendance to present the second annual report under the HSD-OPSB Cooperative Endeavor Agreement. Ms. Austin reported that since their last annual report, very positive feed back has been received regarding some recent workshops and personnel are becoming more receptive. Plans are being made for walking tracks at some of the schools. Per the District’s attorney, the written report appears to be in compliance. EXECUTIVE SESSION FOR PURPOSES OF STRATEGIC PLANNING, INCLUDING WITH RESPECT TO THE FUTURE OF THE WELLNESS CENTER AND RELATIONS WITH GRMC, GLENWOOD RESOLUTION AUTHORITY, INC., AND THE LIVING WELL FOUNDATION A motion was made by Mr. Spencer, seconded by Mr. Gilley, and unanimously approved for the Board of Commissioners to go into executive session for the purposes of strategic planning, including reviewing the Wellness Center monthly financial statements. Mrs. Culp, Executive Director of the Wellness Center, presented the Wellness Center monthly financial statements and her management report. Mr. Mulhearn motioned, Mr. Gilley seconded, and the Commissioners present approved the motion to go back into public session. REVIEW OF CURRENT FINANCIALS OF DISTRICT (OTHER THAN THE WELLNESS CENTER) Mr. Hall presented the monthly financials of the District (other than the Wellness Center) ending July 31, 2012. RECOMMENDATION TO OUACHITA PARISH POLICE JURY OF COMMISSIONER TO BE APPOINTED TO REPLACE VIOLET LINER The Commissioners continue to work toward filling the vacant unexpired term of Violet Liner. ANNUAL REVIEW OF INSURANCE OF THE DISTRICT An annual review was made of the District’s insurance as prepared by Phillip Sivils, the District’s insurance consultant. ANNUAL REVIEW OF COORDINATION AGREEMENT WITH THE OUACHITA PARISH POLICE JURY The Commissioners reviewed the Coordination Agreement with the Ouachita Parish Policy Jury, noting the importance of continued compliance. Mr. Jay Mitchell, attorney for the Ouachita Parish Police Jury, was in attendance to discuss the possibilities for future involvement with the Picard Center for Child Development and Lifelong Learning. Future meetings are planned with the Living Well Foundation and there could be a need for an amendment to the agreement regarding the School-Based Health Clinics. ANNUAL REVIEW OF COOPERATIVE ENDEAVOR AGREEMENT WITH LIVING WELL FOUNDATION The Board discussed the stipulations of the Cooperative Endeavor Agreement with the Foundation, noting that all appeared to be in compliance, with the possible exception of some dysfunctional links on the website for the Foundation’s minutes and no appearance of the most recent annual audited financial statements, Form 990, and Annual Report of the Foundation. Mr. Landry will discuss these issues with the Foundation’s attorney. QUARTERLY RECEIPT/REVIEW OF LIVING WELL FOUNDATION’S UNAUDITED QUARTERLY FINANCIAL STATEMENTS The Foundation’s Unaudited Quarterly Financial Statements for June 30, 2012 were presented for review and discussion. Active Media, Bradley Wilkinson She reported that the committee recommends that Active Media represented by Bradley Wilkinson be awarded the 2012 Christmas on the River advertising. It was moved by Gretchen Kovac and seconded by Don O’Toole to approve Active Media, Bradley Wilkinson to advertise the 2012 Christmas on the River in the amount of $42,500.00. Motion carried by a vote of seven (7) affirmative votes to zero (0) negative votes. Tourism Development Committee – Sammy Gordy reported the Tourism Development Grant Committee met at 3:45 to discuss a final payment request in the amount of $1,250.00 from the City of Monroe Deltafest. It was moved by Sammy Gordy and seconded by Don O’Toole to approve the final payment request in the amount of $1,250.00 to the City of Monroe Deltafest. Motion carried by a vote of seven (7) affirmative votes to zero (0) negative votes. Minutes: It was moved by Lane Howell and seconded by Gretchen Kovac to approve the July 16, 2012 minutes as read. Treasurer’s Report: The board reviewed the itemized deposits and disbursement showing the following balances on hand as of July 31, 2012. Bond Account $13,782.94 General Fund $4,820,380.05 Report filed for audit. Travel Plans: It was moved by Lane Howell and seconded by Gretchen Kovac to approval the additional travel plans for September 2012 through January 2013. Motion carried by a vote of seven (7) affirmative votes to zero (0) negative votes. Executive Director Report: Alana Cooper requested board approval to dedicate $100,000.00 for purchase of lights, installation, take down, and other needed expenses for the 2012 Christmas on the River. It was moved by Sue Nicholson and seconded by Lane Howell to dedicate $100,000.00 in the Special Promotion budget for purchase of lights, installation, take down, and other needed expenses for the 2012 Christmas on the River.
