Proceedings of the Board of Commissioners of the West Ouachita Sewerage District No. 5, Ouachita Parish, Louisiana. Taken at the office of the district, 327 Wallace Road, West Monroe, LA, Monday, March 12, 2012. (Regular Meeting)
Members present: Fred Hall, Don Leach, Ralph Owens
Members absent: None
Others present: Francis Huffman-Luffey, Huffman, Ragsdale & Soignier, APAC; Steve North, attorney for the district; Jerry Lazenby, Lazenby & Associates, Inc.; Larry Evans, contractor; and Terry Cox, district manager.
Commissioner Hall called the meeting promptly to order at 11:00 a.m.
The first item on the agenda was the audit report for the year ended August 31, 2011. Mr. Huffman presented the report to all present. Following a complete review all present agreed the district is in sound financial condition.
Next, was the cooperative endeavor agreement with District No. 16. Following a review of the agreement, Commissioner Leach made a motion for Mr. North to talk to Jay Mitchell with the police jury and Commissioner Owens seconded the motion. The motion passed by a unanimous voice vote.
The Cajun Pawn Shop was the next item on the agenda. Mr. Lazenby presented the plans and specifications for the proposed business Mr. Lazenby proposed the commissioners' grant approval for this commercial building to connect to existing system. Commissioner Owens made a motion to approve the business upon completion and inspection of the connection and Commissioner Leach seconded the motion. The motion passed by a unanimous voice vote.
Next was the proposed Guaranty Bank. Mr. Lazenby presented the plans and specifications for the proposed bank. Mr. Lazenby recommended the approval for the commercial building to connect to the existing sewer line. Commissioner Owens made a motion to accept the business. Upon completion and inspection of the connection, Commissioner Leach seconded the motion. The motion passed by a unanimous voice vote.
The next item was the proposed subdivision of Westfield, Inc. to consist of 25 duplexes. Mr. Lazenby presented the plans and specifications for the proposed subdivision. Following a complete review, Commissioner Leach made a motion to accept the subdivision upon completion and inspection of lines and Commissioner Owens seconded the motion. The motion was passed by a unanimous voice vote.
Next was the cooperative endeavor agreement with the city of West Monroe. This was an information only discussion and no action was required.
Mr. Lazenby presented an update on the force main replacement on Downing Pines and a request for a second installment payment. Following the update and request for payment, Commissioner Leach made a motion to approve the second payment and Commissioner Owens seconded the motion. The motion passed by a unanimous voice vote.
Next, Mr. Lazenby brought to the attention of the commissioners the need to replace the grinder pumps at the Hamilton Park Lift Station. Commissioner Owens made a motion to allow Mr. Cox to begin purchasing the new pumps for the lift station and Commissioner Leach seconded the motion. The motion passed by a unanimous voice vote.
Mr Lazenby presented the plans for the Kiroli Road bridge sewer relocation project. Following a review and explanation of the plans, Commissioner Leach made a motion to approve the project and Commissioner OWens seconded the motion. The motion passed by a unanimous voice vote.
Next, a resolution by Commissioner Leach, seconded by Commissioner Owens to retain the firm of Lazenby & Associates Inc., to plan, design and administer the relocation of sanitary sewer collection facilities that are in conflict with the widening and reconstruction of Arkansas Road (La. 616). State Project No. H.0022622, and to authorize President Hall to review and execute all contracts and documents necessary to accomplish the utility relocation activities. The motion passed by a unanimous voice vote.
The last item was cash disbursements. Mr. Cox presented the disbursements and following a brief discussion Commissioner Owens made a motion to accept them as reasonable and necessary. Commissioner Leach seconded the motion. The motion passed by a unanimous voice vote.
No further business being presented, the meeting adjourned at 12:45 p.m.

PROCEEDINGS OF THE POLICE JURY, PARISH OF OUACHITA, STATE OF LOUISIANA, TAKEN AT A REGULAR MEETING HELD ON, MONDAY, FEBRUARY 21, 2012 AT 5:37 P.M.
The Police Jury of the Parish of Ouachita, State of Louisiana met in a regular session in the Ouachita Parish Police Jury Meeting Room, Courthouse Building in Monroe, Louisiana on Tuesday, February 21, 2012 at 5:37 p.m., and was duly convened by Mr. Shane Smiley, President.
The invocation was given by the president. The Pledge of Allegiance to the flag was led by the president.

APPROVAL OF AGENDA:
The president asked if there were any additions or amendments to the agenda. Mr. Cammack asked to add three items to the agenda. The first item was for a letter of support for the City of Monroe regarding the Kansas Lane Connector. Mr. Mitchell stated that the request was received after publication of the agenda and a letter of support was needed before the next meeting of the Jury. Motion offered by Mr. Caldwell, seconded by Mr. Calhoun to add the item to the agenda. Motion passed with Dr. Reddix abstaining.
The second item Mr. Cammack asked to add was for a certified resolution to authorize submitting the application for the Safe Routes to School. Mr. Cammack stated that the state’s request for a formal resolution was received after the agenda was published and the resolution was needed by March 1. Motion offered by Mr. Caldwell, seconded by Mr. Calhoun to add the item to the agenda. Motion passed without opposition.
The final item Mr. Cammack asked to add was for submitting applications for federal appropriations. Mr. Cammack stated that the deadline is March 1 which would be before the next meeting of the Jury and that this matter had been left off the agenda inadvertently. Motion offered by Mr. Caldwell, seconded by Mr. Robinson to add the item to the agenda. Motion passed without opposition. Motion offered by Mr. Caldwell, seconded by Mr. Robinson to approve the agenda with the additions. Motion passed without opposition.
PUBLIC COMMENT PERIOD:
The president spoke regarding the public comment period. No one came forth at this point in the meeting.
ADOPTION OF MINUTES:
A motion to adopt the minutes of the regular police jury meeting including the committee meetings held on February 6, 2012 was offered by Mr. Caldwell seconded by Mr. Calhoun. Motion passed without opposition.
VISITORS:
The president recognized Wilson Alexander of 1507 Pearl Street, Monroe. Mr. Alexander spoke regarding his neighbor burying items on the lot next to his house. Mr. Alexander stated that this is causing the lot to flood. Mr. Mitchell stated that he would talk to Mr. Alexander and start working on the matter. No action was taken on this matter.
The president recognized Philmon Taylor, a neighbor of Mr. Alexander, 116 South Price Street, Monroe. Ms. Taylor spoke regarding a drainage ditch by her house. Ms. Taylor stated that the culvert has been filled in and that this causes flooding on her property. Mr. Mitchell was asked to talk with Ms. Taylor as well.
The president recognized Richard Letlow with the LSU Extension Service. Mr. Smiley stated that Mr. Letlow was present regarding the funding agreement for the LSU Extension Service which was an item under his name and asked to take up the matter at this time. Motion offered by Mr. Caldwell, seconded by Mr. Calhoun to accept the contract with the LSU Extension Service and authorize the president to execute the contract. Motion passed without opposition.
ENGINEERING REPORT:
The president recognized Kevin Crosby, Engineer. Mr. Crosby stated that he will be meeting with Mr. Clack on Thursday regarding the ARRA projects. Mr. Cammack stated that a motion was needed to hire Lazenby and Associates to finish out the project with funds from the Capital Outlay fund. Motion offered by Mr. Caldwell, seconded by Mr. Calhoun to hire Lazenby and Associates to finish out the ARRA projects. Motion passed without opposition.
Mr. Crosby spoke regarding the acceptance of concrete roads. Mr. Crosby stated that he does not think concrete should be deleted as a road option. Mr. Crosby also stated that he can look at the ordinance, but that he would not recommend deleting concrete roads. Mr. Cammack stated that Lazenby and Associates should give the Jury a quote to review the ordinance. Mr. Crosby stated that it would be approximately $4,500 to review the ordinance and that they could blend this project with other road projects. Discussion ensued. No action was taken on this matter.
Mr. Crosby spoke regarding the Safe Routes to School applications. Mr. Crosby stated that he met with Ouachita Parish School Board personnel and he would have the engineering report to the school board by Friday. Motion offered by Mr. Smiley, seconded by Mr. Caldwell to give letters of support for the Safe Routes to School applications. Motion passed without opposition.
Mr. Smiley, seconded by Mr. Caldwell offered the following resolution for adoption:
RESOLUTION NO. 12-08
A RESOLUTION SUPPORTING A GRANT APPLICATION UNDER THE “SAFE ROUTES TO SCHOOL” PROGRAM; AND, FURTHER PROVIDING WITH RESPECT THERETO.
WHEREAS, the Louisiana Department of Transportation and Development has established the “Safe Routes to School” Program for the purpose of assisting local communities in planning, developing an implementing projects and activities which will improve pedestrian safety in the vicinity of schools; and
WHEREAS, the Ouachita Parish School Board has identified Swartz Upper Elementary, Swartz Lower Elementary and Jack Hayes Elementary as schools having a need for improved pedestrian facilities to accommodate children walking to and from school; and
WHEREAS, the Ouachita Parish Police Jury finds that an application seeking funding for the construction of such pedestrian facilities in the vicinity of the above-named schools is in the public interest and warrants support;
NOW THEREFORE:
BE IT RESOLVED in legal session convened on the 21st day of February, 2012, that the Ouachita Parish Police Jury hereby evidences its support of applications for funding under the Louisiana Safe Routes to School Program to fund the construction of improved pedestrian facilities in the vicinity of Swartz Upper Elementary School, Swartz Lower Elementary School, and Jack Hayes Elementary School;
BE IT FURTHER RESOLVED that the Ouachita Parish Police Jury hereby agrees to assist the Ouachita Parish School Board by providing the engineering services necessary for said grant applications with such engineering services to be performed at OPPJ expense by the firm of Lazenby & Associates; and,
BE IT FURTHER RESOLVED, that Shane Smiley, President, is hereby authorized and empowered to execute such correspondence or documents as are necessary and proper in connection with the above-described applications for grant assistance under the “Safe Routes to School” Program.
The above resolution was adopted the 21st day of February 2012.
Mr. Crosby spoke regarding the preliminary subdivision for Westfields Duplex Subdivision. Mr. Crosby recommended denying the application. Motion offered by Mr. Robinson, seconded by Mr. Caldwell to deny the application for Westfields Duplex Subdivision. Motion passed without opposition.
Mr. Smiley asked to take up the matter under his name regarding the applications for the LRA projects and the matter under Mr. Caldwell’s name regarding the Frenchman’s Bend Drainage. Mr. Smiley stated that approval was needed to submit applications for the LRA Gustav/Ike projects. The projects are the H-1 Canal, T-1A Canal, J-1D Canal; all located in the parish, Martin Luther King Drive Drainage in Richwood, Highland Subdivision Drainage in Sterlington, Wellerman/White Columns in West Monroe, and Pump Station upgrades in Monroe. Motion offered by Mr. Caldwell, seconded by Mr. Calhoun to approve submitting the applications. Discussion ensued. Mr. Cammack stated that the local entities will input local funds into the projects. Mr. Fontana with GNF Management stated that there were changes in the consultant and engineering fees. Mr. Fontana stated that the applications will be submitted by the end of the month and that the projects will be advertised for bids by June. Motion passed without opposition.
Mr. Caldwell asked Mr. Cammack to speak regarding the funding for Frenchman’s Bend drainage. Mr. Cammack stated that there was $6,000 approved in a previous meeting for engineering studies concerning Indian Creek and other drainage issues in Frenchman’s Bend. Mr. Caldwell asked Mr. Crosby to contact S. E. Huey Co. for the expected cost of continuing the appeal to FEMA regarding the base flood elevation. Mr. Caldwell also asked Mr. Cammack to look at the funding source for the project. No action was taken on this matter.

Motion offered by Dr. Reddix, seconded by Mr. Caldwell to recess the regular meeting in favor of the finance committee meeting. Motion passed without opposition.
FINANCE COMMITTEE MEETING
The chairman, Mr. Caldwell, called the finance committee meeting to order at 6:28 p.m. Mr. Caldwell recognized Mr. Cammack, Treasurer.
Mr. Cammack presented the claim statement for the period of January 20, 2012 through February 16, 2012 and recommended approval. Motion offered by Mr. Smiley, seconded by Mr. Robinson to approve the claims for the period stated as recommended by the Treasurer. Motion passed without opposition.
Mr. Cammack distributed a handout and gave an update on the general fund. No action was taken on this matter.
Mr. Cammack gave an update on the Next Autoworks refund process. Mr. Cammack stated that the next batch of checks should be mailed by next week. No action was taken on this matter.

Chief Hemphill stated that the purchase of vehicles was included in the budget. Motion offered by Mr. Smiley, with a unanimous second to approve the purchase of vehicle for the fire department. Motion passed without opposition.

Mr. Calhoun asked for an update on the Vernon Street Canal Right-of-Way. Mr. Mitchell sated that there is an existing 30 foot right-of-way on some lots and he is still working on the project. No action was taken on this matter.
Mr. Calhoun spoke regarding the Sparta Commission funding for 2012. Mr. Calhoun stated that the Sparta Commission was asking for a $5,000 contribution from the Jury. Motion offered by Mr. Calhoun, seconded by Mr. Caldwell to approve the $5,000 contribution to the Sparta Commission to come from the general fund. Motion passed without opposition.
Mr. Calhoun spoke regarding the amendment to the LGAP Generator Grant for Cadeville Water System. Motion offered by Mr. Calhoun, seconded by Dr. Reddix to amend the 1011-OCH-0003 LGAP grant to change the funding from the purchase of generator equipment to the purchase and installation of a generator for the Cadeville Water System and to hire James Standard and Associates to engineer and oversee the installation of the generator to be paid out of the LGAP grant funds. Motion passed without opposition.

Dr. Reddix asked Deputy Heckford for an update on the tire removal at Thelma Drive. Deputy Heckford stated he has applied for a permit from LDEQ and is waiting to hear back from them. No action was taken on this matter.
MR. SHANE SMILEY, DISTRICT E:
Mr. Smiley asked Mr. Cammack to speak regarding the State Capital Outlay request. Mr. Cammack stated that Representative Hunter requested to have the Capital Outlay projects by March 1. Mr. Cammack advised that information concerning the Capital Outlay requests previously approved by the Jury would be sent to Rep. Hunter. Mr. Cammack also stated that Robbie George with S. E. Huey asked for more time before they give a quote for further services, but that he would be available to assist with the current applications if necessary. No action was taken on this matter.
Mr. Cammack spoke regarding the Federal Appropriation applications. Mr. Cammack stated that the project list from 2010 could be resubmitted if application requests are being accepted. Motion offered by Mr. Caldwell, seconded by Dr. Reddix to submit applications for I-20 Frontage Road, East Ouachita Comprehensive Sewerage Plan, and the Sparta Aquifer Management Plan by March 1 if application request are being accepted. Motion passed without opposition.
Mr. Smiley stated that the Monroe Chamber of Commerce asked for a letter of support for the Kansas Lane Connector Tiger Grant. Motion offered by Mr. Smiley, seconded by Mr. Caldwell to offer a letter of support and authorize the president to sign the letter. Motion passed with Dr. Reddix abstaining.

Mr. Cammack spoke regarding the payroll agreement with the 4th Judicial District Court. Mr. Cammack stated that he had previously asked the Jury about entering into a payroll agreement with the 4th Judicial District Court. Mr. Caldwell asked Mr. Cammack to provide more information on the indirect cost allocation. No action was taken on this matter.

CALL TO ORDER
A regular meeting of the Board of Commissioners, Hospital Service District No. 1 of the Parish of Ouachita, State of Louisiana was called to order at 11:41 A.M. at the Wellness Center, 3215 Cypress Street, West Monroe, Louisiana, by Steve Hall, Chairman of the Board of Commissioners. All references to the “District” refer to the Hospital Service District No. 1 of the Parish of Ouachita, State of Louisiana. All references to the “Foundation” refer to the Living Well Foundation.

APPROVAL OF MINUTES OF DISTRICT BOARD MEETING OF JANUARY 17, 2012
After review of the minutes of the District’s January 17, 2012 Board meeting, a motion was made by Mr. Spencer and seconded by Ms. Liner to adopt the minutes as presented and the motion was unanimously approved.
ANNUAL REPORT OF HSD-DESIGNATED MEMBERS OF GRMC BOARD OF TRUSTEES
Wade Bishop, Whitty Hood, Jerry Lazenby, and Todd Colvin, District-Designated Members of the GRMC Board of Trustees, were in attendance to give an annual report on IASIS Glenwood Regional Medical Center. Mr. Hood stated that major capital expenditures have been made, all taxes have been paid, and that Glenwood’s scores within the IASIS system ranks near the top. Various updates were given concerning the expansion of programs and the premises, as well as physician’s relationships.
EXECUTIVE SESSION FOR PURPOSES OF STRATEGIC PLANNING, INCLUDING WITH RESPECT TO THE FUTURE OF THE WELLNESS CENTER AND RELATIONS WITH GRMC, GLENWOOD RESOLUTION AUTHORITY, INC., AND THE LIVING WELL FOUNDATION
A motion was made by Mr. Spencer, seconded by Mr. Gilley, and unanimously approved for the Board of Commissioners to go into executive session for the purposes of strategic planning, including reviewing the Wellness Center monthly financial statements.
Mrs. Culp, Executive Director of the Wellness Center, presented the Wellness Center monthly financial statements and her management report.
Mr. Spencer motioned, Ms. Liner seconded, and the Commissioners present approved the motion to go back into public session.
OPPORTUNITY FOR PUBLIC COMMENT
Mr. John Milonski, a former member of the Wellness Center, asked for an audience with the Commissioners to discuss an issue of importance to him. With an understanding of his circumstances and request, Mr. Hall stated that the Commissioners would take this under advisement, speak with the District’s attorney, and contact him as soon as possible with a final decision.

REVIEW OF CURRENT FINANCIALS OF DISTRICT (OTHER THAN THE WELLNESS CENTER)
Mr. Hall presented the monthly financials of the District (other than the Wellness Center) ending January 31, 2012, as well as the reissued financials for December 31, 2011.
APPROVAL OF THE DISTRICT’S ANNUAL COMPLIANCE QUESTIONNAIRE
After due discussion, Ms. Liner proposed, Mr. Spencer seconded, and the Board of Commissioners unanimously adopted the following resolution:
RESOLVED, that the completed Louisiana Compliance Questionnaire presented to the Board of Commissioners and reviewed at this meeting is adopted, the Chairman and the Secretary/Treasurer are authorized to sign the same, and the Chairman of the District is authorized to cause the completed and signed questionnaire to be given to the District's auditor.
UPDATE ON ANNUAL RENEWAL OF INSURANCE
A schedule of insurance renewals was presented for review and Mr. Hall advised that premiums have been paid and all insurances are up to date.
ANNUAL RENEWAL OF DIRECTORS & OFFICERS INSURANCE
Details of the Directors and Officers insurance policy were reviewed and Mr. Hall advised that the annual premium was paid for renewal.
APPROVAL OF WRITTEN AGREEMENT WITH PHILLIP SIVILS FOR INSURANCE ADMINISTRATIVE SERVICES
Because of time constraints, Mr. Phillip Sivils was unable to present the District with a written agreement for insurance administrative services and as a result, this agenda item was tabled until the March meeting.
APPROVAL OF STONE PIGMAN WALTHER WITTMANN L.L.C. ENGAGEMENT LETTER FOR LEGAL SERVICES
After due discussion, Ms. Liner proposed, Mr. Gilley seconded, and the Board of Commissioners unanimously adopted the following resolution:
WHEREAS, pursuant to La. R.S. 42:261(I) and other applicable authority, the Board of Commissioners desires to continue to retain Stone Pigman Walther Wittmann L.L.C. as the District's regular counsel, in lieu of the district attorney of the judicial district in which the District is located, and the Board has reviewed a proposed engagement letter, dated January 19, 2012, setting forth the terms of the proposed engagement going forward;
RESOLVED, that the Board of Commissioners hereby approves the continuation of Stone Pigman Walther Wittmann L.L.C. as the District's regular counsel, approves the proposed engagement letter as presented to this meeting, effective February 21, 2012, and authorizes the District's Chairman to execute and deliver same on behalf of the District.
UPDATE ON AIA CONTRACT REGARDING THE HIRING OF AN ARCHITECT FOR THE POSSIBLE EXPANSION OF THE WELLNESS CENTER
Mr. Hall advised that the AIA contract with Fuqua & Partners Architects has been signed by all parties. Plans for the expansion of the Wellness Center will move forward.
DISCUSS THE PRESENTATION MADE BY YMCA TO SAVE ULM NATATORIUM
The Commissioners discussed the proposal made by the YMCA regarding the ULM Natatorium, noting that the District has been asked for verbal and possibly financial support of their efforts. Mr. Hall will speak to the District’s attorney concerning our support and a letter will be forthcoming.
REVIEW OF LIVING WELL FOUNDATION’S UNAUDITED QUARTERLY FINANCIALS
The Foundation’s unaudited financial statements for December 31, 2011 were presented for review and discussion.
REVIEW AND APPROVAL OF LIVING WELL FOUNDATION’S PROPOSED 2012 BUDGET
Ms. Liner moved to consider the following resolution:
WHEREAS, Section 2.B(6) of the Cooperative Endeavor Agreement dated January 31, 2007 between the District and the Foundation provides, among other things, that the budget of the Foundation for each fiscal year is subject to the approval of the District;
WHEREAS, the Foundation has presented to the District a proposed budget for fiscal year 2012;
RESOLVED, that the District hereby approves the Foundation's proposed 2012 budget as presented to the District.
Mr. Spencer seconded the motion. The Board proceeded to a vote, and the motion passed with the unanimous approval of the Commissioners present.
REVIEW OF LIVING WELL FOUNDATION’S BOARD OF DIRECTORS’ MINUTES OF JANUARY 10, 2012 AND EXECUTIVE COMMITTEE MINUTES OF FEBRUARY 7, 2012
The Board of Commissioners reviewed the Foundation’s minutes of the January 10, 2012 Board of Directors’ meeting and the February 7, 2012 Executive Committee meeting.
ANNUAL REVIEW OF GRMC CERTIFICATION OF COMPLIANCE WITH PUBLIC INTEREST COVENANTS
Pursuant to the Asset Purchase Agreement dated July 20, 2006, IASIS Glenwood Regional Medical Center’s Certification of Compliance with the Public Interest Covenants was presented for review and discussion.
TRANSACTION OF ANY OTHER BUSINESS THAT MAY PROPERLY COME BEFORE THE MEETING
The next regular scheduled meeting of the District will be on Tuesday, March 20, 2012.
