A regular meeting of the Board of Commissioners, Hospital Service District No. 1 of the Parish of Ouachita, State of Louisiana was called to order at 11:37 A.M. at the Wellness Center, 3215 Cypress Street, West Monroe, Louisiana, by Steve Hall, Chairman of the Board of Commissioners. All references to the “District” refer to the Hospital Service District No. 1 of the Parish of Ouachita, State of Louisiana. All references to the “Foundation” refer to the Living Well Foundation.

REMARKS FROM THE CHAIRMAN OF THE DISTRICT
Mr. Hall noted that construction of the additional parking at the Wellness Center was complete and that many good comments have been received.
UPDATE WITH DR. BOB WEBBER ON HSD-OUACHITA PARISH SCHOOL BOARD COOPERATIVE ENDEAVOR AGREEMENT
Dr. Bob Webber, Ouachita Parish School Board Superintendent and Pam Barton, Supervisor OPSB Competitive Grant Department, were in attendance to update and discuss the progress of our Cooperative Endeavor Agreement. In addition to the money given by the District for the purpose of fighting childhood obesity, Mr. Hall reminded the Commissioners that the OPSB had been awarded additional grant money to be paid over the next 3 years, which will be used strictly for physical education. All present were in agreement to proceed with plans to increase awareness regarding improving the health and fitness of students. A press conference will be scheduled for the first of the year to help promote physical education programs within the elementary schools and make the public and school personnel more aware.
EXECUTIVE SESSION FOR PURPOSES OF STRATEGIC PLANNING, INCLUDING WITH RESPECT TO THE FUTURE OF THE WELLNESS CENTER AND RELATIONS WITH GRMC, GLENWOOD RESOLUTION AUTHORITY, INC., AND THE LIVING WELL FOUNDATION
A motion was made by Mr. Gilley seconded by Mr. Spencer and unanimously approved for the Board of Commissioners to go into executive session for the purposes of strategic planning, including reviewing the Wellness Center monthly financial statements.
Mrs. Takewell and Mrs. Hanna presented the Wellness Center monthly financial statements.
Betsy Culp, Executive Director of the Wellness Center, attended the executive session for review of the Wellness Center financials and to present her management report.
Mr. Spencer motioned, Mr. Mulhearn seconded, and the Commissioners present approved the motion to go back into public session.
REVIEW OF CURRENT FINANCIALS OF DISTRICT (OTHER THAN THE WELLNESS CENTER)
Mrs. Takewell and Mrs. Hanna presented the monthly financials of the District (other than the Wellness Center) ending October 31, 2011.
ADOPTION OF THE DISTRICT’S 2012 BUDGET
After due discussion, Mr. Mulhearn proposed, Mr. Spencer seconded, and the Board of Commissioners unanimously adopted the following resolution:
RESOLVED, that the proposed budget for the Hospital Service District No. 1 of the Parish of Ouachita, State of Louisiana (the "District") for its 2012 fiscal year, beginning January
1, 2012 (the "2012 Budget"), as previously presented by the Chairman to the District, is hereby adopted.
RESOLVED, that the amounts set forth in the Appropriations sections and the Capital Expenditures section of the 2012 Budget are appropriated for the respective purposes for which they are set forth.
RESOLVED, that amounts are available for expenditure only to the extent included in the 2012 Budget.
RESOLVED, that the Chairman of the District may authorize transfers of any amounts between line items of expenditures within the General Government function, between line items of expenditures within the Wellness Center Operations function, or between line items of expenditures within the Capital Expenditures function.
RESOLVED, that the Executive Director of the Wellness Center may authorize transfers of any amounts between line items of expenditures within the Wellness Center Operations function.
RESOLVED, that the Chairman of the District is authorized to cause the District to incur liabilities and make expenditures budgeted in the General Government function, in the Wellness Center Operations function, or in the Capital Expenditures function for those respective purposes, provided, however, that the Chairman shall not cause to be made any individual expenditures in excess of $100,000 without further approval of the Board of Commissioners.
RESOLVED, that the Executive Director of the Wellness Center is authorized to cause the District to incur liabilities and make expenditures budgeted in the Wellness Center Operations function for that purpose; provided, however, that the Executive Director shall not cause to be made any individual expenditures in excess of $25,000 without further approval of the Board of Commissioners.
ADOPTION OF THE DISTRICT’S 2012 RATES
Mr. Spencer moved to consider the following resolution:
RESOLVED, that rates set forth on the Wellness Center Rates January 1, 2012 schedule presented to this meeting are approved for use with all membership contracts newly entered into or renewed after January 1, 2012.
Mr. Mulhearn seconded the motion. The Board proceeded to a vote, and the motion passed with the unanimous approval of the Commissioners present.
AMENDMENT OF THE DISTRICT’S 2011 BUDGET
The following resolution was offered by Mr. Hall, seconded by Mr. Gilley, and unanimously approved by the Board of Commissioners:
RESOLVED, that the budget for the District for its 2011 fiscal year, beginning January 1, 2011 (the "2011 Budget") is amended and restated in its entirety to match the "Source/Appropriation" and "Capital Expenditures" columns (for the categories) and the "2011 Estimated" columns (for the figures) in the proposed budget for the District for its 2012 fiscal year, beginning January 1, 2012, as presented at this meeting.
RESOLVED, that the appropriation of the amounts set forth in the Appropriations sections and the Capital Expenditures section of the 2011 Budget and their expenditure in 2011 are approved and ratified for the respective purposes for which they are set forth.
ANNUAL SELECTION OF AUDITOR FOR THE DISTRICT
After due discussion, Mr. Spencer proposed, Mr. Gilley seconded, and the Board of Commissioners unanimously adopted the following resolution:
RESOLVED, that the firm of Luffey, Huffman, Ragsdale & Soignier, a Professional Accounting Corporation, is selected to audit the financial statements of the District for the years ending December 31, 2011 and December 31, 2012, and the engagement letter dated November 14, 2011, between the District and such firm is approved, confirmed, and ratified.
DISCUSSION REGARDING THE DATE AND TIME OF THE DECEMBER DISTRICT MEETING
After discussing the possibilities for a change in time and venue for the District’s December meeting, a decision was made to move the meeting time from 11:30 a.m. on Tuesday, December 20th, to 4:30 p.m. The Board will gather in a dining room of the Sage Restaurant, with dinner to follow.
APPROVAL OF MINUTES OF DISTRICT BOARD MEETING OF OCTOBER 18, 2011
After review of the minutes of the District’s October 18, 2011 Board meeting, a motion was made by Mr. Spencer and seconded by Mr. Gilley to adopt the minutes as presented and the motion was unanimously approved
APPROVAL OF LIVING WELL FOUNDATION’S 2012 BUDGET
Dr. Corder, Executive Director of Living Well Foundation, was in attendance to expand on the business of the Living Well Foundation. Dr. Corder presented to the Commissioners the Proposed 2012 Budget for discussion and remarked that the Foundation had approved the budget for publication only. After due discussion and a need for revisions, the Board of Commissioners tabled the approval of Living Well Foundation’s 2012 Budget until the December meeting of the Hospital Service District #1.
APPROVAL OF POSSIBLE ANCILLARY AGREEMENT BETWEEN THE LIVING WELL FOUNDATION AND OUACHITA PARISH POLICE JURY RELATING TO SCHOOL BASED HEALTH CLINIC
Mr. Spencer moved to consider the following resolution:
WHEREAS, Section 2.B(7)(j) of the Cooperative Endeavor Agreement dated January 31, 2007, by and between the District and the Foundation provides that the Foundation shall not enter into any contract or transaction involving the Police Jury without, among other things, the approval of the Board of Commissioners of the District;
RESOLVED, that the Third Ancillary Agreement Between the Living Well Foundation and the Ouachita Parish Police Jury as to the Coordination Agreement, in the form presented to this meeting, which is similar to the previous two ancillary agreements between the Living Well Foundation and the Ouachita Parish Police Jury as to Coordination Agreement, and provides for an extension of an additional year or more, with such further changes, if any, as the Chairman of the District may approve, is approved, and the Chairman of the District is authorized to attest on the agreement itself that it has been so approved.
Mr. Gilley seconded the motion. The Board proceeded to a vote, and the motion passed with the unanimous approval of the Commissioners present.
ELECTION OF CERTAIN DIRECTORS AND OFFICERS OF THE LIVING WELL FOUNDATION
Mr. Mulhearn offered the following resolution:
Election of Directors
WHEREAS, at the end of 2011 there will expire the first "countable" terms of two of the directors of the Foundation who were elected by the District, Leah Biley and Mary Ann Newton, whose name has changed to Mary Ann Moon (each of whose initial term expired on or before December 31, 2008 and therefore did not count for purposes of the term limit qualifications);
WHEREAS, the nominating committee of the Foundation has recommended, and the Board of Directors of the Foundation has nominated, each of Leah Biley and Mary Ann Moon to
serve a 3-year term as a director of the Foundation, each such term to begin January 1, 2012 and continue until December 31, 2014;
RESOLVED, that Leah Biley and Mary Ann Moon are each elected to serve a 3-year term as a director of the Foundation, in each case with such term to begin January 1, 2012 and continue until December 31, 2014 (and thereafter until her successor is elected and has qualified, unless she sooner resigns or is removed from office), which terms will constitute the second terms for Leah Biley and Mary Ann Moon within the meaning of Article VI(2)(e) of the Second Amended and Restated Articles of Incorporation and Section 2.2(e) of the Bylaws of the Foundation.

WHEREAS, the nominating committee of the Foundation has recommended, and the Board of Directors of the Foundation has nominated, the persons elected to such offices for 2012 to comprise the Executive Committee for 2012, with Lori Pearce as the non-voting secretary;

RESOLVED, that the District interprets the nomination of the additional members of the committee as designations and therefore recognizes the foregoing persons as the members of the Finance/Investment Committee in 2012, with the Vice Chair for Finance/Investment acting as chair of the committee.
Programs/Grant Review Committee
WHEREAS, Section 3.7 of the Foundation's Bylaws provides that the Programs/Grant Review Committee shall consist of the Vice Chair for Programs/Grant Review, by virtue of office, and at least two other directors designated by the Board of Directors, and that the Vice Chair for Programs/Grant Review shall act as chair of the committee;
WHEREAS, the nominating committee of the Foundation has recommended, and the Board of Directors of the Foundation has nominated, the following persons to serve on the Programs/Grant Review Committee in 2012:

Audit Committee
WHEREAS, Section 3.9 of the Foundation's Bylaws provides that the Audit Committee shall consist of at least three directors designated by the Board of Directors, and that the members of the committee shall select one member of the committee to act as chair of the committee.
WHEREAS, the nominating committee of the Foundation has recommended, and the Board of Directors of the Foundation has nominated, the following persons to serve on the Audit Committee in 2012:

Dr. John Shepard
with Julian Johnston nominated as chair of the committee.
RESOLVED, that the District interprets the nomination of the members of the committee as designations and therefore recognizes the foregoing persons as members of the Audit Committee in 2012, but notes that the members of the committee still need to select one member of the committee to serve as chair of the committee.
Upon Mr. Spencer’s second, the Commissioners approved the resolution by the unanimous vote of those present.
APPROVAL OF AMENDMENT OF EMPLOYMENT TERMS OF CERTAIN LIVING WELL FOUNDATION EMPLOYEES
After due discussion, Mr. Mulhearn motioned, Mr. Spencer seconded, and the Board of Commissioners unanimously adopted the following resolution:
WHEREAS, Section 2.B(7)(b) of the Cooperative Endeavor Agreement dated January 31, 2007 between the District and the Foundation provides, among other things, that the amendment of the employment terms of the five highest-paid employees of the Foundation are subject to the approval of the District;
WHEREAS, the Foundation desires to increase the salary and amended certain other terms of employment of Lori Pearce, effective January 1, 2012, as Treasurer/Chief Financial Officer and Secretary of the Foundation;
RESOLVED, that the amendment of the terms of employment of Lori Pearce, as set forth in the written employment letter agreement presented to this meeting, dated November 1, 2011, with terms to be effective January 1, 2012 (which amends her written employment letter agreement dated January 31, 2011), is approved, confirmed, and ratified.
WHEREAS, the Foundation desires to increase the salary of Tracey Linson, effective January 1, 2012, as Grants Manager of the Foundation;
RESOLVED, that the amendment of the terms of employment of Tracey Linson, as set forth in the written employment letter agreement presented to this meeting, dated November 1, 2011, with terms to be effective January 1, 2012 (which amends her written employment letter agreement dated July 14/19, 2011), is approved, confirmed, and ratified.
REVIEW OF LIVING WELL FOUNDATION’S QUARTERLY UNAUDITED FINANCIAL STATEMENTS
Dr. Corder, Executive Director of Living Well Foundation, presented to the Commissioners the Unaudited Quarterly Financials Statements for September 30, 2010 for review and discussion.
REVIEW OF LIVING WELL FOUNDATION’S MINUTES OF OCTOBER 11, 2011 EXECUTIVE COMMITTEE MEETING, OCTOBER 19, 2011 SPECIAL EXECUTIVE COMMITTEE MEETING AND NOVEMBER 1, 2011 BOARD OF DIRECTORS’ MEETING
The Board of Commissioners reviewed the Foundation’s minutes of the October 11, 2011 Executive Committee meeting, the October 19, 2011 Special Executive Committee meeting and the November 1, Board of Directors’ meeting.
REVIEW OF THE UNAUDITED QUARTERLY FINANCIALS OF GLENWOOD RESOLUTION AUTHORITY, INC.
Glenwood Resolution Authority’s Unaudited Quarterly Financial Statements for August 31, 2011 were presented for review and discussion.
TRANSACTION OF ANY OTHER BUSINESS THAT MAY PROPERLY COME BEFORE THE MEETING
The next regular scheduled meeting of the Hospital Service District on Tuesday, December 20, 2011. A change in the time and location was made in order to accommodate guests who will be this meeting and dinner.
