CONTRACTOR AS PURCHASING AGENT

CONTRACTOR shall not act beyond the scope of the authority granted to it, and shall provide all documentation requested by CITY, including documentation on the materials purchased, the sales tax saved and confirmation that all saving from non-payment of sales tax accrue only to the CITY and not to CONTRACTOR. Title and possession of all materials and equipment acquired pursuant to this authority granted to CONTRACTOR shall pass directly from the vendor to the CITY, and CONTRACTOR’S rights and obligations shall be that of purchasing agent. All purchases for the PROJECT shall be in the name of CITY, and all payments to vendors shall be made by the CONTRACTOR as CONTRACTOR-AGENT of the CITY, using funds that are accounted to the CITY. (All materials and equipment that are being incorporated into the PROJECT are titled in the name of the CITY upon delivery to the construction site, and prior to their incorporation into the PROJECT.)
