Mr. Hall, Mrs. Takewell, and Mrs. Hannah presented the District’s monthly financial statements. After discussion of concerns of the JPMorgan Chase statement, the Commissioners asked Mr. Spencer to draft a list of specifics concerning bank accounting.

ADOPTION OF WELLNESS CENTER RATES FOR 2011
After review and due discussion, Mr. Spencer proposed, Mr. Gilley seconded, and the Board of Commissioners unanimously adopted the following resolution:
RESOLVED, that rates set forth on the Wellness Center Rates January 1, 2011 schedule presented to this meeting are approved for use with all membership contracts newly entered into or renewed after January 1, 2011.

The following resolution was offered by Mr. Gilley, seconded by Ms. Liner, and unanimously approved by the Board of Commissioners:
RESOLVED, that the Board of Commissioners hereby schedules its regular meetings during the calendar year 2011 for the third Tuesday of every month, at 11:30 a.m. at the Wellness Center, all as more fully set forth on the schedule presented at this meeting.
APPROVAL OF MINUTES OF DISTRICT BOARD MEETING HELD ON NOVEMBER 16, 2010
After review of the District’s November 16, 2010 Board meeting minutes, a motion was made by Ms. Liner and seconded by Mr. Spencer to adopt the minutes as presented and the motion was unanimously approved.
DISCUSSION REGARDING THE SOLICITATION OF BANKING BIDS
Mr. Landry and Mr. Mulhearn will continue to work out the schedule for publication of notices and deadlines for the solicitation of bank bids for the District’s checking account.
APPROVAL OF LIVING WELL FOUNDATION’S PROPOSED 2011 BUDGET
Dr. Corder, Executive Director of Living Well Foundation, was in attendance to expand on the business of the Living Well Foundation. Dr. Corder presented to the Commissioners the Proposed 2011 Budget for discussion and remarked that the salary of a new assistant will not be as high as noted since that position was changed from a 32-hour a week job to a 20-hour a week job.
Ms. Liner moved to consider the following resolution:
WHEREAS, Section 2.B(6) of the Cooperative Endeavor Agreement dated January 31, 2007 between the District and the Foundation provides, among other things, that the budget of the Foundation for each fiscal year is subject to the approval of the District;
WHEREAS, the Foundation has presented to the District a proposed budget for fiscal year 2011;
RESOLVED, that the District hereby approves the Foundation's proposed 2011 budget as presented to the District.
Mr. Spencer seconded the motion. The Board proceeded to a vote, and the motion passed with the unanimous approval of the Commissioners present.
APPROVAL OF PROPOSED AMENDMENT OF THE SECOND AMENDED AND RESTATED ARTICLES OF INCORPORATION OF THE LIVING WELL FOUNDATION
An amendment to the Living Well Foundation’s Second Amended and Restated Articles of Incorporation was reviewed and the following resolution was offered by Ms. Liner, seconded by Mr. Gilley, and unanimously approved by the Board of Commissioners:
WHEREAS, the Foundation has proposed to delete the requirement in its articles of incorporation that all Board Officers of the Foundation must reside within Hospital Service District No. 1 as an official qualification of office as a Board Officer;
RESOLVED, that, consistent with the proposed amendment set forth in the notice of this meeting, it is hereby approved that the first sentence of Article VII(2) of the Second Amended and Restated Articles of Incorporation of the Foundation is amended to read as follows:
The Board Chair and the Vice Chairs (collectively, the "Board Officers") each must be a director, and each must meet all of the qualifications of a director.

ELECTION OF CERTAIN DIRECTORS AND OFFICER OF THE LIVING WELL FOUNDATION
Dr. Corder advised of the nominations for election and approval of the Foundation’s Directors and Officers and Ms. Liner offered the following resolution:
Election of Directors
WHEREAS, at the end of 2010 there will expire the first "countable" terms of three of the initial directors of the Foundation who were elected by the District, Dave Norris, Susan Hoffman, and W. Bert Hatten (each of whose initial term expired on or before December 31, 2008 and therefore did not count for purposes of the term limit qualifications);
WHEREAS, the nominating committee of the Foundation has recommended, and the Board of Directors of the Foundation has nominated, each of Dave Norris, Susan Hoffman, and Mistie Caples to serve a 3-year term as a director of the Foundation, each such term to begin January 1, 2011 and continue until December 31, 2013;
RESOLVED, that Dave Norris, Susan Hoffman, and Mistie Caples are each elected to serve a 3-year term as a director of the Foundation, in each case with such term to begin January 1, 2011 and continue until December 31, 2013 (and thereafter until his or her successor is elected and has qualified, unless he or she sooner resigns or is removed from office), which terms will constitute the second terms for Dave Norris and Susan Hoffman and the first term for Mistie Caples within the meaning of Article VI(2)(e) of the Second Amended and Restated Articles of Incorporation and Section 2.2(e) of the Bylaws of the Foundation.

Mr. Hall advised that Glenwood Resolution Authority, Inc. made a wire transfer to the District’s checking account today. Consensus was that the money should be transferred to the investment account with JPMorgan Chase. The next regular scheduled meeting of the Hospital Service District is Tuesday, January 18, 2011. The Commissioners and their guests enjoyed dinner before adjourning for the evening.

ORDINANCE NO. 2011-01 (SED)
AN ORDINANCE TO INCREASE SEWER USER FEES FOR RESIDENTIAL AND COMMERCIAL USERS WITHIN THE STERLINGTON CONSOLIDATED SEWER SYSTEM
WHEREAS, the costs of maintenance, the requirements of the Department of Environmental Quality, debt servicing and the necessity for new supplies, equipment, parts, facilities, and service makes it mandatory that the monthly user fees for properties serviced by this sewerage district be increased to meet the operating needs of the system as set forth in its current budget,
WHEREAS, monthly user fees for residential sewer service be increased from $26 to $29.50 per month, with customer deposits remaining at $60, tap fees remaining at $200 unless road bore is needed customer will pay the additional cost, late fees after the 10th of the month will remain at $5;
WHEREAS, monthly user fees for small commercial business sewer service be increased from $40 to $44 per month up to 4,000 gallons usage thereafter $2.25 per 1,000 gallons over the 4,000 gallons, with small commercial deposits remaining at $80, tap fees remaining at $300 unless road bore is needed customer will pay the additional cost, late fees after the 10th of the month will remain at $5;
WHEREAS, monthly user fees for large commercial business sewer service be increased from $50 to $55 per month up to 8,000 gallons usage thereafter $2.25 per 1,000 gallons over the 8,000 gallons, with large commercial deposits remaining at $100, tap fees remaining at $300 unless road bore is needed customer will pay the additional cost, late fees after the 10th of the month will remain at $5;
NOW THEREFORE, monthly user fees for residential, small commercial and large commercial sewer use by subscribers to sewerage service are and the same are hereby increased as stated above beginning with the February 2011 billing.
The foregoing ordinance having been duly introduced (Caesar Velasquez, Ladd Williams) December 14, 2010, at a regular meeting of the Mayor and Board of Aldermen, Town of Sterlington and the notice of it having been published in the official journal and the same having been read by title at the regular meeting of the Mayor and Board of Aldermen on January 11, 2011, and called for final passage (Bonnie Dilmore, Ron Hill) and submitted to a final vote as a whole, the vote thereon being:

CALL TO ORDER/ROLL CALL
Mayor Vern Breland called the meeting to order. A quorum was present and acting. Aldermen present: Caesar Velasquez, Jayne Bullock, Ron Hill, Bonnie Dilmore, and Ladd Williams.
INVOCATION AND PLEDGE OF ALLEGIANCE
Chief Bonner gave the invocation and led the group in the Pledge of Allegiance.
GUESTS
Attending the meeting were Kimberly and Carmin Velasquez, Whitley Velasquez, Al Benson, Miranda Russ, Melissa Breland, Connie Priest with North Ouachita Weekly, Mavis Williams, Billy and Carol Granger, Gloria Barnett, Lucy Holtzclaw, Bruce and Jean Bonner, and Reverend Judy Bazer.
Town personnel in attendance were Katy Balsamo, Barry Bonner, Pat McDonald, and Marilyn Dilmore.

ROAD WORK BIDS
Mayor Breland reported in the packets is a copy of the bid tabulations Tom Holtzclaw prepared. The lowest bidder was Charles Heard with Asphalt Construction Company at Eight Thousand Four Hundred Fifty Dollars ($8,450) to repair the roads that had drainage work done in the village.
RESIGNATION OF OFFICER RANDY HALL
Chief Bonner stated Randy Hall turned in a resignation letter. Chief Bonner stated he is gone now.
UPDATE ON POLICE VEHICLE
Chief Bonner reported the 2011 Crown Victoria is here and equipped. He mentioned the Durango is giving them problems and he will get it to Stuart’s to see what is going on with it. Alderman Velasquez suggested getting an estimate before he does any work.
PUBLIC PARTICIPATION
Mavis Williams asked Mayor Breland why he took up the Pecan Street sign today. Mayor Breland explained he talked to the Parish Attorney and Pecan Street is not on the Parish’s Master Road List, in other words it is not a road. There is a road right-of-way that was given back in the 1950’s. The road right-of-way is in case the Town wants to build a road there.

PECAN STREET
Alderman Williams stated the town cannot spend public funds on a road bed that is not on the Parish Master Road List. He stated he got some figures for 220 feet at a cost of Fifty to Fifty-five Thousand Dollars to bring this up to Parish specs. He stated further that the town does not have the funds to do this.
M/S/C (Ladd Williams, Jayne Bullock) to table discussion until the January 11, 2011 meeting.
MINUTES
M/S/C (Ron Hill, Ladd Williams) to approve the September 14th and October 12th minutes with minor editing corrections. Bonnie Dilmore abstained from voting on the October 12th meeting minutes.
MONTHLY EXPENDITURES
M/S/C (Caesar Velasquez, Ladd Williams) to approve the expenditures listed for payment.
BUDGET
M/S/C (Ron Hill, Ladd Williams) to table the budget until the next meeting.
