Sims, seconded by Jerry Hicks, the Board unanimously approved the Minutes of October 5, 2010 as written. The Board approved the revised Agenda as presented on motion by Mr. Sims and seconded by Reverend Russell. Motion carried unanimously. On motion by Jerry Hicks, seconded by A. R. Sims, the Board approved the amended Personnel Agenda as presented, including the changes since it was mailed out. Motion carried unanimously. Legal counsel for Foley and Judell Law Firm, Grant Schlueter, presented a Resolution for the Board’s consideration and A. R. Sims moved, seconded by Jerry Hicks, that the Board adopt the Resolution regarding the refinancing of $8.6 million of revenue used for construction/renovations on the west side and providing for the issuance and sale of revenue School Bonds, Series 2010, of the West Ouachita Parish School District of the Parish of Ouachita, State of Louisiana; and providing for other matters in connection therewith. According to Mr. Schlueter these bonds were the 2001 & 2002 revenue bonds issue previously for $8 million and $3 million respectively and preliminarily approved by the Board. The underwriter, Morgan Keegan, has priced the bonds with sales results that are very good. John Poche with Morgan Keegan was in the audience and introduced by Mr. Schlueter as the main man for spearheading this effort for the underwriters. The savings in sales tax revenue on the west side is net of all cost reflecting a total savings of over $650,000. The present value of percentage is 6.28% which far exceeds the guidelines of the State Bond Commission. With acceptance of this proposal and the sale of the bonds, the interest rates on the outstanding sales tax bonds 2001 and 2002 will reduce from rates that go up to 5.30% down to 3.4%. In addition, the Board maintained the high AA- bond rating according to Standard & Poors. Motion carried unanimously. Superintendent Webber honored the memory of a fallen soldier, Sgt. Jordan Tuttle, with a Resolution acknowledging the courageous and heroic sacrifice he made for our country. The Resolution was presented by Board member Jerry Hicks and accepted by Jordan’s mother, Annette, and stepfather, Myron Turner. Jordan attended West Ouachita High School and was a graduate of Ouachita Parish High. On the recommendation of Business Manager Richie Garrett, Susan Spence moved, seconded by Jerry Hicks, that the Board increase the mileage rate for employees from 36¢ to 42¢ per mile, effective November 1, 2010. Sims, that the Board grant Greater Ouachita Water Company a servitude request for West Ridge Middle School property needed for installing a pipe underground to move wastewater from the treatment plant located on the property to a ditch going under the interstate behind the school property. The servitude is 1,662.16 feet long and Greater Ouachita Water Company agrees to pay $4.00/ft. for a total of $6,648.64. Motion carried unanimously. Special Projects/Safety Coordinator Kenneth Slusher reported that the OPAC construction projects are completed and several other projects are winding down. AMENDMENT OF AGENDA In light of the number of visitors to the Board with varying schedules, and the fact that the Board did not anticipate taking any substantive actions at the meeting, the Board proceeded, in each case with the unanimous approval of the Commissioners present, to take up matters on the agenda in a flexible manner in an effort to accommodate the varying schedules of its visitors. EXECUTIVE SESSION FOR PURPOSES OF STRATEGIC PLANNING, INCLUDING REVIEWING THE WELLNESS CENTER AND DISTRICT MONTHLY FINANCIALS A motion was made by Mr. Spencer, seconded by Mr. Gilley, and unanimously approved for the Board of Commissioners to go into executive session for the purposes of strategic planning, including reviewing the Wellness Center and District monthly financial statements. Debbie Takewell and Karen Hanna presented the District and Wellness Center monthly financial statements. Amanda Adcock, Executive Director of the Wellness Center, also attended the executive session. Mr. Gilley moved and Mr. Spencer seconded and the Commissioners present approved a motion to go back into public session. OPPORTUNITY FOR PUBLIC COMMENT Several members of the Wellness Center, specifically Barbara Brothers, Beth Thompson, Jo Richardson, Linda Jones, Ruby Ingram, and Norma Brindle, voiced their opinions concerning the recent dismissal of a Wellness Center employee, Jeannie Roberts, which in general they felt was a tragic mistake. They also made various comments and asked various questions about the operation and direction of the Wellness Center. While declining to address the particular circumstances or reasons for the dismissal in detail, the Commissioners and Mrs. Adcock endeavored to respond to the various comments and questions directly and openly. REMARKS FROM THE CHAIRMAN OF THE DISTRICT Mr. Hall had no remarks at this time. QUARTERLY UPDATE ON JPMORGAN CHASE INVESTMENTS Jay High, JPMorgan Chase Vice President Investment Advisor, and Burton Wade, JPMorgan Chase Wealth Manager, presented a quarterly performance report on the District's investments managed by JPMorgan Chase for the period ending September 30, 2010 and discussed the outlook for the near future. In response to a question, Mr. High indicated there was no securities lending taking place with the District's investments, as the District's account was not a margin account. EXECUTIVE SESSION FOR PURPOSES OF STRATEGIC PLANNING, INCLUDING WITH RESPECT TO THE FUTURE OF THE WELLNESS CENTER A motion was made by Mr. Spencer, seconded by Mr. Mulhearn, and unanimously approved for the Board of Commissioners to go into executive session for the purposes of strategic planning, including with respect to the future of the Wellness Center. Amanda Adcock, Executive Director of the Wellness Center, attended the executive session for the purpose of presenting her management report regarding the Wellness Center. A motion was made by Mr. Gilley, seconded by Mr. Mulhearn, and unanimously approved for the Board of Commissioners to go back into regular session. UPDATE ON THE STATUS OF HIRING AN ADDITIONAL LIVING WELL FOUNDATION EMPLOYEE Dr. Jan Corder, Chief Executive Officer of the Living Well Foundation, was in attendance to discuss Foundation business concerning the hiring of an additional employee. To date, no additional employee has been hired by the Foundation and further interviews are pending. REVIEW OF LIVING WELL FOUNDATION’S EXECUTIVE COMMITTEE MINUTES OF OCTOBER 5, 2010 The Board of Commissioners reviewed the Foundation's Executive Committee minutes of October 5, 2010. EXECUTIVE SESSION FOR PURPOSES OF STRATEGIC PLANNING, INCLUDING WITH RESPECT TO THE FUTURE OF THE WELLNESS CENTER A motion was made by Mr. Spencer, seconded by Mr. Mulhearn, and unanimously approved for the Board of Commissioners to go into executive session for the purposes of strategic planning, including with respect to the future of the Wellness Center. The executive session involved a discussion of long-term strategic possibilities for the Wellness Center and the preparation of the District's budget, including the Wellness Center budget, for 2011. A motion was made by Mr. Spencer, seconded by Mr. Mulhearn, and unanimously approved for the Board of Commissioners to go back into regular session. APPROVAL OF MINUTES OF DISTRICT BOARD MEETING HELD ON SEPTEMBER 27, 2010 After review of the September 27, 2010 Board minutes, a motion was made by Mr. Mulhearn and seconded by Mr. Gilley to adopt the minutes as presented and the motion was unanimously approved. QUARTERLY REVIEW/RECEIPT OF GRA UNAUDITED QUARTERLY FINANCIAL STATEMENTS The Commissioners reviewed the Unaudited Quarterly Financials of Glenwood Resolution Authority, Inc. ("GRA") as of August 31, 2010 and noted that the GRA Board of Directors has done an excellent job. TRANSACTION OF ANY OTHER BUSINESS THAT MAY PROPERLY COME BEFORE THE MEETING The next regular scheduled meeting of the Hospital Service District is Tuesday, November 16, 2010.
