Commissioner Hall called the meeting to order promptly at 11:00 a.m. First on the agenda was the proposed subdivision Virginia Mae Estates Units 4&5. Unit 4 to consist of 13 single family residential lots and Unit 5-4 single family residential lots. Mr. Thornhill presented the plans and specifications for the units and a discussion followed. Commissioner Leach agreed the district should acccept the subdivisions upon completion and inspection and Commissioner Owens seconded the motion. The motion was passed by a unanimous voice vote. Next was the proposed subdivision Versailles Estates to consist of 15 single family residential lots. Upon review of the revised plans it is agreed all previous concerns have been addressed. Commissioner Owens made a motion to accept the subdivision and Commissioner Leach seconded the motion. The motion was passed by a unanimous voice vote. Mr. Thornhill presented the next item on the agenda, Borden Milk Products Building. Following the review of a letter dated October 4, 2010, the Commissioners agreed to accept the wastewater from the site under the conditions stated in the letter. Commissioner Owens made the motion to accept and Commissioner Leach seconded the motion. The motion was passed by a unanimous voice vote. Next, the Beau Maison Duplex Development to consist of 12 duplexes. Mr. Thornhill provided a letter from the developer that addressed concerns of the sewer district engineer and manager, and provided the necessary information needed to proceed. Upon completion and inspection of the development, Commissioner Owens made a motion to accept and Commissioner Leach seconded the motion. The motion was passed by a unanimous voice vote. The cooperative endeavor agreemement between WOSD#5 and Drew Partnership LLC was completed by the attorney for the district. Mr. Cox presented the endeavor agreement to the commissioners and Commissioner Owens made a motion to accept the agreement and Commissioner Leach seconded the motion. The motion was passed by a unanimous voice vote. The final item was cash disbursements. Mr. Cox presented the disbursements for the month and following a brief discussion Commissioner Owens made a motion to accept them as reasonable and necessary and Commissioner Leach seconded the motion. All references to the “District” refer to the Hospital Service District No. 1 of the Parish of Ouachita, State of Louisiana. All references to the “Foundation” refer to the Living Well Foundation. INVOCATION Ms. Liner gave the invocation. OPPORTUNITY FOR PUBLIC COMMENT There were no comments by any member of the public. REMARKS FROM THE CHAIRMAN OF THE DISTRICT Mr. Hall had no remarks at this time. EXECUTIVE SESSION FOR PURPOSES OF STRATEGIC PLANNING, INCLUDING WITH RESPECT TO THE FUTURE OF THE WELLNESS CENTER AND RELATIONS WITH GRMC, GLENWOOD RESOLUTION AUTHORITY, INC., AND THE LIVING WELL FOUNDATION A motion was made by Mr. Spencer, seconded by Mr. Gilley, and unanimously approved for the Board of Commissioners to go into executive session for the purposes of strategic planning, including with respect to the future of the Wellness Center and relations with GRMC, Glenwood Resolution Authority, Inc., and the Living Well Foundation. Debbie Takewell and Karen Hanna presented HSD and Wellness Center financials during their designated time in Executive Session. Amanda Adcock, Executive Director of the Wellness Center, attended Executive Session during the monthly financials presentation and made her Management Report. A motion was made by Mr. Mulhearn, seconded by Mr. Spencer, and unanimously approved for the Board of Commissioners to go back into regular session. APPROVAL OF MINUTES OF DISTRICT BOARD MEETING HELD ON JULY 20, 2010 After review of the August 17, 2010 Board minutes, a motion was made by Mr. Spencer and seconded by Mr. Mulhearn to adopt the minutes as presented and the motion was unanimously approved. RE-APPOINTMENT OF COMMISSIONER Mr. Hall was reappointed as a member of the Hospital Service District #1 Board of Commissioners at the meeting of the Ouachita Parish Policy Jury on August 2, 2010. His Oath of Office was administered on September 2, 2010. REVIEW OF LIVING WELL FOUNDATION’S 2009 SIGNED FORM 990 The Commissioners reviewed the Living Well Foundation’s signed 2009 Form 990. APPROVAL OF AMENDMENT AND RESTATEMENT OF LIVING WELL FOUNDATION’S ARTICLES OF INCORPORATION After due discussion, Mr. Spencer proposed, Ms. Liner seconded, and the Board of Commissioners unanimously adopted the following resolution: RESOLVED, that the amendments to the Articles of Incorporation of the Ward Five Healthcare Foundation (commonly referred to as the Living Well Foundation) previously circulated to the members of the Board and set forth in the notice of this meeting, including but not limited to the formal change of the name of the Foundation from Ward Five Healthcare Foundation to Living Well Foundation, and the incorporation of such amendments in, and restatement of the articles as, the Second Amended and Restated Articles of Incorporation of the Living Well Foundation, are hereby approved. APPROVAL OF AMENDMENT AND RESTATEMENT OF LIVING WELL FOUNDATION’S BYLAWS Mr. Mulhearn offered the following resolution: RESOLVED, that the amendments to the Bylaws of the Foundation previously circulated to the members of the Board and set forth in the notice of this meeting, and the restatement of the Bylaws incorporating such amendments, are hereby approved, effective upon the filing of the Second Amended and Restated Articles of Incorporation of the Living Well Foundation with the Louisiana Secretary of State. Mr. Gilley seconded the motion and the Board unanimously approved APPROVAL OF THE EMPLOYMENT TERMS OF A NEW LIVING WELL FOUNDATION EXECUTIVE ASSISTANT The following resolution was offered by Mr. Gilley, seconded by Ms. Liner, and unanimously approved by the Board of Commissioners: WHEREAS, Section 2.B(7)(b) of the Cooperative Endeavor Agreement dated January 31, 2007 between the District and the Foundation provides, among other things, that the establishment or amendment of the employment terms of the five highest-paid employees of the Foundation are subject to the approval of the District; WHEREAS, the Foundation desires to employ Marlene James as an executive assistant, effective October 1, 2010; RESOLVED, that the proposed terms of employment of Marlene James by the Foundation as an executive assistant, as set forth in the draft written employment letter agreement presented to this meeting, effective October 1, 2010, are approved. APPROVAL OF POSSIBLE ANCILLARY AGREEMENT BETWEEN THE LIVING WELL FOUNDATION AND OUACHITA PARISH POLICE JURY RELATING TO THE SCHOOL BASED HEALTH CLINICS ON THE EAST SIDE OF OUACHITA PARISH Mr. Mulhearn moved to consider the following resolution: WHEREAS, Section 2.B(7)(j) of the Cooperative Endeavor Agreement dated January 31, 2007, by and between the District and the Foundation provides that the Foundation shall not enter into any contract or transaction involving the Police Jury without, among other things, the approval of the Board of Commissioners of the District; RESOLVED, that a second ancillary agreement between the Living Well Foundation and the Ouachita Parish Police Jury as to the Coordination Agreement, in a form similar to the previous Ancillary Agreement between the Living Well Foundation and the Ouachita Parish Police Jury as to Coordination Agreement, effective as of December 31, 2009, but providing for an extension of an additional year or more, with such further changes, if any, as the Chairman of the District may approve, is approved, and the Chairman of the District is authorized to attest on the agreement itself that it has been so approved Ms. Liner seconded the motion. The Board proceeded to a vote, and the motion passed with the unanimous approval of the Commissioners present. REVIEW OF LIVING WELL FOUNDATION’S EXECUTIVE COMMITTEE MINUTES OF SEPTEMBER 8, 2010 AND BOARD OF DIRECTORS MINUTES OF SEPTEMBER 16, 2010 The Board of Commissioners reviewed the Executive Committee minutes of September 8, 2010 and Board of Directors minutes of September 16, 2010. TRANSACTION OF ANY OTHER BUSINESS THAT MAY PROPERLY COME BEFORE THE MEETING The next regular scheduled meeting of the Hospital Service District is Tuesday, October 19, 2010.
