Committee Reports
Bid Committee: Angie Jackson-Wilson, Chairwoman, reported that the Bid Committee met on September 17, 2009 at 4:30 p.m. to listen to bid presentations to advertise the 2009 Christmas on the River Festival and the 2010 Mardi Gras Parade. She reported that the following advertising agencies presented a bid proposal.

Angie Jackson-Wilson reported that the bid should include a maximum amount of advertisements at the bidder’s discretion in the out-of-state regional markets of Mississippi and Arkansas for a total amount of $50,000.00 with $30,000.00 allowed for Christmas on the River and $20,000.00 for the 2010 Mardi Gras Parade.
She stated that after listening to the three (3) proposals by the advertising agencies and further discussion, the bid committee recommended that the bid proposals of Newcomer, Morris & Young, Inc. be accepted.
It was moved by Angie Jackson-Wilson and seconded by Gretchen Kovac to accept the bid proposals of Newcomer, Morris and Young, Inc. for the adverting of the 2009 Christmas on the River Festival and the 2010 Mardi Gras Parade. Motion carried by a vote of ten (10) affirmative votes to zero (0) negative votes.
Tourism Development Committee: Ryan Roark, Chairman, reported that the Tourism Development Committee met on September 21, 2009 at 3:30 to review grant payment requests from the following organizations.
City of Monroe Regional Airport – The Monroe Regional Airport requested $15,000.00 which represents the 1st 75% payment of the $20,000.00 funds dedicated for marketing and advertising the Monroe Regional Airport.
City of Monroe Ouachita River Scenic Overlook & Trail – The City of Monroe requested the final grant payment in the amount of $1,250.00 for the construction of the Ouachita River Scenic Overlook & Trail project.
Masur Museum – The Masur Museum requested the final grant payment in the amount of $2,236.13 for the printing of a new brochure.
N/E Louisiana Children’s Museum – The Children’s Museum requested $18,750.00 which represents the 1st 75% payment of the $25,000.00 funds dedicated to rent an Ice Skating Ring for Santa’s Christmas Village.
West Ouachita Youth Sports Association – W.O.Y.S.A. requested $1,125.00 which represents the 1st 75% payment of the $1,500.00 funds dedicated for the development of a new website. They also requested $3,750.00 which represents the 1st payment of 75% of the $5,000.00 to help promote the pilot football tournament to be held in December 2009.
South Central Regional Music Conference – The S/C Music Conference requested $3,000.00 which represents the 1st 75% payment of the $4,000.00 funds dedicated to help promote the 2010 S/C Regional Music Conference to be held in Monroe.
It was moved by Ryan Roark and seconded by Gretchen Kovac to approve the Tourism Development Grant Committee’s recommendations as presented. Motion carried by a vote of ten (10) affirmative votes to zero (0) negative votes.
Krewe of Janus Mardi Gras Parade – The Krewe of Janus submitted a letter to the committee requesting a grant of $5,000.00 for payment to the University of Louisiana at Monroe Marching Band to participate in the 2010 Mardi Gras Parade.
It was moved by Jerry Edmondson and seconded by Gretchen Kovac to grant the Krewe of Janus $5,000.00 to be used for payment to the University of Louisiana at Monroe Marching Band to participate in the 2010 Mardi Gras Parade. Motion carried by a vote of ten (10) affirmative votes to zero (0) negative votes.
Other Business: Alana Cooper reported that she and Scott Bruscato met with Mike Terrell with the Archery Shooters Association for a site inspection at the Ouachita Parish Sheriff’s Rifle Range for the possibility of hosting a National Archery Tournament. She stated that after the site, inspection the Convention & Visitors Bureau was awarded the National Classic Archery Tournament for 2010, 2011 and 2012. She reported that the tournament is a 4- day event with an average of 1,500 shooters.
Alana Cooper requested board approval for the dedication of $12,000.00 per year to cover expenses for the event to come to the Monroe-West Monroe area.
It was moved by Jerry Edmondson and seconded by Sue Nicholson to dedicate $12,000.00 per year for three (3) years to cover expenses for the National Classic Archery Tournament to be held in Monroe-West Monroe. Motion carried by a vote of ten (10) affirmative votes to zero (0) negative votes.
Alana Cooper reported that she received a call from BASS stating that they had a cancellation for a 2010 Women Bassmaster Tournament. They stated that the Convention & Visitors Bureau did an outstanding job with the 2009 Women Bassmaster Tournament and would like to offer the September 2010 tournament to be held in Monroe-West Monroe. She reported that she accepted the offer for the tournament to be held in Monroe-West Monroe.
She requested board approval to dedicate $6,000.00 to cover expenses for the 2010 Woman Bassmaster Tournament to be held in Monroe-West Monroe.
It was moved by Jerry Edmondson and seconded by Janet Rutledge to dedicate $6,000.00 for the 2010 Women Bassmaster Tournament to be held in Monroe-West Monroe. Motion carried by a vote of ten (10) affirmative votes to zero (0) negative votes.
Executive Director’s Report: Alana Cooper reported that she met with Kenny Soley from Entergy about the electrical wiring on Antique Alley. She reported that the estimated cost will be around $56,000.00. She stated that the City of West Monroe has agreed to match up to $50,000.00 with the Convention & Visitors Bureau to have the electrical work done.
Alana Cooper requested board approval to dedicate $50,000.00 from the Special Promotion budget for electrical wiring and other logistical needs.
It was moved by Sue Nicholson and seconded by Gretchen Kovac to dedicate $50,000.00 for electrical wiring and other logistical needs for work to be done on Antique Alley for Christmas on the River. Motion carried by a vote of ten (10) affirmative votes to zero (0) negative votes.

Committee Reports
Tourism Development Grant Committee: Ryan Roark, Chairman, reported that the
Tourism Development Grant Committee met on October 19, 2009 at 3:00 p.m. to review a grant application from the University of Louisiana at Monroe Letterman’s Club (L-Club) for funding and a payment request from the NELA Soccer Association.
Ryan Roark reported that the Soccer Association was requested by the committee to contract with an engineering firm to conduct a paving recommendation for specifics on what materials are needed to build the road leading to the soccer fields. He reported that the Soccer Association presented the report preformed by the engineering firm of Ardaman & Associates and requested grant payment in the amount of $2,000.00 for the study.
It was moved by Ryan Roark and seconded by Jerry Edmondson to approve the payment in the amount of $2,000.00 to the Soccer Association for the paving recommendation by the firm of Ardaman & Associates. Motion carried by a vote of nine (9) affirmative votes to zero (0) negative votes.
Ryan Roark reported that the Tourism Development reviewed a grant application from the University of Louisiana Letterman’s Club for a $20,000.00 Sponsorship to offset cost of a Strength & Conditioning and Sports Medicine Leaders Summit to be held February 19 through 20, 2009 at the University of Louisiana at Monroe.
It was moved by Ryan Roark and seconded by Jerry Edmondson to grant a Sponsorship in the amount of $5,000.00 to the University of Louisiana Letterman’s Club to host the 2009 Strength & Conditioning and Sports Medicine Leaders Summit to held February 19 through 20, 2010 at the University of Louisiana at Monroe. CALL TO ORDER
A regular meeting of the Board of Commissioners, Hospital Service District No. 1 of the Parish of Ouachita, State of Louisiana was called to order at 11.35 a.m. in the Wellness Center at 3215 Cypress Street, West Monroe, Louisiana, by Steve Hall, Chairman of the Board of Commissioners. All references to the “District” refer to the Hospital Service District No. 1 of the Parish of Ouachita, State of Louisiana. All references to the “Foundation” refer to the Ward Five Healthcare Foundation, doing business as the Living Well Foundation.

REMARKS FROM THE CHAIRMAN OF THE DISTRICT
Mr. Hall had no remarks at this time.
EXECUTIVE SESSION FOR PURPOSES OF STRATEGIC PLANNING, INCLUDING WITH RESPECT TO THE FUTURE OF THE WELLNESS CENTER AND RELATIONS WITH GRMC, GLENWOOD RESOLUTION AUTHORITY, INC., AND THE WARD FIVE HEALTHCARE FOUNDATION (NOW DBA LIVING WELL FOUNDATION)
A motion was made by Mr. Spencer, seconded by Mr. Gilley and unanimously approved for the Board of Commissioners to go into executive session for the purposes of strategic planning, including with respect to the future of the Wellness Center and relations with GRMC, Glenwood Resolution Authority, Inc., and the Ward Five Healthcare Foundation (now dba Living Well Foundation).
Dr. Wilson Campbell was in attendance to discuss the Five for Life Program.
Jessica Baxter from Little & Associates presented HSD and Wellness Center financials during their designated time in Executive Session.
Amanda Adcock, Executive Director of the Wellness Center, attended Executive Session during the financials presentation and to make her Management Report.
A motion was made by Mr. Mulhearn, seconded by Mr. Spencer and unanimously approved for the Board of Commissioners to go back into regular session.
APPROVAL OF WELLNESS CENTER NEW MEMBERSHIP SOFTWARE
After due discussion, Mr. Gilley proposed, Mr. Mulhearn seconded, and the Board of Commissioners unanimously adopted the following resolution:
RESOLVED, that the purchase, to the extent deemed appropriate by the Executive Director of the Wellness Center, of desktop software licenses and related services from Motionsoft, of the kind and at the rates set forth in the Motionsoft Proposal presented to this meeting, is authorized and approved.
AMENDMENT OF AGENDA
Mr. Gilley moved to take up the following matter not on the agenda: "Amendment of District's Budget for 2009," and stated that the purpose for the addition to the agenda is to address a matter not on the agenda that it is in the best interest of the District to address immediately. Mr. Spencer seconded the motion.
The Chairman declared an opportunity for public comment on the motion. There were no public comments. The Board proceeded to a vote, and the motion passed with the unanimous approval of the Commissioners present, whereupon the Board took up the matter.
AMENDMENT OF DISTRICT'S BUDGET FOR 2009
Mr. Mulhearn offered the following resolution:
RESOLVED, that the budget for the District for its 2009 fiscal year, beginning January 1, 2009 (the "2009 Budget") is amended and restated in its entirety to match the "Source/Appropriation" and "Capital Expenditures" columns (for the categories) and the "2009 Estimated" columns (for the figures) in the proposed budget for the District for its 2010 fiscal year, beginning January 1, 2010, as presented at this meeting.
RESOLVED, that the appropriation of the amounts set forth in the Appropriations sections and the Capital Expenditures section of the 2009 Budget and their expenditure in 2009 are approved and ratified for the respective purposes for which they are set forth.
Mr. Gilley seconded the resolution and the Board of Commissioners unanimously approved.
APPROVAL OF DISTRICT'S BUDGET AND RATES FOR 2010
The following resolution was offered by Mr. Gilley, seconded by Mr. Spencer, and unanimously approved by the Board of Commissioners:
RESOLVED, that the accompanying proposed budget for the Hospital Service District No. 1 of the Parish of Ouachita, State of Louisiana (the "District") for its 2010 fiscal year, beginning January 1, 2010 (the "2010 Budget"), as revised at this meeting, is hereby adopted.
RESOLVED, that the amounts set forth in the Appropriations sections and the Capital Expenditures section of the 2010 Budget are appropriated for the respective purposes for which they are set forth.
RESOLVED, that amounts are available for expenditure only to the extent included in the 2010 Budget.
RESOLVED, that the Chairman of the District may authorize transfers of any amounts between line items of expenditures within the General Government function, between line items of expenditures within the Wellness Center Operations function, or between line items of expenditures within the Capital Expenditures function.
RESOLVED, that the Executive Director of the Wellness Center may authorize transfers of any amounts between line items of expenditures within the Wellness Center Operations function.
RESOLVED, that the Chairman of the District is authorized to cause the District to incur liabilities and make expenditures budgeted in the General Government function, in the Wellness Center Operations function, or in the Capital Expenditures function for those respective purposes, provided, however, that the Chairman shall not cause to be made any individual expenditures in excess of $25,000 without further approval of the Board of Commissioners.
RESOLVED, that the Executive Director of the Wellness Center is authorized to cause the District to incur liabilities and make expenditures budgeted in the Wellness Center Operations function for that purpose; provided, however, that the Executive Director shall not cause to be made any individual expenditures in excess of $10,000 without further approval of the Board of Commissioners.
RESOLVED, that the rates presently charged at the Wellness Center, as set forth on the schedule presented at this meeting, are approved.
APPROVAL OF CPA FOR THE HOSPITAL SERVICE DISTRICT #1
A motion was made by Ms. Liner, seconded by Mr. Mulhearn and unanimously approved by the Board to table the selection of a CPA for the Hospital Service District #1 until further amendments are made to proposals.
APPROVAL OF MINUTES OF DISTRICT BOARD MEETINGS HELD ON OCTOBER 20, 2009
After review of the October 20, 2009 Board minutes, a motion was made by Mr. Gilley and seconded by Ms. Liner to adopt the minutes as presented and the motion was unanimously approved.
APPROVAL OF ANCILLARY AGREEMENT BETWEEN THE LIVING WELL FOUNDATION AND OUACHITA PARISH POLICY JURY RELATING TO THE SCHOOL BASED HEALTH CLINICS ON THE EAST SIDE OF OUACHITA PARISH
A motion was made by Mr. Spencer and seconded by Ms. Liner as follows:
WHEREAS, Section 2.B(7)(j) of the Cooperative Endeavor Agreement dated January 31, 2007, by and between the District and the Foundation provides that the Foundation shall not enter into any contract or transaction involving the Police Jury without, among other things, the approval of the Board of Commissioners of the District;
RESOLVED, that the Ancillary Agreement Between the Living Well Foundation and the Ouachita Parish Police Jury as to Coordination Agreement, in the form presented to this meeting, with such further changes, if any, as the Chairman of the District may approve, is approved, and the Chairman of the District is authorized to attest on the agreement itself that it has been so approved.
The resolution was unanimously approved by the Board of Commissioners.
REVIEW OF MINUTES OF FOUNDATION BOARD OF DIRECTORS ON NOVEMBER 3, 2009
The Board of Commissioners reviewed the Board of Directors minutes of the Living Well Foundation for November 3, 2009.
TRANSACTION OF ANY OTHER BUSINESS THAT MAY PROPERLY COME BEFORE THE MEETING
Due to some conflicts, some Commissioners cannot attend the December 15th regular meeting of the Hospital Service District #1. After a review of each Commissioner’s calendar, a date and time will be decided upon and properly noticed.
