REVIEW OF ANNUAL REPORT FROM LIVING WELL FOUNDATION The Commissioners reviewed the Living Well Foundation Annual Report dated January 2008 through December 2008. APPROVAL OF LIVING WELL FOUNDATION’S VIRTUAL CLINIC GRANT AGREEMENT The following resolution was offered by Ms. Liner, seconded by Mr. Gilley, and unanimously approved by the Board of Commissioners: WHEREAS, the Foundation and one of its grantees, Northeast Louisiana Virtual Clinic, Inc., desire to enter into a grant agreement that deviates from the terms of the general form of grant agreement previously approved by the District to a greater extent than is contemplated by the form; and it is in the best interests of the Foundation and the District that the grant agreement be approved; RESOLVED, that the Grant Agreement effective as of July 27, 2009 between the Ward Five Healthcare Foundation, dba the Living Well Foundation, and Northeast Louisiana Virtual Clinic, Inc., in the form presented to this meeting, is hereby approved. REVIEW OF MINUTES OF FOUNDATION EXECUTIVE COMMITTEE ON JUNE 9, 2009 AND JULY 7, 2009 The Board of Commissioners reviewed the Executive Committee minutes of the Living Well Foundation for June 9, 2009 and July 7, 2009. AMENDMENT OF AGENDA Mr. Mulhearn moved to take up the following matter not on the agenda: "Approval of New Laundry Services Agreement with AmeriPride Servces," and stated that the purpose for the addition to the agenda is to address a matter not on the agenda that it is in the best interest of the District to address immediately. Ms. Liner seconded the motion. The Chairman declared an opportunity for public comment on the motion. There were no public comments. The Board proceeded to a vote, and the motion passed with the unanimous approval of the Commissioners present, whereupon the Board took up the matter. APPROVAL OF NEW LAUNDRY SERVICES AGREEMENT WITH AMERIPRIDE SERVICES A motion was made by Mr. Mulhearn as follows: RESOLVED, that the proposed new laundry service agreement between the District and AmeriPride Service, in the form presented at this meeting, is approved, and the Chairman of the District is authorized to execute the agreement on behalf of the District, with such changes as he may approve, such approval to be evidenced conclusively by his signature. Mr. Gilley seconded the motion and the Board of Commissioners unanimously approved the resolution. WHEREAS, the Town of Sterlington, Parish of Ouachita, State of Louisiana (the "Issuer") is a political subdivision of the State of Louisiana (the "State") created and existing pursuant to the Constitution and laws of the State; and WHEREAS, the Issuer has determined to acquire, construct and improve public improvements within the Sterlington (Highway 165 North) Economic Development Area (the “Economic Development Area”) located territorial limits of the Town of Sterlington State of Louisiana (the “Project”) and to pay costs of issuance of the related financing; and WHEREAS, the Issuer has determined that its participation in the Project will further its public purpose under which it was formed; and WHEREAS, Chapter 13 of Title 39 of the Louisiana Revised Statutes of 1950, as amended (La. R.S. 39:1430, et. seq.) (the "Revenue Bond Act"), authorizes the Issuer to issue revenue bonds covering the cost of improvements owned, maintained and/or operated by the Issuer such as the Project; and WHEREAS, the Bonds will be secured and payable additionally from tax increment financing revenues generated within the Economic Development Area, which was formed by the Issuer in accordance with the provisions of Chapter 27 of Title 33 of the Louisiana Revised Statutes of 1950, as amended, specifically La. R.S. 33:9021, et. seq. (the “TIF Act”), WHEREAS, in order to finance the Project, the Issuer now desires to authorize the incurrence of debt and the issuance of its Revenue Bonds, in one or more series (the "Bonds"), in the manner authorized and provided for by the Revenue Act and the TIF Act (collectively, the Authorizing Legislation”) for the purpose of financing the cost of the Project and paying costs of the issuance of the Bonds; and WHEREAS, prior to the issuance of the Bonds, the Issuer intends to expend its own funds for the purpose of acquiring, constructing and equipping certain portions of the Project, and reasonably expects to reimburse said expenditures from the proceeds of the Bonds; and WHEREAS, in connection with the issuance of the Bonds, the Issuer desires to authorize the filing of an application with the Louisiana State Bond Commission (the “Commission”) requesting that the Commission approve the issuance and sale of the Bonds in accordance with the Act. NOW, THEREFORE: BE IT RESOLVED by the Mayor and Town Council of the Town of Sterlington, Parish of Ouachita, State of Louisiana, as the Governing Authority of the Issuer, that: SECTION 1.. For the purpose of providing funds to finance the cost of the Project and to pay the costs of issuance of the Bonds, this Governing Authority hereby gives approval to the issuance of not to exceed $1,200,000 of its Revenue Bonds, in one or more series. SECTION 3. The Bonds shall be secured by and payable solely from a pledge and dedication of, all income, revenues, and receipts of the Issuer derived or to be derived from the properties and facilities owned, maintained or operated by the Issuer, including contracts and lease agreements with respect thereto, interest income, rentals and any fee revenue payable to the Issuer, and including without limitation, sales tax revenues as provided under the Authorizing Legislation (collectively, “Revenues”). SECTION 4. The Bonds shall bear interest at a rate not to exceed five (5%) percent per annum, maturing over a period not to exceed 20 years from the date thereof. The Bonds shall be issued under the authority of the Authorizing Legislation and other constitutional and statutory authority supplemental thereto. The acceptance of an offer for sale of the Bonds and the further details of the Bonds shall be established by an Ordinance to be adopted by this Governing Authority. SECTION 5. This Resolution shall be published immediately after its adoption in one (1) issue of The Ouachita Citizen, a newspaper published in Ouachita Parish , Louisiana, being the official journal of the Issuer, and, as provided by the Authorizing Legislation, for a period of thirty (30) days from the date of publication of this Resolution, any person interested may test the legality of this Resolution and the validity of the Bonds, after which time no one shall have any cause to contest the regularity, formality or legality of this Resolution and the validity of the Bonds, or to draw in question the legality of the Bonds for any cause whatsoever. If no suit, action or proceeding is begun contesting the validity of the issuance of the Bonds within the prescribed thirty (30) days, the authority to issue the Bonds and to provide for the payment thereof, and all of the provisions of this Resolution authorizing the issuance of the Bonds shall be conclusively presumed, and no court shall have the authority to inquire into such matters. SECTION 6. Prior to the issuance of the Bonds, the Issuer anticipates that it may pay a portion of the costs of the Project from other available funds. Upon issuance of the Bonds, the Issuer reasonably expects to reimburse said expenditures from the proceeds of the Bonds. Any such allocation of the proceeds of the Bonds for reimbursement will be with respect to capital expenditures [as defined in Treasury Regulation 1.150-1(h)] and will be made upon the delivery of the Bonds and not later than one year after the date of (i) the date such expenditure was made or (ii) the date the improvements were placed in service. SECTION 7. It is recognized, found and determined that a real necessity exists for the employment of Bond Counsel in connection with the issuance of the Bonds; accordingly, Breithaupt, Dunn, DuBos, Shafto & Wolleson, LLC, Monroe, Louisiana, is hereby employed as “Bond Counsel” to perform comprehensive, legal and coordinate professional work with respect to the issuance and sale of the Bonds. Bond Counsel shall (i) prepare and submit to the Issuer for adoption all of the proceedings incidental to the authorization, issuance, sale and delivery of the Bonds; (ii) counsel and advise the Issuer with respect to the issuance and sale of the Bonds; and (iii) furnish their opinion covering the legality of the issuance thereof. The fee to be paid Bond Counsel shall be an amount less than the Attorney General's then current Bond Counsel Fee Schedule and other guidelines for comprehensive, legal and coordinate professional work in the issuance of revenue bonds applied to the actual aggregate principal amount issued, sold, delivered and paid for at the time the Bonds are delivered, together with reimbursement of out-of-pocket expenses incurred and advanced in connection with the issuance of the Bonds, said fee to be payable out of Bond proceeds or other funds provided by the Issuer subject to the Attorney General's written approval of said employment and fee. SECTION 8. The Governing Authority hereby authorizes and directs Bond Counsel to proceed with the preparation of all necessary and appropriate financing documents and to file drafts of said financing documents with the Commission in accordance with its Rules. SECTION 9. Application is hereby formally made by the Issuer to the Louisiana State Bond Commission for consent and authority to issue, sell and deliver the Bonds. SECTION 10. By virtue of Issuer’s application for, acceptance and utilization of the benefits of the Louisiana State Bond Commission’s approval(s) resolved and set forth herein, it resolves that it understands and agrees that such approval(s) are expressly conditioned upon, and it further resolves that it understands, agrees and binds itself, its successors and assigns to, full and continuing compliance with the “State Bond Commission Policy on Approval of Proposed Use of Swaps, or other forms of Derivative Products Hedges, Etc.”, adopted by the Commission on July 20, 2006, as to the borrowing(s) and other matter(s) subject to the approval(s), including subsequent application and approval under said Policy of the implementation or use of any swap(s) or other product(s) or enhancement(s) covered thereby. PUBLIC NOTICE August 31, 2009 During the reporting period of August 1, 2009 through August 31, 2009 the Hwy 80 / Arkansas Road water system violated the maximum contaminate level of coliform bacteria as set forth in the State and Federal Primary Drinking Water Regulations [Part XII of the Louisiana State Sanitary Code (LAC 51:XII)]. Action has been taken to eliminate the contamination. The Hwy 80 / Arkansas Road water system is required to take ten bacteriological samples monthly and during the current reporting period two of these samples failed the tests. Both of the sample taps where the samples were collected were found to be defective and is the suspected reason for the positive results. Since being notified of the non-compliance Greater Ouachita has increased chlorine levels, and flushed water lines to distribute the increased chlorine levels. The two defective sample taps have been replaced. After this corrective action, all the investigative follow samples did not indicate any coliform present. You do not need to boil your water or take other corrective actions. However, if you have specific health concerns, consult your doctor. People with severely compromised immune systems, infants, and some elderly may be at increased risk. These people should seek advice about drinking water from their health care providers. General guidelines on ways to lessen the risk of infection by microbes are available from EPA’s Drinking Water Hotline at (800) 426-4791. This is not an emergency. If it had been you would have been notified immediately. Total coliform bacteria are generally not harmful themselves. Coliforms are bacteria that are naturally present in the environment and are used as an indicator that other, potentially harmful, bacteria may be present. Usually, coliforms are a sign that there could be a problem with the treatment or distribution system (pipes). Whenever we detect coliform bacteria in any sample, we do follow-up testing to see if other bacteria of greater concern, such as fecal coliform or E. coli, are present.
