APPROVAL OF MINUTES OF DISTRICT BOARD MEETINGS HELD ON MAY 19, 2009 After review of the May 19, 2009 Board minutes, a motion was made by Mr. Spencer and seconded by Mr. Gilley to adopt the minutes as presented and the motion was unanimously approved. APPROVAL OF JPMORGAN CHASE BANK INVESTMENT MANAGEMENT AGREEMENTS After due discussion, Mr. Spencer proposed, Mr. Gilley seconded, and the Board of Commissioners unanimously adopted the following resolution: WHEREAS, the Board of Commissioners considers it is in the best interests of the District to transfer its investment funds to a single investment account managed by JPMorgan Chase Bank, N.A., and/or its affiliates; RESOLVED, that the J. P. Morgan Entity Account Application, the Investment Policy Statement, and the related documentation presented at this meeting are hereby approved and ratified, and the execution and delivery of the foregoing agreements and other documents by the Chairman, Steven R. Hall, and the Treasurer, Timothy Michael Mulhearn, Sr., are authorized, approved, and ratified. APPROVAL OF DEMOLITION AND REPAIR TO THE ADJACENT WAREHOUSE A motion was made by Ms. Liner as follows: WHEREAS, the District recently purchased the lot adjacent to the Wellness Center on Cypress Street, primarily in order to expand the available parking for the Wellness Center, and the lot has a small warehouse on it, most of which the District desires to demolish in order to make available more parking spaces; RESOLVED, that Board of Commissioners approves and ratifies the engagement of Givens Construction, Inc. to demolish and dispose of a portion, and remodel the remaining portion, of the warehouse on the lot adjacent to the Wellness Center, as more specifically described in its written bid dated May 28, 2009, for the sum of $7,185. Mr. Gilley seconded the motion and the Board of Commissioners unanimously approved the resolution. APPROVAL OF ANNUAL AUDITOR FOR 2008 The following resolution was offered by Mr. Spencer, seconded by Mr. Gilley, and unanimously approved by the Board of Commissioners: WHEREAS, the Board of Commissioners has reviewed the District's Audited Financial Statements for 2008 and discussed the same with David Soignier, CPA, of the firm of Luffey, Huffman, Ragsdale & Soignier, the District's auditor; RESOLVED, the Board approves the District's Audited Financial Statements for 2008, as presented at the meeting, with such further changes as may be approved by the Chairman, and their immediate transmission thereafter to the Legislative Auditor. APPROVAL OF THE HOSPITAL SERVICE DISTRICT #1 OFFICIAL JOURNAL Mr. Gilley offered the following resolution: RESOLVED, that the Hospital Service District shall continue to have the proceedings of its Board of Commissioners and notice of the availability of such financial statements as are required by and furnished to the Legislative Auditor published in The Ouachita Citizen.
