Those present were Mayor Dave Norris, Aldermen L. O. Yeager, Alice Pearson, James Bennett, James Brian and Fred Ragland. The invocation was offered by Mr. L. O. Yeager, Alderman. There was a motion by Mrs. Pearson, seconded by Mr. Bennett and unanimously carried to approve the minutes of the March 10, 2009, Regular Council Meeting. There was a motion by Mrs. Pearson, seconded by Mr. Ragland and unanimously carried to approve payment of the March 2009 billings, subject to audit by the Finance Committee. An ordinance was presented to accept the Louisiana DOTD Crossing Consolidation Program Offer, and to authorize a joint agreement with the KCS Railway Company, acting on behalf of Meridian Speedway, LLC (tabled from March). There was a motion by Mr. Bennett, seconded by Mr. Yeager and unanimously carried to approve a resolution to authorize the filing of an application with the Louisiana Department of Transportation and Development for a grant under the America Recovery and Reinvestment Act of 2009 Transit Capital Assistance Program. Resolution 590: A RESOLUTION AUTHORIZING THE FILING OF AN APPLICATION WITH THE LOUISIANA DEPARTMENT OF TRANSPORTATION AND DEVELOPMENT FOR A GRANT UNDER THE AMERICA RECOVERY AND REINVESTMENT ACT OF 2009 TRANSIT CAPITAL ASSISTANCE PROGRAM, AND OTHERWISE PROVIDING WITH RESPECT THERETO. There was a motion by Mr. Yeager, seconded by Mrs. Pearson and unanimously carried to approve an ordinance to consider and take action with respect to adopting an ordinance providing for the incurring of debt and issuance of $3,000,000 of Certificates of Indebtedness, Series 2009, of the City of West Monroe, State of Louisiana; and providing for other matters in connection therewith. Ordinance 3807: AN ORDINANCE PROVIDING FOR THE INCURRING OF DEBT AND ISSUANCE OF THREE MILLION DOLLARS ($3,000,000) OF CERTIFICATES OF INDEBTEDNESS, SERIES 2009, OF THE CITY OF WEST MONROE, STATE OF LOUISIANA; PRESCRIBING THE FORM, TERMS AND CONDITIONS THEREOF AND PROVIDING FOR THE PAYMENT THEREOF; AWARDING SUCH CERTIFICATES TO THE PURCHASER THEREOF; AND PROVIDING FOR OTHER MATTERS IN CONNECTION THEREWITH. There was a motion by Mrs. Pearson, seconded by Mr. Yeager and unanimously carried to approve an ordinance to amend Section 12-4046 of the Code of Ordinance, City of West Monroe, Louisiana, relating to certain electrical permit and inspection fees. Ordinance 3808: AN ORDINANCE AMENDING SECTION 12-4046(4) OF THE CODE OF ORDINANCES, CITY OF WEST MONROE, LOUISIANA, RELATING TO CERTAIN ELECTRICAL PERMIT AND INSPECTION FEES; TO ESTABLISH AN EFFECTIVE DATE FOR SUCH REVISIONS; AND TO OTHERWISE PROVIDE WITH RESPECT THERETO. There was a motion by Mrs. Pearson, seconded by Mr. Yeager and unanimously carried to table until the next regular meeting, an ordinance to authorize the dedication of additional utility servitudes, revocation of existing utility servitudes, and authorize filing of plat (Lot 1, Constitution Centre, Unit No. 1, Bayou Bistro). There was a motion by Mrs. Pearson, seconded by Mr. Yeager and unanimously carried to approve an ordinance to amend Section 10-2020 of the Code of Ordinances, to add failure to pay sales taxes due to the City as an additional cause for the suspension or revocation of an alcoholic beverage permit. Ordinance 3809: AN ORDINANCE AMENDING SECTION 10-2020 OF THE CODE OF ORDINANCES, CITY OF WEST MONROE, LOUISIANA, TO ADD FAILURE TO PAY SALES TAXES DUE TO THE CITY AS AN ADDITIONAL CAUSE FOR THE SUSPENSION OR REVOCATION OF AN ALCOHOLIC BEVERAGE PERMIT; TO ESTABLISH AN EFFECTIVE DATE; AND TO OTHERWISE PROVIDE WITH RESPECT THERETO. There was a motion by Mr. Yeager, seconded by Mrs. Pearson and unanimously carried to approve an ordinance to authorize the City to enter into an Agreement for Professional services with Arthur J. Gallagher Risk Management Services (loss control services fee agreement). Ordinance 3810: AN ORDINANCE AUTHORIZING THE MAYOR OF THE CITY OF WEST MONROE, LOUISIANA, TO EXECUTE AN AGREEMENT FOR PROFESSIONAL SERVICES WITH ARTHUR J. GALLAGHER RISK MANAGEMENT SERVICES TO PROVIDE FOR LOSS CONTROL SERVICES, AND OTHERWISE PROVIDING WITH RESPECT THERETO. There was a motion by Mrs. Pearson, seconded by Mr. Brian and unanimously carried to table until the next meeting an ordinance to authorize the City of West Monroe to enter into a lease of tower space with Crown Castle Antenna (rental of antenna site for City use). There was a motion by Mr. Bennett, seconded by Mrs. Pearson and unanimously carried to approve an ordinance to authorize the application for and, if awarded, execution of a grant from the Community Water Enrichment Fund. Ordinance 3811: AN ORDINANCE AUTHORIZING THE CITY OF WEST MONROE, LOUISIANA, TO APPLY FOR AND, IF AWARDED, TO ENTER INTO A GRANT AGREEMENT WITH THE COMMUNITY WATER ENRICHMENT FUND, AND OTHERWISE PROVIDING WITH RESPECT THERETO. There was a motion by Mrs. Pearson, seconded by Mr. Brian and unanimously carried to condemn and demolish structures located at 1205 North 3rd Street, Sam L. Farmer, Jr. Sixty days will be given before demolition. There was a motion by Mrs. Pearson, seconded by Mr. Bennett and unanimously carried to add to the agenda authorization for the City Clerk to advertise for bids for Pressurized Reactor Units and all related items. There was a motion by Mrs. Pearson, seconded by Mr. Yeager and unanimously carried to authorize the City Clerk to advertise for bids for Pressurized Reactor Units and all related items. There was a motion by Mrs. Pearson, seconded by Mr. Yeager and unanimously carried to add to the agenda Byrne Justice Assistance Act (JAG) application. As used herein, the following terms shall have the following meanings, unless the context otherwise requires: "Act" means Section 1430 of Title 39 of the Louisiana Revised Statutes of 1950, as amended, and other constitutional and statutory authority. "Certificate" means any certificate of indebtedness of the Issuer authorized to be issued by this Ordinance, whether initially delivered or issued in exchange for, upon transfer of, or in lieu of any certificate previously issued. "Certificates" means the Issuer's Certificates of Indebtedness, Series 2009, authorized by this Ordinance, in the total aggregate principal amount of Three Million Dollars ($3,000,000). "Certificate Register" means the records kept by the Paying Agent at its principal corporate office in which registration of the Certificates and transfers of the Certificates shall be made as provided herein. "Certificate Year" shall mean a year ending on September 30 of each year. "Code" means the Internal Revenue Code of 1986, as amended. "Executive Officers" means, collectively, the Mayor and the City Clerk of the Issuer. "Fiscal Year" means the one-year accounting period beginning July 1 of each year, or such other accounting period as may be designated by the Governing Authority as the fiscal year of the Issuer. "Governing Authority" means the Mayor and Board of Aldermen of the City of West Monroe, State of Louisiana. "Government Securities" means direct obligations of, or obligations the principal of and interest on which are unconditionally guaranteed by the United States of America, which are non‑callable prior to their maturity, may be United States Treasury obligations such as the State and Local Government Series and may be in book‑entry form. "Interest Payment Date" means April 1 and October 1 of each year, commencing October 1, 2009. "Issuer" means the City of West Monroe, State of Louisiana. Certificates for the payment of the principal of and interest on which money or Government Securities or both are held in trust with the effect specified in this Ordinance; "Outstanding Parity Certificate Ordinance" means the ordinances adopted by the Governing Authority on November 11, 2003, August 9, 2005 and April 11, 2006, and authorizing the issuance of the Outstanding Parity Certificates. "Outstanding Parity Certificates" means as of the date of delivery of the Certificates, the Issuer's $4,290,000 of Certificates of Indebtedness, Series 2003, maturing October 1, 2009 through October 1, 2013, inclusive, $195,000 of Taxable Certificates of Indebtedness, Series 2005, maturing October 1, 2009 through October 1, 2014, inclusive, and $520,000 of Taxable Certificates of Indebtedness, Series 2006, maturing October 1, 2009 through October 1, 2015, inclusive . "Purchaser" means IBERIABANK, of Lafayette, Louisiana, the original purchaser of the Certificates. "Record Date" for the interest payable on any Interest Payment Date means the 15th calendar day of the month next preceding such Interest Payment Date. "Ordinance" means this ordinance authorizing the issuance of the Certificates, as it may be supplemented and amended. — Authorization of Certificates; Maturities. Subject to the approval of the State Bond Commission, and in compliance with the terms and provisions of the Act and other constitutional and statutory authority, there is hereby authorized the incurring of an indebtedness of Three Million Dollars ($3,000,000) for, on behalf of, and in the name of the Issuer, for the purpose of acquiring a building for industrial inducement purposes and paying the costs incurred in connection with the issuance of the Certificates. The Certificates are hereby issued on a parity with the Outstanding Parity Certificates, and the Certificates shall rank equally with and enjoy complete parity of lien with the Outstanding Parity Certificates on the revenues pledged to the payment therefor or other funds specially applicable to the payment of said Outstanding Parity Certificates, including funds established under the ordinance authorizing the issuance of the Outstanding Parity Certificates (the "Outstanding Parity Certificate Ordinance"). — Redemption Provisions. The Issuer shall issue no other certificates of indebtedness or obligations of any kind or nature payable from or enjoying a lien on the excess of annual revenues having priority over or parity with the Certificates and the Outstanding Parity Certificates, except that additional certificates may hereafter be issued on a parity with the Certificates and the Outstanding Parity Certificates under the following conditions: — The Certificates herein authorized or any part thereof, including the interest thereon, may be refunded, and the refunding certificates so issued shall enjoy complete equality of lien with the portion of the Certificates which is not refunded, if there be any, and the refunding certificates shall continue to enjoy whatever priority of lien over subsequent issues may have been enjoyed by the Certificates refunded; provided, however, that if only a portion of the Certificates outstanding is so refunded and the refunding certificates require total principal and interest payments during any year in excess of the principal and interest which would have been required in such year to pay the Certificates refunded thereby, then such Certificates may not be refunded without the consent of the Owner of the unrefunded portion of the Certificates issued hereunder (provided such consent shall not be required if such refunding certificates meet the requirements set forth in clause 2 of this Section). — Additional certificates of indebtedness may be issued on and enjoy a full and complete parity with the Certificates and the Outstanding Parity Certificates with respect to the excess of annual revenues, provided that the anticipated excess of annual revenues (including fund balances) in the year in which the additional certificates of indebtedness are to be issued, as reflected in the budget adopted by the Issuer, must be at least 1.2 times the combined principal and interest requirements for any calendar year on the Certificates, the Outstanding Parity Certificates and the said additional certificates of indebtedness. — Junior and subordinate certificates of indebtedness may be issued without restriction. — The Issuer must be in full compliance with all covenants and undertakings in connection with the Certificates and the Outstanding Parity Certificates and there must be no delinquencies in payments required to be made in connection therewith. — The additional certificates must be payable as to principal on October 1st of each year, commencing not more than 2 years from the date thereof, and payable as to interest on April 1 and October 1 of each year. — Sinking Fund. For the payment of the principal of and the interest on the Certificates and the Outstanding Parity Certificates and any additional parity certificates of indebtedness, there has been created a special fund known as "Certificates of Indebtedness (1998) Sinking Fund", said Sinking Fund is to be maintained with the regularly designated fiscal agent bank of the Issuer. The Issuer shall deposit in the Sinking Fund at least one (1) day in advance of the date on which each payment of principal and/or interest on the Certificates and the Outstanding Parity Certificates falls due, funds fully sufficient to promptly pay the maturing principal and/or interest so falling due on such date. The depository for the Sinking Fund shall transfer from the Sinking Fund to the Paying Agent funds fully sufficient to pay promptly the principal and interest falling due on such date. It shall be specifically understood and agreed, however, and this provision shall be a part of this contract, that after the funds have actually been set aside out of the revenues of any Fiscal Year sufficient to pay the principal and interest on the Certificates and the Outstanding Parity Certificates herein authorized for that Fiscal Year, and all required amounts have been deposited in the aforesaid Sinking Fund established for the Certificates and the Outstanding Parity Certificates, then any excess of annual revenues remaining in that Fiscal Year shall be free for expenditure by the Issuer for any other lawful corporate purpose. — All moneys deposited with the regularly designated fiscal agent bank or banks of the Issuer or the Paying Agent under the terms of this Ordinance shall constitute sacred funds for the benefit of the Owners of the Certificates, and shall be secured by said fiduciaries at all times to the full extent thereof in the manner required by law for the securing of deposits of public funds. All or any part of the moneys in the Sinking Fund shall, at the written request of the Issuer, be invested in accordance with the provisions of the laws of the State of Louisiana, in which event all income derived from such investments shall be added to the General Fund of the Issuer. — Budget; Audit. As long as any of the Certificates and the Outstanding Parity Certificates are outstanding and unpaid in principal or interest, the Issuer shall prepare and adopt a budget prior to the beginning of each Fiscal Year and shall furnish a copy of such budget within thirty (30) days after its adoption to the Paying Agent and the Purchaser; the Issuer shall also furnish a copy of such budget to the Owners of any of the Certificates or the Outstanding Parity Certificates who request the same. Not later than six (6) months after the close of each Fiscal Year, the Issuer shall cause an audit of its books and accounts to be made by the Legislative Auditor or an independent firm of certified public accountants showing the receipts and disbursements made by the Issuer during the previous Fiscal Year. Such audit shall be available for inspection by the Owner of any of the Certificates, and a copy of such audit shall be furnished to the Purchaser. — Application of Proceeds. The Executive Officers are hereby empowered, authorized and directed to do any and all things necessary and incidental to carry out all of the provisions of this Ordinance, to cause the Certificates to be prepared or printed, to issue, execute and seal the Certificates, and to effect delivery thereof as hereinafter provided. The proceeds derived from the sale of the Certificates shall be deposited by the Issuer with its fiscal agent bank or banks to be used only for the purpose for which the Certificates are issued. Accrued interest, if any, derived from the sale of the Certificates shall be deposited in the Sinking Fund to be applied to the first interest payment. The principal proceeds so deposited shall be used solely for acquiring a building for industrial inducement purposes. — Certificates Legal Obligations. The Certificates shall constitute legal, binding and valid obligations of the Issuer and shall be the only representations of the indebtedness as herein authorized and created. — Ordinance a Contract. The provisions of this Ordinance shall constitute a contract between the Issuer, or its successor, and the Owner or Owners from time to time of the Certificates, and any such Owner or Owners may at law or in equity, by suit, action, mandamus or other proceedings, enforce and compel the performance of all duties required to be performed by the Issuer as a result of issuing the Certificates. No material modification or amendment of this Ordinance, or of any Ordinance amendatory hereof or supplemental hereto, may be made without the consent in writing of the Owners of two‑thirds (2/3) of the aggregate principal amount of the Certificates then outstanding; provided, however, that no modification or amendment shall permit a change in the maturity or redemption provisions of the Certificates, or a reduction in the rate of interest thereon, or in the amount of the principal obligation thereof, or affecting the obligation of the Issuer to pay the principal of and the interest on the Certificates as the same shall come due from the revenues appropriated, pledged and dedicated to the payment thereof by this Ordinance, or reduce the percentage of the Owners required to consent to any material modification or amendment of this Ordinance, without the consent of the Owners of the Certificates. — Severability; Application of Subsequently Enacted Laws. In case any one or more of the provisions of this Ordinance or of the Certificates shall for any reason be held to be illegal or invalid, such illegality or invalidity shall not affect any other provisions of this Ordinance or of the Certificates, but this Ordinance and the Certificates shall be construed and enforced as if such illegal or invalid provisions had not been contained therein. Any constitutional or statutory provisions enacted after the date of this Ordinance which validate or make legal any provision of this Ordinance and/or the Certificates which would not otherwise be valid or legal, shall be deemed to apply to this Ordinance and to the Certificates. — Recital of Regularity. The Issuer having investigated the regularity of the proceedings had in connection with the Certificates and having determined the same to be regular, the Certificates shall contain the following recital, to‑wit: "It is certified that this Certificate is authorized by and is issued in conformity with the requirements of the Constitution and statutes of the State of Louisiana." — Effect of Registration. The Issuer, the Paying Agent, and any agent of either of them may treat the Owner in whose name any Certificate is registered as the Owner of such Certificate for the purpose of receiving payment of the principal of and interest on such Certificate and for all other purposes whatsoever, and to the extent permitted by law, neither the Issuer, the Paying Agent, nor any agent of either of them shall be affected by notice to the contrary. — Notices to Owners. Wherever this Ordinance provides for notice to Owners of Certificates of any event, such notice shall be sufficiently given (unless otherwise herein expressly provided) if in writing and mailed, first‑class postage prepaid, to each Owner of such Certificates, at the address of such Owner as it appears in the Certificate Register. In any case where notice to Owners of Certificates is given by mail, neither the failure to mail such notice to any particular Owner of Certificates, nor any defect in any notice so mailed, shall affect the sufficiency of such notice with respect to all other Certificates. Where this Ordinance provides for notice in any manner, such notice may be waived in writing by the Owner or Owners entitled to receive such notice, either before or after the event, and such waiver shall be the equivalent of such notice. Waivers of notice by Owners shall be filed with the Paying Agent, but such filing shall not be a condition precedent to the validity of any action taken in reliance upon such waiver. — Cancellation of Certificates. All Certificates surrendered for payment shall be promptly canceled by either the Paying Agent or the Issuer. All canceled Certificates held by the Paying Agent shall be disposed of as directed in writing by the Issuer. — Discharge of Ordinance; Deficiency. If the Issuer shall pay or cause to be paid, or there shall otherwise be paid to the Owner, the principal of and interest on the Certificates, at the times and in the manner stipulated in this Ordinance, then the pledge of the money, securities, and funds pledged under this Ordinance and all covenants, agreements, and other obligations of the Issuer to the Owner shall thereupon cease, terminate, and become void and be discharged and satisfied, and the Paying Agent shall pay over or deliver all money held by it under this Ordinance to the Issuer. Certificates or interest installments for the payment of which money shall have been set aside and shall be held in trust (through deposit by the Issuer of funds for such payment or otherwise) at the maturity date thereof shall be deemed to have been paid within the meaning and with the effect expressed above in this Section if they are defeased in the manner provided by Chapter 14 of Title 39 of the Louisiana Revised Statutes of 1950, as amended. — Successor Paying Agent; Paying Agent Agreement. The Issuer will at all times maintain a Paying Agent meeting the qualifications hereinafter described for the performance of the duties hereunder for the Certificates. The designation of the initial Paying Agent in this Ordinance is hereby confirmed and approved. The Issuer reserves the right to appoint a successor Paying Agent by (a) filing with the Person then performing such function a certified copy of an ordinance giving notice of the termination of the Agreement and appointing a successor and (b) causing notice to be given to each Owner. Every Paying Agent appointed hereunder shall at all times be a bank or trust company organized and doing business under the laws of the United States of America or of any state, authorized under such laws to exercise trust powers, and subject to supervision or examination by Federal or State authority. The Executive Officers are hereby authorized and directed to execute an appropriate Agreement with the Paying Agent for and on behalf of the Issuer in such form as may be satisfactory to said officers, the signatures of said officers on such Agreement to be conclusive evidence of the due exercise of the authority granted hereunder. — Disclosure Under SEC Rule 15c2-12. It is recognized that the Issuer will not be required to comply with the continuing disclosure requirements described in the Rule 15c-2-12(b) of the Securities and Exchange Commission [17 CFR '240.15c2-12(b)], because (a) the Certificates are not being purchased by a broker, dealer or municipal securities dealer acting as an underwriter in a primary offering of municipal securities, and (b) the Certificates are being sold to only one financial institution (i.e., no more than thirty-five persons), which (i) have such knowledge and experience in financial and business matters that they are capable of evaluating the merits and risks of the prospective investment in the Certificates and (ii) are not purchasing the Certificates for more than one account or with a view to distributing the Certificates. — Arbitrage. The Issuer covenants and agrees that, to the extent permitted by the laws of the State of Louisiana, it will comply with the requirements of the Internal Revenue Code of 1986 and any amendment thereto (the "Code") in order to establish, maintain and preserve the exclusion from "gross income" of interest on the Certificates under the Code. The Issuer further covenants and agrees that it will not take any action, fail to take any action, or permit any action within its control to be taken, or permit at any time or times any of the proceeds of the Certificates or any other funds of the Issuer to be used directly or indirectly in any manner, the effect of which would be to cause the Certificates to be an "arbitrage bond" or would result in the inclusion of the interest on the Certificates in gross income under the Code, including, without limitation, (i) the failure to comply with the limitation on investment of Certificate proceeds or (ii) the failure to pay any required rebate of arbitrage earnings to the United States of America or (iii) the use of the proceeds of the Certificates in a manner which would cause the Certificate to be a "private activity bond". The Executive Officers are hereby empowered, authorized and directed to take any and all action and to execute and deliver any instrument, document or certificate necessary to effectuate the purposes of this Section. — Designation as "Qualified Tax-Exempt Obligations". The Certificates are designated as "qualified tax‑exempt obligations" within the meaning of Section 265(b)(3) of the Code. In making this designation, the Issuer finds and determines that: (a) the Certificates are not "private activity bonds" within the meaning of the Code; and (b) the reasonably anticipated amount of qualified tax‑exempt obligations which will be issued by the Issuer and all subordinate entities in calendar year 2009 does not exceed $30,000,000. — Publication. A copy of this Ordinance shall be published immediately after its adoption in one issue of the official journal of the Issuer. — Award of Certificates. The Issuer hereby accepts the offer of the Purchaser attached as Exhibit "A" hereto. The Certificates shall be delivered to the Purchaser upon the payment of the principal amount thereof plus accrued interest from the date of the Certificates to the date of delivery thereof, if any. — Headings. The board discussed that they felt that the presentation was a counter offer for the grant application submitted for the January 10, 2009 granting period in the amount of $500,000.00 for the purchase of a new scoreboard. Sue Nicholson discussed that the University of Louisiana – Monroe should submit one application for all grants at one time, remind them of the past five (5) years funding, and they must show more accountability for grants received. Executive Director’s Report: Alana Cooper reported that during the week of March 2 through March 7, 2009 the Convention & Visitors Bureau will be hosting the Ladies’ Top 28 State Basketball Tournament at ULM Coliseum. ULM now has the possibility of hosting a Sunbelt Conference game on Wednesday, March 4, during that week. She reported that if there is a possibility for ULM basketball teams to hosts the game (s), as it is based on their ranking in the division, the LHSAA Commissioner asked that the Bureau request the use of Louisiana Tech or Grambling State University facilities if possible. She said that moving the venue to Louisiana Tech or Grambling State University as well as printing programs, will add additional expenses to the Bureau to host the Ladies’ Top 28. She requested Board approval to increase the budget for the tournament by $15,000.00.
