CALL TO ORDER
A regular meeting of the Board of Commissioners, Hospital Service District No. 1 of the Parish of Ouachita, State of Louisiana was called to order at 11:30 a.m. in The Wellness Center, 3215 Cypress Street, West Monroe, Louisiana, by Steve Hall, Chairman of the Board of Commissioners. All references to the “District” refer to the Hospital Service District No. 1 of the Parish of Ouachita, State of Louisiana. All references to the “Foundation” refer to the Ward Five Healthcare Foundation, doing business as the Living Well Foundation.

Mr. Hall gave the invocation.

REMARKS FROM THE CHAIRMAN OF THE DISTRICT
There were no remarks from the Chairman at this time.
EXECUTIVE SESSION FOR PURPOSES OF STRATEGIC PLANNING, INCLUDING WITH RESPECT TO THE FUTURE OF THE WELLNESS CENTER AND RELATIONS WITH GRMC, GLENWOOD RESOLUTION AUTHORITY, INC., AND THE WARD FIVE HEALTHCARE FOUNDATION (NOW DBA LIVING WELL FOUNDATION)
A motion was made by Mr. Spencer, seconded by Mr. Mulhearn and unanimously approved for the Board of Commissioners to go into executive session for the purposes of strategic planning, including with respect to the future of the Wellness Center and relations with GRMC, Glenwood Resolution Authority, Inc., and the Ward Five Healthcare Foundation (now dba Living Well Foundation).
Amanda Adcock, Interim Director of the Wellness Center, attended the Executive Session only during the presentation of information concerning the Wellness Center.
A motion was made by Mr. Spencer, seconded by Mr. Gilley and unanimously approved for the Board of Commissioners to go back into regular session.
APPROVAL OF MINUTES OF DISTRICT BOARD MEETINGS HELD ON OCTOBER 14, AND NOVEMBER 6, 2008
After review of the October 14, 2008 and November 6, 2008 minutes, a motion was made by Mr. Mulhearn and seconded by Mr. Gilley to adopt the minutes as presented and the motion was unanimously approved.
APPPROVAL OF 2007 ANNUAL AUDITED FINANCIAL STATEMENTS OF THE DISTRICT
Approval of the 2007 Annual Audited Financial Statements of the District was tabled until a later date.
APPROVAL OF LIVING WELL FOUNDATION’S FORM OF GRANT AGREEMENTS
After discussion of Living Well Foundation’s form of grant agreements, the following resolution was presented by Ms. Liner for approval:
WHEREAS, Section 3.7 of the Bylaws of the Living Well Foundation provides that the forms for grant agreements by the Foundation shall be submitted for approval by the Foundation Board of Directors and thereafter by the Board of Commissioners of the District;
RESOLVED, that the Form of Grant Agreement approved by the Board of Directors of the Living Well Foundation at its meeting on November 4, 2008 and presented to this meeting is hereby approved for use by the Foundation with all grants.
Mr. Mulhearn seconded the motion and the Board unanimously approved.
REVIEW OF MINUTES OF FOUNDATION BOARD MEETING OF OCTOBER 7, 2008
The Board of Commissioners reviewed the October 7, 2008 minutes of the board of directors of Living Well Foundation.
TRANSACTION OF ANY OTHER BUSINESS THAT MAY PROPERLY COME BEFORE THE MEETING
There was no further business for discussion.

A written examination will be given in approximately ninety (90) days on a competitive basis to approved applicants for the purpose of placing names on the competitive employment list for the class of Firefighter in accordance with the provisions of the Municipal Fire and Police Civil Service Law and the rules of the Ouachita Parish Fire Department Civil Service Board. Completed applications must be received at the above address by January 8, 2009, 4:00 p.m. (Office hours are 8:00 a.m. until 4:00 p.m., Monday through Friday).

NOTICE
CITY SEEKS PARTICIPANTS FOR $450,000.000 BROWNFIELDS CLEANUP REVOLVING LOAN FUND
WEST MONROE, LA, DECEMBER 16, 2008: The City of West Monroe is seeking qualified borrowers to participate in the Brownfields Redevelopment Project. Brownfields are underutilized commercial properties that have great potential, but are held back by environmental issues. The properties may require environmental clean up prior to re-use or development. Sites located within the City can qualify for funding through the U.S. Environmental Protection Agency and the City’s Brownfields Office. Specifically, the City is seeking qualified borrowers to tap into the $450,000.00 Revolving Loan Fund available for environmental remediation of petroleum-contaminated sites. MINUTES OF THE REGULAR MEETING OF THE WEST MONROE CITY HALL
TUESDAY, DECEMBER 9, 2008
There was a Regular Meeting of the West Monroe City Council held on Tuesday, December 9, 2008, in the Council Chambers of the West Monroe City Hall.
Those present were Mayor Dave Norris, Aldermen L. O. Yeager, Alice Pearson, James Bennett, James Brian and Fred Ragland.
The invocation was offered by Dr. Jerry Edmondson.
There was a motion by Mr. Yeager, seconded by Mrs. Pearson and unanimously carried to approve the minutes of the November 11, 2008, Regular Council Meeting and of the November 25, 2008 Special Council Meeting.
There was a motion by Mr. Yeager, seconded by Mr. Bennett and unanimously carried to approve payment of the November 2008 billings, subject to audit by the Finance Committee.
There was a motion by Mrs. Pearson, seconded by Mr. Yeager to approve an ordinance to revoke a portion of Katie Street (Frank Swayze, applicant). Received a favorable recommendation from the Planning Commission. (tabled from November) Ordinance 3781:

There was a motion by Mr. Yeager, seconded by Mrs. Pearson and unanimously carried to approve an ordinance to declare certain immovable property surplus, and to be sold to Darbonne Sunrise Enterprises, Inc. (Sears dealer store) (West Monroe Commercial park Subdivision) (introduced in November). Ordinance 3777:
AN ORDINANCE AUTHORIZING THE CITY OF WEST MONROE, LOUISIANA TO SELL CERTAIN DESCRIBED IMMOVABLE PROPERTY WHICH IS NOT NEEDED FOR ANY PUBLIC PURPOSE BY THE CITY OF WEST MONROE, LOUISIANA TO DARBONNE SUNRISE ENTERPRISES, INC., FOR THE CASH SUM OF $290,000.00, AND OTHERWISE PROVIDING WITH RESPECT THERETO.
There was a motion by Mrs. Pearson, seconded by Mr. Brian and unanimously carried to approve an ordinance to authorize the filing of an application with the Louisiana Department of Transportation & Development for a grant under the Federal Transit Act. (operating and/or capital assistance)(West Ouachita Senior Center annual transit grants).
Ordinance 3782:
AN ORDINANCE AUTHORIZING THE FILING OF AN APPLICATION OR APPLICATIONS WITH THE LOUISIANA DEPARTMENT OF TRANSPORTATION AND DEVELOPMENT FOR A GRANT UNDER 49 CFR 5311, NON-URBANIZED AREA FORMULA PROGRAM AND/OR 49 CFR 5309, DISCRETIONARY CAPITAL PROGRAM, TO AID IN THE FINANCING OF OPERATING OR CAPITAL ASSISTANCE PROJECTS, AND OTHERWISE PROVIDING WITH RESPECT THERETO.
There was a motion by Mrs. Pearson, seconded by Mr. Ragland and unanimously carried to accept the audit reports for the fiscal year ending June 30, 2008.
There was a motion by Mr. Yeager, seconded by Mr. Brian and unanimously carried to approve an ordinance to authorize execution of an Engagement Letter with Cameron, Hines & Hartt, CPAs, to conduct audit for the fiscal year of July 1, 2008 to June 30, 2009. Ordinance 3783:

There was a motion by Mr. Bennett, seconded by Mrs. Pearson and unanimously carried to approve an ordinance to authorize the execution of a Cooperative Endeavor Agreement with the Department of the Treasury, State of Louisiana (line Item Appropriation- Downtown Development-$50,000.00). Ordinance 3785:

There is a motion by Mr. Yeager, seconded by Mr. Brian and carried in a 3-2 vote (Mrs. Pearson and Mr. Ragland voting nay) to approve an ordinance to amend Section 12-5018 (2) of the Code of Ordinances, City of West Monroe, Louisiana, to allow a caretaker residence in an O-L (Open Land) District. Ordinance 3787:
AN ORDINANCE AMENDING SECTION 12-5018(a)(2) OF THE CODE OF ORDINANCES, CITY OF WEST MONROE, LOUISIANA, TO ALLOW A CARETAKER'S RESIDENCE TO BE LOCATED IN AN O-L (OPEN LAND) DISTRICT AS A USE REQUIRING PLANNING APPROVAL; TO ESTABLISH AN EFFECTIVE DATE; AND TO OTHERWISE PROVIDE WITH RESPECT THERETO.
There was a motion by Mrs. Pearson, seconded by Mr. Yeager and unanimously carried to approve an ordinance to authorize execution of supplemental agreement #4, Twin Cities Gateway Grant. Ordinance 3788:
AN ORDINANCE AUTHORIZING THE EXECUTION OF A SUPPLEMENTAL AGREEMENT NO. 4 BY AND BETWEEN THE STATE OF LOUISIANA DEPARTMENT OF TRANSPORTATION AND DEVELOPMENT AND THE CITY OF WEST MONROE, RELATIVE TO THE TWIN CITIES GATEWAY PROJECT, AND OTHERWISE PROVIDING WITH RESPECT THERETO.
There was a motion by Mr. Yeager, seconded by Mrs. Pearson and unanimously carried to table until the January 2009 Regular Council meeting an ordinance to revoke certain unneeded easements in Constitution Centre Commercial Subdivision (proposed Lowe's site).
There was a motion by Mrs. Pearson, seconded by Mr. Ragland and unanimously carried to add to the agenda an Ordinance relating to the crime of resisting an officer.
There was a motion by Mrs. Pearson, seconded by Mr. Ragland and unanimously carried to approve an ordinance relating to the crime of resisting an officer. Ordinance 3789:
AN ORDINANCE AMENDING SECTION 11-4015 OF THE CODE OF ORDINANCES, CITY OF WEST MONROE, LOUISIANA, RELATING TO THE CRIME OF RESISTING AN OFFICER; TO ESTABLISH AN EFFECTIVE DATE FOR SUCH REVISIONS; AND TO OTHERWISE PROVIDE WITH RESPECT THERETO.
Mayor Norris made a presentation to Roy Naron for 50 years of Police service, 30 years of active duty and 20 years as Major over Police Reserves. State Representative Mike Walsworth made a presentation to Major Naron from the State of Louisiana.
There being no further business, there was a motion by Mr. Yeager, seconded by Mr. Bennett and unanimously carried.

AN ORDINANCE AUTHORIZING THE CITY OF WEST MONROE, LOUISIANA TO SELL CERTAIN DESCRIBED MOVABLE PROPERTY WHICH IS NOT NEEDED FOR ANY PUBLIC PURPOSE BY THE CITY OF WEST MONROE, LOUISIANA TO THORNTON, MUSSO AND BELLEMIN COMPANY, INC., AND OTHERWISE PROVIDING WITH RESPECT THERETO.
WHEREAS, the City of West Monroe, Louisiana, owns certain movable property which is not needed for public purposes, and
WHEREAS, Thornton, Musso and Bellemin Company, Inc. wishes to acquire such item for a price which is fair and reasonable, and which sale would be beneficial to the City of West Monroe and its residents.
NOW, THEREFORE:
SECTION 1. BE IT ORDAINED by the Mayor and Board of Aldermen of the City of West Monroe, Louisiana, in regular and legal session convened, that the City of West Monroe, Louisiana is hereby authorized to sell certain movable property which is not needed for any public purpose by the City of West Monroe, Louisiana, which property is more particularly described as follows, towit: used, shop built clarifier, previously utilized in a pilot study in approximately 1995- 1996
(The above in “as is” condition) to Thornton, Musso and Bellemin Company, Inc. for the cash sum of TWO HUNDRED AND NO/100 ($200.00) DOLLARS or the costs of required prohibition in order to authorize this sale, whichever is greater, plus any and all costs to dismantle and transport (FOB site).
SECTION 2. BE IT FURTHER ORDAINED by the Mayor and Board of Aldermen of the City of West Monroe, Louisiana, in regular and legal session convened, that Dave Norris, Mayor of the City of West Monroe, Louisiana, be and he is hereby authorized to execute a Bill of Sale on behalf of the City of West Monroe, Louisiana, reflecting the price and terms set forth above, and to take any other action or execute any and all other documents deemed by him either necessary or appropriate in order to transfer the above described movable property, all as set forth above.
SECTION 3. The above ordinance was introduced on December 9, 2008, in legal session convened; notice of this ordinance was published three times in fifteen (15) days, one week apart, as required by R.S. 33:4712; no opposition being filed, it is considered by sections, voted on by yea and nay vote, passed and adopted in legal session convened this 13 day of January, 2009, with the th final vote being as follows:

NOTICE
The Ouachita Parish School Board met in regular session on Tuesday, December 2, 2008 at twelve (12:00) o’clock noon at its regular meeting place, the Ouachita Parish School Board office.
The following members were present: Jack White, Scott Robinson, A. R. Sims, Jerry R. Hicks, John Russell, Carey Walker and Susan Spence. There were none absent.
The Pledge to the Flag was led by Reverend John Russell.
The Invocation was given by Board member Scott Robinson.
On motion by A. R. Sims, seconded by Carey Walker, the Board unanimously approved the Minutes of November 11, 2008 as written.
On motion by Susan Spence, seconded by Carey Walker, the Board approved the Agenda as presented. Motion carried unanimously.
Jerry Hicks moved, seconded by A. R. Sims, that the Board approve the revised Personnel Agenda as presented, including the changes since mail-out. Motion carried unanimously.
Bond counsel for Foley & Judell law firm, C. Grant Schlueter, announced that Ouachita Parish School Board’s general obligation tax bond rating from Standard & Poor’s (S&P) has been increased three levels from A-minus to AA-minus. According to Mr. Schlueter, very few school boards or other political subdivisions in the State have reached the AA category and it’s almost unheard of to move up three levels. Standard & Poor’s, a national bond rating agency, based the upgrade on a number of factors, including the School Board’s sound financial performance and low debt burden to taxpayers. The S&P report also cites the School Board’s maintenance of a healthy fund balance, which is critical to attaining this bond rating. At this time Mr. Schlueter informed the Board that bids were received for the sale of $9,785,000 of East Ouachita General Obligation School Bonds from the following three bidders: Morgan Keegan 4.67% - Stifel Nicolaus 4.88% - Sterne Agee 5.33%.
On motion by A. R. Sims, seconded by John Russell, the Board accepted the recommendation of bond counsel Grant Schlueter and adopted the resolution providing for the opening and tabulation of the sealed and electronic bids received for the purchase of $9,785,000 of General Obligation School Bonds, Series 2009 of East Ouachita Parish School District of the Parish of Ouachita, State of Louisiana, and providing for other matters in connection therewith. Motion carried unanimously.
On motion by Susan Spence, seconded by John Russell, the Board accepted the recommendation of bond counsel Grant Schlueter and approved the resolution accepting the low bid of Morgan Keegan of 4.67% for the purchase of $9,785,000 of General Obligation School Bonds, Series 2009 of East Ouachita Parish School District of the Parish of Ouachita, State of Louisiana and providing for other matters in connection therewith. Motion carried unanimously.
On motion by Carey Walker, seconded by Susan Spence, the Board accepted the recommendation of bond counsel Grant Schlueter and approved the resolution authorizing the incurring of debt and issuance of $9,785,000 of General Obligation School Bonds, Series 2009, of East Ouachita Parish School District of the Parish of Ouachita, State of Louisiana, and providing for other matters in connection therewith. Motion carried unanimously.
On the recommendation of Professional Development Coordinator, Cynthia Osborne, Scott Robinson moved, seconded by Jerry Hicks, that the Board approve the 2009-10 Math/Science Partnership Agreement Renewal, which includes continuing a stipend of $25 per hour paid each participating teacher attending math/science conferences in this program in addition to travel expenses allowed by the grant for the life of the grant. Motion carried unanimously.
Special Projects/Safety Coordinator Kenneth Slusher announced that the multi-purpose building at Riverbend has been completed and accepted. The bids for the Ag building at Ouachita High School is scheduled to be opened on Thursday at 2:00 p.m. and at 9:00 a meeting is planned for the final stage on the West Monroe High School. Mr. Slusher stated that he and Dr. Webber met with the corporation of landowners to discuss the roads leading into the new Sterlington school site and they have agreed to give the Board the property to build a road to Hwy. 165 to the Board’s property line and feels strongly the Town of Sterlington is going to help finance the road project. Whereby, he asked the Board to authorize Dr. Webber and Board attorney Elmer Noah to execute an agreement with the corporation of landowners and the Town of Sterlington in finalizing the act of donation for the property. Mr. Slusher estimates the donated property is valued at $250,000.
On the recommendation of Special Projects/Safety Coordinator Kenneth Slusher, Susan Spence moved, seconded by Carey Walker, that the Board authorize Dr. Webber and Board attorney Elmer Noah to enter into an agreement with the Town of Sterlington and the new Sterlington school site landowners’ corporation to finalize the act of donation, including the road construction funding and other matters in connection therewith. Motion carried unanimously.
The next meeting is scheduled for December 16, 2008 at noon.
There being no further business to be brought before the Board, Jerry Hicks moved, seconded by Scott Robinson, that the meeting adjourn. Motion carried unanimously.

NOTICE OF PROPOSED ORDINANCE FOR SALE
OF SURPLUS IMMOVABLE PROPERTY
Pursuant to La. R.S. 33:4712, the Ouachita Parish Police Jury introduced on December 22, 2008, an ordinance for the proposed sale of a 10.77 +/- acre tract of land located in Section 6, Township 17 North, Range 3 west located on Enterprise Drive for and in consideration of the sum of $5,000.00 per acre.
Any opposition to the proposed ordinance shall be made in writing and filed with Deborah Sewell, Recording Secretary of the Ouachita Parish Police Jury, Ouachita Parish Courthouse, 301 South Grand Street, Room 203, Monroe, Louisiana, within fifteen (15) days of the first publication of this notice.
