The last day is Thursday, Dec. 11, 2008. 11/13,11/20,11/27 _____________________________________________________________ NOTICE OF INTENT TO REQUEST RELEASE OF FUNDS November 20, 2008 City of West Monroe 2305 North Seventh Street West Monroe, La. 71291 (381) 396-2600 On or about November 28, 2008 the City of West Monroe will submit a request to the Louisiana Division of Administration for the release of Community Development Block Grant funds under PL 93-833 of the Housing and Community Development Act of 1974, as amended, to undertake a project known as FY-2008 CDBG Sewer Project for the purpose of Sewer improvements in Census Tract 56 area which includes the following: The line to be replaced begins at the intersection of 5th and Stella Streets and proceeds approximately 2200 feet in a southeasterly direction along 5th Street to its termination; then into City Lift Station Number 3. All service connections will be replaced and manholes will either be repaired or replaced as deemed necessary. The “8th and 9th Street Collectors” contain old 6-inch concrete and clay pipe, and brick/concrete manholes. This portion of the project begins at the manhole just north of the Natchitoches Street and 8th Street intersection. It proceeds in a northern direction approximately 300 feet to the manhole in the Pine Street and 8th intersection. The line then continues west approximately 300 feet. It then turns northeast for approximately 120 feet where it enters another manhole. Approximately 725 feet of old pipe will be replaced by new 8-inch DR-17 HDPE pipe using the pipe bursting method. The “Coleman Street Collector” experiences sewer problems with infiltration through its old brick manholes. In order to correct this problem, these manholes will be cleaned and lined with an epoxy grout. Where necessary, the tops will be reseated and re-grouted. These activities proposed are categorically excluded under HUD regulations at 24 CFR Part 58 from National Environmental Policy Act requirements. An Environmental Review Record (ERR) that documents the environmental determinations for this project is on file at the office of the Mayor at the City Hall, 2305 North Seventh Street, West Monroe La. 71291 and may be examined or copied weekdays 8:00 A.M. to 5:00 P.M. BE IT ORDAINED by the Mayor and Board of Aldermen of the City of West Monroe, Louisiana, in regular and legal session convened, that the City of West Monroe, Louisiana (“CITY”) is hereby authorized to sell certain immovable property which is not needed for any public purpose by the City of West Monroe, Louisiana, which property is more particularly described as follows, to-wit: Lot 6 of West Monroe Commercial Park Subdivision, of record in Plat Book 19, Page 143, records of Ouachita Parish, Louisiana. to DARBONNE SUNRISE ENTERPRISES, INC., or its approved successors or assigns, (“BUYER”) for and in consideration of the cash sum of TWO HUNDRED NINETY THOUSAND AND NO/100 ($290,000.00) DOLLARS, under the terms and conditions of that Standard Retail Purchase Contract to be entered into between the City and the Purchaser, and subject to the following conditions: a) Subject to any and all development restrictions of record, and all rights-ofway and/or servitudes of record or of use; and b) CITY reserves and excludes from this conveyance any and all right, title and interest in and to any and all oil, gas and other minerals in, on or under the property, all of such interests being expressly reserved by CITY without any warranty whatsoever from or by BUYER; provided, however, that CITY expressly waives any and all surface rights in and to the Property resulting from this reservation; and CITY may not exercise any rights it may have in and to such oil, gas and other minerals in such a fashion that CITY’s right to the use of the surface of the property is disturbed so as to have a substantial negative impact on the operation of any business located upon the property. SECTION 2. BE IT FURTHER ORDAINED by the Mayor and Board of Aldermen of the City of West Monroe, Louisiana, in regular and legal session convened, that Dave Norris, Mayor of the City of West Monroe, Louisiana, be and he is hereby authorized to execute a Deed on behalf of the City of West Monroe, Louisiana, reflecting the price and terms set forth above, and to take any other action or execute any and all other documents deemed by him either necessary or appropriate in order to transfer the above described immovable property as set forth above, including but not limited to including a provision, whether in the deed or in a supplemental agreement, that limits the nature of the initial construction and operation of the business to be located on that property to certain types of activities that requires the construction to be initiated within a certain time and/or pursued in a commercially reasonable manner through to completion by a certain date, together with such other requirement and provisions as he deems appropriate, including a provision that provides for a right and option in favor of the City of West Monroe to re-acquire the property at the same price if such conditions are not timely met or to provide for liquidated damages or other consideration payable to the City of West Monroe in lieu of such reacquisition, the terms, conditions or provisions of all of such conditions to be as determined appropriate by the Mayor; and is further authorized to obligate the CITY to undertake certain specifically described drainage improvements. SECTION 1. BE IT ORDAINED by the Mayor and Board of Aldermen of the City of West Monroe, Louisiana, in regular and legal session convened, that Section 4-2017 of the Code of Ordinances, City of West Monroe, Louisiana, is hereby enacted, to read as follows: “Sec. 4-2017. Local arson investigators. The Fire Chief shall be authorized to issue a commission to any local arson investigator which allows that local arson investigator to carry and use firearms and to arrest individuals suspected of violated the crimes enumerated in R.S. 40:1563.1; however, the issuance of the commission, the powers granted by those commissions and the use of firearms by the person to whom commissions are issued shall be subject to the following: a) The local arson investigator shall be certified by the Council on Peace Officer Standards and Training (P.O.S.T.) and be qualified by the P.O.S.T. Council, or both; and b) Possession of a P.O.S.T. certification or P.O.S.T. qualification, or both, by a local arson investigator shall not grant to that arson investigator any authority other than the authority granted by a commission issued pursuant to R.S. 40:1563.1D; and c) The authority granted by a commission which is issued under these provisions shall be limited to the powers, functions, duties and responsibilities which are set forth for local arson investigators in R.S. 40:1563.1. A commission which is issued pursuant to this section, and under the provisions of R.S. 40:1563.1D shall not grant any authority other than the powers, functions, duties and responsibilities which are set forth for local arson investigators in R.S. 40:1563.1; and d) The authority to carry and use firearms which is granted by the issuance of any such commission issued pursuant to this section is limited to the power to carry weapons while acting in a course and scope of duties as a local arson investigator.” SECTION 2. BE IT FURTHER ORDAINED, by the Mayor and the Board of Aldermen of the City of West Monroe, Louisiana, in regular and legal session convened, that if any provisions or sections of this ordinance are held invalid, such invalidity should not affect the other provisions or sections of this ordinance which can be given in effect without the invalid provisions or sections, and to this end the provisions and sections of this ordinance are hereby declared severable. Mr. Hicks further moved to include in the Minutes of October 7, 2008, that the WMHS bridge and Drew sewer system are to be paid with funds remaining in the “old” 1986 West Ouachita Bond issue fund. Book author Shachella James, the niece of a Ouachita Parish teacher, presented a review of her recently published children’s book entitled “Sentarse Means Sit”. In conclusion, she asked the Board to consider purchasing it for students. Superintendent Webber directed her to meet with two of his school directors to discuss the book further and the possibility of using it in our classrooms. On the recommendation of bond counsel Grant Schlueter, Carey Walker moved, seconded by Susan Spence, that the Board adopt the resolution authorizing the advertising for sealed bids for the purchase of $9,785,000 of General Obligation School Bonds, Series 2009, of the East Ouachita Parish School District of the Parish of Ouachita, State of Louisiana, and providing for other matters in connection therewith. Motion carried unanimously. (Scott Robinson was absent) Board attorney Elmer Noah advised the Board that, according to the City of Monroe, (the tax collecting body for Ouachita Parish,) the amount allegedly owed to the Ouachita Parish School Board by Graphic Packaging Corp. includes $1.9 million in unpaid sales taxes, nearly $607,000 in penalties and $866,507 in interest and is the Board’s desire to work out some type of compromise. The Ouachita Parish School Board, Ouachita Parish Police Jury, Monroe City Schools and a local fire district are allegedly owed $3.4 million by Graphic Packaging Corp. as calculated by the tax assessor’s office. As a result of an audit by the City of Monroe it was determined that Graphic Packaging had not paid the correct amount of sales and use taxes for the period between January 2000 - December 2005. According to Board attorney Elmer Noah approximately 60 percent of this amount would go to Ouachita Parish schools (since this announcement the tax collector has informed the Board this amount should be 50 percent). Presently, Graphic Packaging does not agree with their calculations and have filed a formal letter of protest vowing they do not owe that much money and have retained special counsel to defend them in this dispute. In order to represent the interest of the School Board, Board attorney Elmer Noah recommended that the Board retain the services of special counsel, expertise in dealing with tax issues, to defend their position in this matter. Whereby, Susan Spence moved, seconded by John Russell, that the Board adopt the following resolution retaining special counsel that includes a cooperative endeavor agreement drawn up between governmental agencies having an interest therein and sharing in the expenses incurred in connection with this matter: A RESOLUTION AUTHORIZING THE ENGAGEMENT OF TAYLOR, PORTER, BROOKS & PHILLIPS, L.L.P., AS SPECIAL COUNSEL TO THE OUACHITA PARISH SCHOOL BOARD IN CONNECTION WITH THE MATTER STYLED, “GRAPHIC PACKAGING INTERNATIONAL, INC. VERSUS THE CITY OF MONROE, ET AL.”, BEARING NUMBER 08-1346 ON THE DOCKET OF THE FOURTH JUDICIAL DISTRICT COURT, OUACHITA PARISH, LOUISIANA; AND FURTHER PROVIDING WITH RESPECT THERETO. WHEREAS, the Ouachita Parish School Board has a real need for special counsel to advise it and represent its interest in connection with matters relating to the suit styled, “Graphic Packaging International, Inc. versus The City of Monroe, et al.”, No. 08-1346, 4th JDC; WHEREAS, this matter involves substantial amounts of potential unpaid sales and use taxes levied by the Ouachita Parish School Board and other local taxing bodies, and presents complex legal, accounting and administrative issues involving the levy of sales and use tax on transactions in the pulp and paper industry; WHEREAS, the Ouachita Parish School Board finds that the services of special counsel having expertise in the area of sales and use taxes and related matters will serve the best interests of the above-described litigation and the complex issues presented therein; WHEREAS, the firm of Taylor, Porter, Brooks & Phillips, L.L.P. has advised that it is willing to represent the Ouachita Parish School Board and the other governmental bodies in Ouachita Parish involved in this litigation; that the scheduled billing rates of the Louisiana Attorney General are acceptable for the attorneys, paralegals, and law clerks of said Firm that work on this engagement; that the attorneys of the firm identified to handle the engagement are Ms. Dawn Dietrich Bonnecaze, who has more than ten years experience in the practice of law, and Ms. Jennifer Sigler, who has eight years of experience in the practice of law; that said Firm is to be reimbursed for reasonable and necessary out-of-pocket expenses in connection with the engagement; and that it is understood said engagement is subject to approval by the Office of the Attorney General for the State of Louisiana; and, WHEREAS, the Ouachita Parish School Board desires to retain the firm of Taylor, Porter, Brooks & Phillips, L.L.P. as special counsel in connection with the matters identified above; NOW, THEREFORE; BE IT HEREBY RESOLVED, that, subject to approval by the Attorney General for the State of Louisiana, the Ouachita Parish School Board hereby authorizes the engagement of the firm of Taylor, Porter, Brooks & Phillips, L.L.P. to serve as its special counsel in the matters identified above; BE IT FURTHER RESOLVED, that this Resolution be submitted to the Office of the Attorney General for the State of Louisiana for approval in accordance with law; BE IT FURTHER RESOLVED, that the President of the School Board is authorized to sign any and all documents necessary to carry out the above, including a Cooperative Endeavor Agreement to provide for the coordination of representation and sharing of the legal fees and expenses incurred in connection with the above-described matters by and between the Ouachita Parish School Board and the other governmental bodies of Ouachita Parish having an interest therein. Mr. Garrett further recommended that the Board accept the bids meeting specifications for the WOHS Ag building Equipment as indicated in bold print. Whereby, Mr. Sims moved, seconded by Jerry Hicks, that the Board accept the recommendations of Business Manager Richie Garrett and cancel the bids for track equipment for West Ouachita High School and Sterlington High School as the specifications need to be amended and re-bid [Bid No. 27-09] and accept the low bids typed in bold meeting specifications for the West Ouachita High School Ag building equipment [Bid No. 29-09].
