CALL TO ORDER
A regular meeting of the Board of Commissioners, Hospital Service District No. 1 of the Parish of Ouachita, State of Louisiana was called to order at 11:40 a.m. in The Wellness Center, 3215 Cypress Street, West Monroe, Louisiana, by Steve Hall, Chairman of the Board of Commissioners.

Mr. Mulhearn gave the invocation.

REMARKS FROM THE CHAIRMAN OF THE DISTRICT
Mr. Hall noted that Exercise Room renovations to the Wellness Center are going well and should be complete in approximately two weeks.
EXECUTIVE SESSION FOR PURPOSES OF STRATEGIC PLANNING, INCLUDING WITH RESPECT TO THE FUTURE OF THE WELLNESS CENTER AND RELATIONS WITH GRMC, GLENWOOD RESOLUTION AUTHORITY, INC., AND THE WARD FIVE HEALTHCARE FOUNDATION (NOW DBA LIVING WELL FOUNDATION
A motion was made by Mr. Spencer seconded by Ms. Liner and unanimously approved for the Board of Commissioners to go into executive session for the purposes of strategic planning, including with respect to the future of the Wellness Center and relations with GRMC, Glenwood Resolution Authority, Inc., and the Ward Five Healthcare Foundation (now dba Living Well Foundation).
All present were allowed to remain.
A motion was made by Ms. Liner seconded by Mr. Spencer and unanimously approved for the Board of Commissioners to go back into regular session.
APPROVAL OF MINUTES OF DISTRICT BOARD MEETINGS HELD ON APRIL 8, 2008
After review of the April 8, 2008 minutes, a motion was made by Ms. Liner and seconded by Mr. Spencer to adopt the minutes as presented and the motion was unanimously approved.
APPROVAL OF THE WELLNESS CENTER MEMBERSHIP SIGN UP FEES & MONTHLY RATES
After discussion on The Wellness Center membership sign up fees and monthly rates, approval of this item was tabled until the June meeting.
APPROVAL OF THE WELLNESS CENTER LOGO
After due discussion and presentation of various Wellness Center logos, Ms. Liner offered the following resolution, Mr. Gilley seconded the motion and the motion was carried unanimously:
RESOLVED, that the logo for The Wellness Center presented to this meeting, consisting of the black and taupe colors, is approved and adopted, and each of the officers of the District is authorized to cause such service mark or other filings to be made with the Louisiana Secretary of State with respect to such logo as any one of them may deem advisable.
REVIEW/APPROVAL OF BIDS ON CARDIO EQUIPMENT FOR THE WELLNESS CENTER
Only one bid was received from Star Trac on new cardio equipment. The following resolution was offered by Mr. Gilley:
RESOLUTION
NOW COME the Members of the Hospital Service District No. 1 of Ouachita Parish, and collectively resolved and attested:
A duly scheduled and noticed meeting of the Hospital Service District No. 1 of Ouachita Parish was held on May 13, 2008, with a quorum being present;
After being duly advertised and noticed, only one bid was received in connection with the purchase of certain exercise equipment to be placed or installed at the Wellness Center;
The only bid received was from Star Trac of Irvine, California;
The Members present for the meeting voted unanimously to accept the bid and to undertake the contract with Star Trac;
THUS APPROVED AND RESOLVED by the undersigned Members of the Hospital Service District No. 1 of Ouachita Parish.

Mr. Spencer made a second to the motion. The Board unanimously approved the resolution.
AMENDMENT OF THE AGENDA
Ms. Liner moved, Mr. Spencer seconded, and the Board unanimously approved amending the agenda to add the following agenda item:
“APPROVAL OF PURCHASE AND INSTALLATION OF TVs AND OPERATIONAL EQUIPMENT”

The following resolution was presented for approval by Mr. Gilley:
RESOLVED, that the purchase of six 26" LCD Toshiba televisions for $3174.00 and of related electronic equipment designed to permit different clients to listen to different televisions in the same room for $9,535.75 from Star Trac, as contemplated in the proposal presented at the meeting of the Board of Commissioners, is approved, and each of the Chairman and the Interim Executive Director is authorized to execute such agreements and documents and take such other actions as he or she may deem necessary or advisable to effectuate the purchase.
Ms. Liner seconded the motion and the Board unanimously approved.
APPROVAL ON PROFESSIONAL SERVICES PROPOSAL FOR CPA
After consideration of all proposals made for accounting services, Mr. Spencer offered a resolution as follows:
RESOLVED, that Little & Associates LLC be engaged to perform accounting services for the District, especially with respect to the Wellness Center, and the Chairman of the District is authorized to execute on behalf of the District an engagement letter agreement with the foregoing accounting firm on such terms and conditions as he may approve.
Mr. Gilley seconded the motion and the Board of Commissioners unanimously approved.
APPROVAL OF THE LIVING WELL FOUNDATION’S COMMUNITY PLAN
After review and discussion of the Living Well Foundation’s Community Plan, Ms. Liner made a motion, Mr. Gilley seconded, and the resolution was unanimously approved as follows:
WHEREAS, Section 2.B(4) of the Cooperative Endeavor Agreement between the District and the Living Well Foundation requires that within one year after receiving each Community Needs Assessment, the Foundation shall prepare and adopt a Community Plan to address the health and wellness needs identified in the Community Needs Assessment, and the adoption of each Community Plan requires the approval of both the Board of Directors of the Foundation and of the Board of Commissioners of the District;
WHEREAS, the Foundation received a Community Needs Assessment earlier this year, the Foundation has prepared a Community Plan to address the health and wellness needs addressed in the assessment, the Board of Directors of the Foundation has approved the Community Plan, the plan has now been submitted to the Board of Commissioners for approval, and the Board of Commissioners have reviewed and discussed the same;
RESOLVED, that the Board of Commissioners of the District approves the Living Well Foundation 2008 Community Plan in the form approved by the Board of Directors of the Foundation and presented to this meeting of the Board of Commissioners.
AMENDMENT OF THE AGENDA
Ms Liner moved, Mr. Gilley seconded, and the Board unanimously approved amending the agenda to add the following agenda item:

Mr. Spencer offered the following resolution for adoption:
RESOLVED, that the proposed schedule of pay raises for Wellness Center staff presented at the meeting of the Board of Commissioners is approved, with such raises to be effective beginning June 1, 2008, and the Interim Executive Director is authorized to take such actions as she deems necessary or advisable to implement such pay raises.
Ms. Liner seconded the resolution and the Board unanimously approved it.
REVIEW OF MINUTES OF FOUNDATION BOARD MEETING OF APRIL 1, 2008
The Board of Commissioners reviewed the April 1, 2008 minutes of the board of directors of Ward Five Healthcare Foundation.
TRANSACTION OF ANY OTHER BUSINESS THAT MAY PROPERLY COME BEFORE THE MEETING
It was noted that a next regular meeting of the Hospital Service District is scheduled for Tuesday, June 10, 2008, at 11:30 a.m. at the Wellness Center.

The sources of drinking water (both tap water and bottled water) include rivers, lakes, streams, ponds, reservoirs, springs, and wells. As water travels over the surface of land or through the ground, it dissolves naturally-occurring minerals and, in some cases, radioactive material, and can pick up substances resulting from the presence of animals or from human activity. Contaminants that may be present in source water include:
Microbial Contaminants – such as viruses and bacteria, which may come from sewage treatment plants, septic systems, agricultural livestock operations, and wildlife.
Inorganic Contaminants – such as salts and metals, which can be naturally-occurring or results from urban storm water runoff, industrial, or domestic wastewater discharges, oil and gas production, mining, or farming.
Pesticides and Herbicides – which may come from a variety of sources such as agriculture, urban storm water runoff, and residential uses.
Organic Chemical Contaminants – including synthetic and volatile organic chemicals, which are by-products of industrial processes and petroleum production, and can also come from gas stations, urban storm water runoff, and septic systems.
Radioactive Contaminants – which can be naturally-occurring or be the result of oil and gas production and mining activities.
A Source Water Assessment Plan (SWAP) is now available from our office. This plan is an assessment of a delineated area around each of our sources through which contaminants, if present, could migrate and reach our source water. It also includes an inventory of potential sources of contamination within the delineated area, and a determination of the water supply's susceptibility to contamination by the identified potential sources. According to the Source Water Assessment Plan, our water system had a susceptibility rating of medium. Should you wish to review the Source Water Assessment Plan, please contact our office at the number provided in the following paragraph to schedule an appointment.
In order to ensure that tap water is safe to drink, EPA prescribes regulations which limit the amount of certain contaminants in water provided by public water systems. Food and Drug Administration regulations establish limits for contaminants in bottled water which must provide the same protection for public health. We are pleased to report that our drinking water is safe and meets federal and state requirements. If you have any questions about this report, please contact John D. Nichols, Operations Manager or Doil A. Nelson Jr., Facilities Manager, at (318) 322-9516 or any of your water system board members. We want our valued customers to be informed about their water utility. If you want to learn more, please attend any of our regularly scheduled meetings. The Board of Directors of Cheniere Drew Water System conducts a monthly business meeting on the second Tuesday of each month at 7 PM. The location of this business meeting is at the water office located at 646 Commercial Parkway in West Monroe.
The Louisiana Department of Health and Hospitals/Office of Public Health routinely monitors for constituents in your drinking water according to Federal and State laws. The table that follows illustrates the results of our monitoring during the period of January 1st to December 31st 2007. Drinking water, including bottled drinking water, may be reasonably expected to contain at least small amounts of minerals and other constituents. It's important to remember that the mere presence of these minerals and constituents does NOT necessarily pose a health risk.
In the table below, you will find many terms and abbreviations you might not be familiar with. To help you better understand these terms, we’ve provided the following definitions:
Non-Detects (ND) – laboratory analysis indicates that the constituent is not present.
Running Annual Average (RAA) – average of test results covering the last four quarters.
Parts per million (ppm) or Milligrams per liter (mg/L) – one part per million corresponds to one minute in two years or a single penny in $10,000.00.
Parts per billion (ppb) or Micrograms per liter (ug/L) – one part per billion corresponds to one minute in 2,000 years, or a single penny in $10,000,000.00.
Picocuries per liter (pCi/L) – picocuries per liter is a measure of the radioactivity in water.
Millirems per year (mrem/yr) – measure of radiation absorbed by the body.
Action level (AL) – the concentration of a contaminant that, if exceeded, triggers treatment or other requirements that a water system must follow.
Treatment technique (TT) – a treatment technique is a required process intended to reduce the level of contaminate in drinking water.
Maximum contaminate level (MCL) – the “Maximum Allowed” MCL is the highest level of a contaminant that is allowed in drinking water. MCLs are set as close to the MCLGs as feasible using the best available treatment technology.
Maximum contaminant level goal (MCLG) – the “Goal” is the level of a contaminant in drinking water below which there is no known or expected risk to human health. MCLGs allow for a margin of safety.
Maximum residual disinfectant level (MRDL) - The highest level of a disinfectant allowed in drinking water. There is convincing evidence that addition of a disinfectant is necessary for control of microbial contaminants.

The sources of drinking water (both tap water and bottled water) include rivers, lakes, streams, ponds, reservoirs, springs, and wells. As water travels over the surface of land or through the ground, it dissolves naturally-occurring minerals and, in some cases, radioactive material, and can pick up substances resulting from the presence of animals or from human activity. Contaminants that may be present in source water include:
Microbial Contaminants – such as viruses and bacteria, which may come from sewage treatment plants, septic systems, agricultural livestock operations, and wildlife.
Inorganic Contaminants – such as salts and metals, which can be naturally-occurring or results from urban storm water runoff, industrial, or domestic wastewater discharges, oil and gas production, mining, or farming.
Pesticides and Herbicides – which may come from a variety of sources such as agriculture, urban storm water runoff, and residential uses.
Organic Chemical Contaminants – including synthetic and volatile organic chemicals, which are by-products of industrial processes and petroleum production, and can also come from gas stations, urban storm water runoff, and septic systems.
Radioactive Contaminants – which can be naturally-occurring or be the result of oil and gas production and mining activities.
A Source Water Assessment Plan (SWAP) is now available from our office. This plan is an assessment of a delineated area around each of our sources through which contaminants, if present, could migrate and reach our source water. It also includes an inventory of potential sources of contamination within the delineated area, and a determination of the water supply's susceptibility to contamination by the identified potential sources. According to the Source Water Assessment Plan, our water system had a susceptibility rating of ‘medium’. Should you wish to review the Source Water Assessment Plan, please contact our office at the number provided in the following paragraph to schedule an appointment.
In order to ensure that tap water is safe to drink, EPA prescribes regulations which limit the amount of certain contaminants in water provided by public water systems. Food and Drug Administration regulations establish limits for contaminants in bottled water which must provide the same protection for public health. We are pleased to report that our drinking water is safe and meets federal and state requirements. If you have any questions about this report, please contact John D. Nichols, Operations Manager or Doil A. Nelson Jr., Facilities Manager, at (318) 322-9516 or any of your water system board members. We want our valued customers to be informed about their water utility. If you want to learn more, please attend any of our regularly scheduled meetings. The Board of Directors of Cheniere Drew Water System conducts a monthly business meeting on the second Tuesday of each month at 7 PM. The location of this business meeting is at the water office located at 646 Commercial Parkway in West Monroe.
The Louisiana Department of Health and Hospitals/Office of Public Health routinely monitors for constituents in your drinking water according to Federal and State laws. The table that follows illustrates the results of our monitoring during the period of January 1st to December 31st 2007. Drinking water, including bottled drinking water, may be reasonably expected to contain at least small amounts of minerals and other constituents. It's important to remember that the mere presence of these minerals and constituents does NOT necessarily pose a health risk.
In the table below, you will find many terms and abbreviations you might not be familiar with. To help you better understand these terms, we’ve provided the following definitions:
Non-Detects (ND) – laboratory analysis indicates that the constituent is not present.
Running Annual Average (RAA) – average of test results covering the last four quarters.
Parts per million (ppm) or Milligrams per liter (mg/L) – one part per million corresponds to one minute in two years or a single penny in $10,000.00.
Parts per billion (ppb) or Micrograms per liter (ug/L) – one part per billion corresponds to one minute in 2,000 years, or a single penny in $10,000,000.00.
Picocuries per liter (pCi/L) – picocuries per liter is a measure of the radioactivity in water.
Millirems per year (mrem/yr) – measure of radiation absorbed by the body.
Action level (AL) – the concentration of a contaminant that, if exceeded, triggers treatment or other requirements that a water system must follow.
Treatment technique (TT) – a treatment technique is a required process intended to reduce the level of contaminate in drinking water.
Maximum contaminate level (MCL) – the “Maximum Allowed” MCL is the highest level of a contaminant that is allowed in drinking water. MCLs are set as close to the MCLGs as feasible using the best available treatment technology.
Maximum contaminant level goal (MCLG) – the “Goal” is the level of a contaminant in drinking water below which there is no known or expected risk to human health. MCLGs allow for a margin of safety.
Maximum residual disinfectant level (MRDL) - The highest level of a disinfectant allowed in drinking water. There is convincing evidence that addition of a disinfectant is necessary for control of microbial contaminants.

There was a Regular Meeting of the West Monroe City Council held on Tuesday, June 10, 2008, at 7:00 p.m. In the Council Chambers of the West Monroe City Hall.
Those present were Mayor Dave Norris, Aldermen L. O. Yeager, Alice Pearson, James
Bennett, Fred Ragland and James Brian.
The invocation was offered by Mr. L. O. Yeager, Alderman.
There was a motion by Mr. Yeager, seconded by Mr. Bennett and unanimously carried to approve the minutes of the May 13, 2008, Regular Council Meeting.

(2) For customers outside the city limits, the rates shall be a base charge of four dollars ($4.00) plus there shall be an additional charge for all water consumed at the rate of one dollar and ninety-two cents ($1.92) per thousand (1,000) gallons.
(b) Commercial. Water supplied to commercial consumers shall be charged on a monthly basis as follows:
(1) For commercial consumers inside the city limits the charges shall be as follows:
a. When supplied through a three-quarter-inch meter, there shall be a base charge of five dollars ($5.00), plus there shall be an additional charge of one dollar and seventy-two cents ($1.72) per thousand (1,000) gallons used.
b. When supplied through a one-inch meter, there shall be a base charge of six dollars ($6.00), plus there shall be an additional charge of one dollar and seventy-two cents ($1.72) per thousand (1,000) gallons used.
c. When supplied through a one and one-half-inch meter, there shall be a base charge of seven dollars and fifty cents ($7.50), plus an additional charge of one dollar and seventy-two cents ($1.72) per thousand (1,000) gallons used.
d. When supplied through a two-inch meter there shall be a base charge of ten dollars ($10.00), plus there shall be an additional charge of one dollar and seventy-two cents ($1.72) per thousand (1,000) gallons used.
e. When supplied through a three-inch or a four-inch meter, there shall be a base charge of fifteen dollars ($15.00), plus there shall be an additional charge of one dollar and seventy-two cents ($1.72) per thousand (1,000) gallons used.
(2) Water supplied to commercial consumers outside the city limits shall be charged on a monthly basis as follows: There shall be a base charge of seven dollars and fifty cents ($7.50), plus there shall be an additional charge of two dollars and two cents ($2.02) per thousand (1,000) gallons used.
(c) Re-sale. All water sold by the city for re-sale shall be charged for at the rate of one dollar and ninety-seven cents ($1.97) per thousand (1,000) gallons.Ó

Notwithstanding any provision contained herein to the contrary, the monthly charge for sewerage collection for institutions exclusively providing room, board, service and/or treatment to handicapped, sick, aged or persons of minority, or other persons unable physically to care for themselves by reason of some infirmity, shall be forty-five cents ($0.45) for each one thousand (1,000) gallons of water metered and billed.
c. Notwithstanding any provision contained herein to the contrary, the minimum monthly sewerage collection charge for all other than single-family residences shall be the sum of three dollars and fifty cents ($3.50).
(b) Sewerage treatment charges.
(1) Single-family residences (noncommercial): The monthly charge for sewerage treatment shall be one and 45/100 dollars ($1.45) for each one thousand (1,000) gallons of water metered and billed.
(2) Commercial (all other than single-family residences): The monthly charge for sewerage treatment shall be one and 45/100 dollars ($1.45) for each one thousand (1,000) gallons of water metered and billed.
SECTION 2. WHEREAS, the City of West Monroe ("City") wishes to expand the services it now offers to the patrons and guests of the West Monroe Convention Center; and
WHEREAS, City also wishes to expand the scope of its hosting of festivals, catering activities and involvement in other events and functions; and
WHEREAS, in order to effectively do so, the West Monroe Convention Center must necessarily apply for a Caterer's Permit under LAC 55:VII.325, et seq., and otherwise comply with all other applicable laws of the State of Louisiana, administrative procedures and the ordinances of the City.
NOW, THEREFORE,
SECTION 1. BE IT RESOLVED by the Mayor and Board of Aldermen of the City of West Monroe, Louisiana, in regular and legal session convened, that Darren Burgess, acting as the general manager of the West Monroe Convention Center, and Dave Norris, as the Mayor of the City of West Monroe, Louisiana, are hereby authorized to establish a Louisiana limited liability company in the name "West Monroe Convention Center Catering, L.L.C.", to act as its sole responsible managers, and to enter into and engage in such agreements and contracts by and between the West Monroe Convention Center and/or such limited liability company to the extent that such an arrangement is customarily utilized by municipalities or other public bodies in conjunction with obtaining a Caterer's Permit.
SECTION 2. BE IT FURTHER RESOLVED by the Mayor and the Board of Aldermen of
the City of West Monroe, Louisiana, in regular and legal session convened, that (i) Darren Burgess, acting as the general manager of the West Monroe Convention Center, and/or (ii) Darren Burgess, acting as the general manager of the West Monroe Convention Center and Dave Norris, as Mayor of the City of West Monroe, Louisiana, as the responsible persons/managers of West Monroe Convention Center Catering, L.L.C., be and they are hereby authorized to undertake application with the State of Louisiana for a Caterer's Permit under LAC 55:VII.325, et seq., and other applicable Louisiana statutes, administrative provisions and the ordinances of the City of West Monroe, with this authority to encompass the right to make any and all necessary applications, provide any and all necessary publications, pay any and all necessary application fees, undertake any and all necessary or appropriate training for themselves and for any applicable employees and to otherwise be here authorized to undertake all proper and necessary efforts in order to obtain such licensing for the West Monroe Convention Center and/or West Monroe Convention Center Catering, L.L.C..

BE IT FURTHER RESOLVED by the Mayor and Board of Aldermen of the City of West Monroe, Louisiana, in regular and legal session convened, that Dave Norris, Mayor of the City of West Monroe, is hereby further authorized on behalf of the City of West Monroe to take any and all actions, enter into any and all agreements or otherwise undertake efforts in order that the West Monroe Convention Center obtain a Caterer's Permit pursuant to LAC 55:VII.325, et seq., and other applicable Louisiana statutes, administrative provisions and the ordinances of the City of West Monroe all of which activities pursuant to any such Catering Permit to be under the sole authority and pursuant to the limitations from time to time established by him as Mayor of the City of West Monroe, Louisiana.

to KMK Properties, L.L.C., or its assigns, for and in consideration of the cash sum of ELEVEN THOUSAND, FIVE HUNDRED AND NO/100 ($11,500.00) DOLLARS, subject to the following conditions:
a) Subject to any and all development restrictions of record, and all rights-of-way and/or servitudes of record or of use;
b) City reserves all oil, gas and other fugacious minerals in, on and under the above described property, but City, on behalf of itself, its successors, lessees, and assigns, expressly waives the right to enter upon, utilize or occupy any portion of the above described property for any mineral exploration or development; and
SECTION 2. BE IT FURTHER ORDAINED by the Mayor and Board of Aldermen of the City of West Monroe, Louisiana, in regular and legal session convened, that Dave Norris, Mayor of the City of West Monroe, Louisiana, be and he is hereby authorized to execute a Deed on behalf of the City of West Monroe, Louisiana, reflecting the price and terms set forth above, and to take any other action or execute any and all other documents deemed by him either necessary or appropriate in order to transfer the above described immovable property as set forth above, including but not limited to including a provision, whether in the deed or in a supplemental agreement, that limits the nature of the initial construction and operation of the business to be located on that property to certain types of activities for a minimum number of years, that requires the construction to be initiated within a certain time and pursued in a commercially reasonable manner through to completion, together with such other requirement and provisions as he deems appropriate, including a provision that provides for a right and option in favor of the City of West Monroe to re-acquire the property at the same price if such conditions are not timely met or to provide for liquidated damages payable to the City of West Monroe in lieu of such reacquisition, the terms, conditions or provisions of all of such conditions to be as determined appropriate by the Mayor.
SECTION 3. The above ordinance was introduced on June 10, 2008, in regular and legal session convened; notice of this ordinance was published three times in fifteen (15) days, one week apart, as required by R.S. 33:4712; no opposition being filed, it is considered by sections, voted on by yea and nay vote, passed and adopted in legal session convened this 8th day of July, 2008, with the final vote being as follows:
