CALL TO ORDER
A regular meeting of the Board of Commissioners, Hospital Service District No. 1 of the Parish of Ouachita, State of Louisiana was called to order at 7:30 a.m. in The Wellness Center, 3215 Cypress Street, West Monroe, Louisiana, by Violet Liner, Chairman of the Board of Commissioners.

DISCUSSION WITH RON ELDER, CEO OF IASIS GLENWOOD REGIONAL MEDICAL CENTER
Mr. Ron Elder, CEO of IASIS Glenwood Regional Medical Center was in attendance to give an update on the hospital, noting that plans are for major investments in capital equipment and expansion of the hospital, as well as new services.
APPROVAL OF ENGAGEMENT OF CPA TO PERFORM ACCOUNTING SERVICES
Ms. Debbie Takewell presented an engagement letter for approval by the Commissioners. After discussion, Mr. Hall offered the following resolution that Mr. Spencer seconded, and the Board of Commissioners unanimously approved:
RESOLVED, that the engagement letter dated December 3, 2007 between the District and Debbie Takewell, CPA relating to the performance of accounting services for the District, especially with respect to The Wellness Center, is approved, and each of the Chairman and Vice-Chairman of the District, acting alone, is authorized to sign such engagement letter on behalf of the District, with such changes as the signing officer may approve, such approval to be conclusively evidenced by her or his signature.
OPPORTUNITY FOR PUBLIC COMMENT
There were no comments from the public.
REMARKS FROM THE CHAIRMAN OF THE DISTRICT
None
EXECUTIVE SESSION FOR THE PURPOSES OF STRATEGIC PLANNING, INCLUDING DISCUSSION OF THE IASIS TRANSACTION AND RELATED MATTERS, FUTURE OPERATION OF THE WELLNESS CENTER, IMPLEMENTATION OF THE LEASE TERMINATION AGREEMENT, AND OVERSIGHT OF WARD FIVE HEALTHCARE FOUNDATION
A motion was made by Mr. Spencer, seconded by Mr. Mulhearn and unanimously approved for the Board of Commissioners to go into executive session for the purpose of strategic planning, including discussion of the IASIS transaction and related matters, future operation of The Wellness Center, implementation of the Lease Termination Agreement, and oversight of Ward Five Healthcare Foundation.
All present were allowed to remain.
A motion was made by Mr. Hall seconded by Mr. Mulhearn and unanimously approved for the Board of Commissioners to go back into regular session.
APPROVAL OF MINUTES OF DISTRIC BOARD MEETINGS HELD ON OCTOBER 25 AND NOVEMBER 12, 2007
A motion was made by Mr. Spencer and seconded by Mr. Hall to approve the minutes of October 25 and November 12, 2007 and the motion unanimously carried.
UPDATE ON RECOMMENDATION TO OUACHITA PARISH POLICE JURY FOR REPLACEMENT FOR W. B. NELSON, JR.
Since Mr. Todd Perry was recommended at the November 12th meeting for appointment as a Commissioner, it has been determined that Mr. Perry does not reside in the District and therefore does not qualify. Recommendations for the Board were tabled until each member could submit a name to Ms. Liner for consideration at a future meeting.
REPORT FROM NOMINATING COMMITTEE AND ELECTION OF DISTRICT OFFICERS FOR 2008
The following slate of officers for 2008 was presented for approval:

Secretary Treasurer – Pat Spencer
A motion was made by Mr. Mulhearn, seconded by Mr. Spencer and unanimously carried to approve the slate of officers as presented.
REVIEW OF PROPOSALS FOR LOCAL BANKING SERVICES
After due discussion, the following resolution was offered by Mr. Hall, seconded by Mr. Spencer and unanimously carried:
WHEREAS, it has been discovered that at least one of the local banks did not receive the notice of the District's recent request for proposals for local banking services (i.e., the notice of the District to select a fiscal agency under the Local Depositories Law);
RESOLVED, that all of the proposals received in response to the District's recent request for proposals for local banking services, to begin on January 1, 2008, are hereby rejected.
RESOLVED, that a new request for proposals for local banking services be issued, substantially similar to the prior request, but for a period beginning on March 1, 2008; that the notices to the local banks shall be sent at a minimum by registered or certified mail; and that the District's Treasurer is authorized to take all such actions as may be necessary to cause the proper notices to be published and sent and otherwise to carry out the bid solicitation in accordance with law.
DISCUSSION OF REGULAR MEETING DATES FOR DISTRICT BOARD IN 2008
Considering that the board of directors of the Ward Five Healthcare Foundation meets on the first Tuesday of every month, consensus was that the Board of Commissioners of Hospital Service District #1 should meet on the second Tuesday of every month at 11:30 a.m. at The Wellness Center.
REVIEW OF MINUTES OF FOUNDATION BOARD MEETING OF OCTOBER 2, 2007
The Board of Commissioners reviewed the October 7, 2007 minutes of the board of directors of Ward Five Healthcare Foundation.
APPROVAL OF ANY ACTIONS TAKEN BY THE WARD FIVE HEALTHCARE FOUNDATION
After updates on Ward Five Healthcare Foundation, the following resolution on the appointment of a President/Chief Executive Officer was offered by Mr. Mulhearn, seconded by Mr. Hall, and unanimously carried:
WHEREAS, the nominating committee of the Ward Five Healthcare Foundation has recommended, and the Board of Directors of the Foundation has nominated, Paul E. West to be the President/Chief Executive Officer of the Foundation;
RESOLVED, that the appointment of Paul E. West as the President/Chief Executive Officer of the Foundation is approved and Paul E. West is elected President/Chief Executive Officer of the Foundation, effective upon his becoming an employee of the Foundation for all purposes.
AMENDMENT OF THE AGENDA
Mr. Mulhearn moved, Mr. Hall seconded, and the Board unanimously approved amending the agenda to add the following agenda item:
“APPROVAL OF NEW SALARY SCHEDULE FOR THE WELLNESS CENTER”

MINUTES OF THE REGULAR MEETING
OF THE WEST MONROE CITY COUNCIL
DECEMBER 11, 2007
There was a Regular Meeting of the West Monroe City Council held on Tuesday, November 13, 2007, at 7:00 p.m. in the Council Chambers of the West Monroe City Hall.
Those present were Mayor Dave Norris, Aldermen L. O. Yeager, Alice Pearson, James Brian, James Bennett and Fred Ragland.
The invocation was offered by Dr. Jerry Edmondson.
There was a motion by Mrs. Pearson, seconded by Mr. Brian and unanimously carried to approve the minutes of the November 13, 2007, Regular Council Meeting and the
November 20, 2007 Special Council Meeting.
There was a motion by Mrs. Pearson, seconded by Mr. Yeager and unanimously carried to approve payment of the November 2007 billings, subject to audit by the Finance Committee.
There was a motion by Mr. Bennett, seconded by Mr. Brian and unanimously carried to condemn and demolish structures located at 309 May Street, Travis L. Ward.
There was a motion by Mr. Bennett, seconded by Mr. Yeager and unanimously carried to condemn and demolish structures located at 504 South 9th Street, David & Mary Holman (c/o Robert J. Walker).
There was a motion by Mrs. Pearson, seconded by Mr. Bennett and unanimously carried to accept the audit reports for the fiscal year ending June 30, 2007.
There was a motion by Mrs. Pearson, seconded by Mr. Yeager and unanimously carried to approve an ordinance to authorize the execution of an Engagement Letter with Cameron, Hines & Hartt, CPAs, to conduct audit for the fiscal year of July 1, 2007 to June 30, 2008. Ordinance 3708:
AN ORDINANCE AUTHORIZING THE CITY OF WEST MONROE, LOUISIANA, TO ENGAGE CAMERON, HINES & HARTT (A PROFESSIONAL ACCOUNTING CORPORATION) TO CONDUCT A FINANCIAL AND COMPLIANCE AUDIT FOR THE FISCAL YEAR BEGINNING JULY 1, 2007 AND ENDING JUNE 30, 2008, AND OTHERWISE PROVIDING WITH RESPECT THERETO.
There was a motion by Mrs. Pearson, seconded by Mr. Yeager and unanimously carried to approve an ordinance to authorize the filing of an application with the Louisiana Department of Transportation & Development for a grant under the Federal Transit Act. (operating and/or capital assistance)(West Ouachita Senior Center annual transit grants).
Ordinance 3709:
AN ORDINANCE AUTHORIZING THE FILING OF AN APPLICATION OR APPLICATIONS WITH THE LOUISIANA DEPARTMENT OF TRANSPORTATION AND DEVELOPMENT FOR A GRANT UNDER 49 CFR 5311, NON-URBANIZED AREA FORMULA PROGRAM AND/OR 49 CFR 5309,, DISCRETIONARY CAPITAL PROGRAM, TO AID IN THE FINANCING OF OPERATING OR CAPITAL ASSISTANCE PROJECTS, AND OTHERWISE PROVIDING WITH RESPECT THERETO.
There was a motion by Mr. Bennett, seconded by Mrs. Pearson and unanimously carried to approve an ordinance to authorize Professional Services Agreement with J.W. Porter & Associates, L.L.C. with regard to right-of-way services in connection with the Tupawek Bridge Project, Kiroli Road. Ordinanc 3710:
AN ORDINANCE AUTHORIZING THE MAYOR OF THE CITY OF WEST MONROE, LOUISIANA, TO EXECUTE AN AGREEMENT FOR PROFESSIONAL SERVICES WITH J.W. PORTER & ASSOCIATES, L.L.C., RIGHT OF WAY CONSULTANT, FOR THE PROVISION OF CERTAIN RIGHT OF WAY SERVICES IN CONNECTION WITH THE TUPAWEK BRIDGE PROJECT, KIROLI ROAD, WEST MONROE, AND OTHERWISE PROVIDING WITH RESPECT THERETO.

AN ORDINANCE AUTHORIZING THE MAYOR OF THE CITY OF WEST MONROE, LOUISIANA, TO EXECUTE AN AGREEMENT FOR PROFESSIONAL SERVICES WITH GOLSON ARCHITECTURE A PROFESSIONAL CORPORATION FOR ARCHITECTURAL DESIGN AND ASSOCIATED SERVICES RELATED TO THE EXPANSION OF THE WEST MONROE COMMUNITY CENTER (400 SOUTH 5TH STREET), AND OTHERWISE PROVIDING WITH RESPECT THERETO.

AN ORDINANCE AUTHORIZING THE MAYOR OF THE CITY OF WEST MONROE, LOUISIANA, TO EXECUTE A COOPERATIVE ENDEAVOR AGREEMENT WITH THE DEPARTMENT OF PUBLIC SAFETY AND CORRECTIONS, PUBLIC SAFETY SERVICES, OFFICE OF STATE FIRE MARSHAL DIVISION OF CODE ENFORCEMENT AND BUILDING SAFETY OF THE STATE OF LOUISIANA, RELATING TO FURNISHING PLAN REVIEW SERVICES FOR COMPLIANCE WITH THE LOUISIANA STATE UNIFORM CONSTRUCTION CODE (LSUCC), AND OTHERWISE PROVIDING WITH RESPECT THERETO.
Bids were received for emergency generators for the Black Bayou Pump Station (HMGP). They were as follows:

There was a motion by Mrs. Pearson, seconded by Mr. Bennett and unanimously carried to take the bids under advisement and to accept the lowest bid meeting the specifications.
There being no further business, there was a motion by Mrs. Pearson, seconded by Mr. Bennett and unanimously carried to adjourn.
