CALL TO ORDER
A special meeting of the Board of Commissioners, Hospital Service District No. 1 of the Parish of Ouachita, State of Louisiana was called to order at 4:30 P.M.. in The Wellness Center, 3215 Cypress Street, West Monroe, Louisiana, by Violet Liner, Chairman of the Board of Commissioners.

EXECUTIVE SESSION FOR THE PURPOSES OF STRATEGIC PLANNING, INCLUDING DISCUSSION OF THE FUTURE OPERATION AND POSSIBLE RENOVATION OF THE WELLNESS CENTER
A motion was made by Mr. Spencer, seconded by Mr. Mulhearn, and unanimously approved for the Board of Commissioners to go into executive session for the purpose of strategic planning, including discussion of the future operation and possible renovation of The Wellness Center.
All present were allowed to remain.
A motion was made by Mr. Mulhearn seconded by Mr. Spencer and unanimously approved for the Board of Commissioners to go back into regular session.
TRANSACTION OF ANY OTHER BUSINESS THAT MAY PROPERLY COME BEFORE THE MEETING
It was anticipated that another special meeting of the Hospital Service District will be called for Monday, June 18, 2007, at 4:00 p.m. at The Wellness Center.

ADVERTISEMENT FOR BIDS
SEPARATE SEALED BIDS for D’Arbonne Hills Subdivision Sewer System Rehabilitation , Ouachita Parish, Louisiana, will be received by West Ouachita Sewerage District No. 5 at the office of Lazenby & Associates, Inc., 2000 North 7th Street, West Monroe, Louisiana, until ten ( 10:00 ) o'clock A.M. The following resolution was offered by Mr. Hammack and seconded by Ms. Goodin:
Resolution No. 07-014
A resolution making application to the State Bond Commission for approval of the issuance by G.B. Cooley Hospital Service District, parish of Ouachita, State of Louisiana of not to exceed Seven Hundred Fifty Thousand Dollars ($ 750,000) aggregate principal amount of the Certificates of Indebtedness, Series 2007, in one or more series, for the purpose of acquiring, construction, renovating and equipping group homes for persons with mental retardation or related conditions; and other matters with respect thereto.
Whereas, the G.B. Cooley Hospital Service District, Parish of Ouachita, State of Louisiana (the “Issuer”) is a special district and a political subdivision of the State of Louisiana.
Whereas, the General Fund Budget for the Issuer for the fiscal year ending June 30, 2007, shows surplus moneys sufficient to meet the maximum principal and interest requirements in any future year on the Certificates of Indebtedness authorized herein; and
Whereas, LSA-RS 33:2925 of the Louisiana Revised Statutes of 1950, as amended (the “Act”), authorizes the Issuer to issue certificates of indebtedness covering its cost of public improvements, title to which will be in the public; and
Whereas, the Issuer in accordance with the Act, and in order to secure repayment of the Certificates desires to pledge and assign its excess revenues in each of the years the certificates are outstanding; and
Whereas, in order to finance its portion of the cost of the Project, the Issuer now desires to authorize the incurrence of debt and the issuance of its Certificates of Indebtedness, Series 2007 (the “Certificates”), in the manner authorized and provided for by the Act for the purpose of (i) financing it’s the cost of the Project and (ii) paying costs of the issuance of the Certificates; and
Whereas, in connection with the issuance of the Certificates, the Issuer desires to authorize the filing of an application with the Louisiana State Bond Commission (the “Commission”) and the Ouachita Parish Police Jury (the “Parish”) requesting that the Commission and the parish approve the issuance and sale of the Certificates in accordance with the Act; and
Whereas, in connection with authorizing the issuance of the Certificates, the Issuer desires to employ Bond Counsel:
Now therefore, be it resolved by the Board of Commissioners of the Issuer, acting as the governing authority of the Issuer, that:
Section 1. Preliminary Approval of Certificates. For the purpose of providing funds to finance the Project in accordance with the provisions of the Act, the Issuer intends to proceed with the issuance of the Certificates. The details of the Certificates shall be established by subsequent resolution adopted by this governing authority. The proceeds of the Certificates will be used to finance the Project and pay costs of issuance of the Certificates. The Certificates shall be limited and special obligations of the Issuer as issuer of the Certificates, secured by and payable in principal, interest and redemption premium, if any, from an irrevocable pledge and dedication of the excess of annual revenues of the Issuer above statutory, necessary and usual changes in each Fiscal Year during which the Certificates are outstanding and any other income and revenues of the Issuer as prohibited under the provisions of Article VI, Section 37 of the Louisiana Constitution of 1974, nor shall they constitute an indebtedness or pledge of the general credit of the Issuer. The Certificates shall bear interest at a rate of not to exceed six percent (6%) per annum, maturing no later than ten (10) years from the date thereof
and shall be issued under the authority previously cited herein.
Section 2. State Bond Commission Application. This governing authority hereby authorizes and directs that application be formally made to the State Bond Commission, Baton Rouge, Louisiana for final approval of the issuance of the Certificates by the Issuer within the parameters set forth above.
Section 3. Ouachita Parish Police Jury Application. This governing authority hereby authorizes and directs that application be formally made to the State Bond Commission, Baton Rouge, Louisiana for final approval of the issuance of the Certificates by the Issuer within the parameters set forth above.
Section 4. Employment of Bond Counsel. This governing authority finds and determines that a real necessity exists for the employment of special bond counsel in connection with the issuance of the Certificates. Crawford Lewis, P.L.L.C., Baton Rouge, Louisiana is hereby employed as Bond Counsel to perform comprehensive legal and coordinate professional work as Bond Counsel with respect to the issuance and sale of the Certificates. Said Bond Counsel shall prepare and submit to this governing authority for adoption of all of the proceedings incidental to the authorization, issuance, sale and delivery of such Certificates, shall counsel and advise this governing authority as to the issuance and sale thereof and shall furnish its opinion covering the legality of the issuance of the Certificates. The fee of said Bond Counsel shall be a sum not exceeding the maximum fee allowed by the Attorney General of the State of Louisiana’s fee schedule for comprehensive, legal and coordinate professional work in connection with the issuance of revenue certificates and based on the amount of the Certificates actually issued, sold, delivered and paid for, plus “out-of-pocket” expenses, said fees to be contingent upon the issuance, sale and delivery of said Certificates. A certified copy of this resolution shall be submitted to the Attorney General of the State of Louisiana for his written approval of said employment and of the fees herein designates, and the Director of Finance is hereby empowered and directed to issue vouchers to said Bond Counsel in payment for the work herein provided for upon completion of the work herein specified and under the conditions herein enumerated.
Section 5. Publication. This resolution shall be published in The Ouachita Citizen, a daily newspaper published in West Monroe, Ouachita Parish, Louisiana, and that, as provided by the Act, for a period of thirty (30) days from the date of such publication, any person in interest may contest the legality of this Resolution and the Certificates to be issued pursuant hereto and the provisions securing the Certificates. After the said thirty days, no person may have any right of action to contest the validity of the Certificates or the provisions of this Resolution, and all of the Certificates shall be conclusively presumed to be legal, and no court shall thereafter have authority to inquire into such matters.
Section 6. State Bond Commission Swap Policy. By virtue of Issuer’s application for, acceptance and utilization of the benefits of the Louisiana State Bond Commission’s approval resolved and set forth herein, it resolves that it understands and agrees that such approval is expressly conditioned upon, and it further resolves that it understands, agrees and binds itself, its successors and assigns to, full and continuing compliance with the “State Bond Commission Policy on Approval of Proposed Use of Swaps, or other forms of Derivative Products Hedges, Etc.”, adopted by the Commission on July 20, 2006, as to the borrowing and other matter subject to the approval, including subsequent application and approval under said Policy of the implementation or use of any swap or other product or enhancement covered thereby.
Section 7. Further Actions. The Governing Authority hereby authorizes and directs Bond Counsel to proceed with the preparation of all necessary and appropriate financing documents and to file preliminary drafts of said financing documents with Commission in accordance with its Rules.
The foregoing resolution having been submitted to a vote, the vote resulted as follows:

NOTICE
The Ouachita Parish School Board met in a special called meeting on Thursday, July 12, 2007 at twelve (12:00) o’clock noon at its regular meeting place, the Ouachita Parish School Board Office for the purpose of personnel appointments.
The following members were present: Jack White, Scott Robinson, A. R. Sims, Jerry R. Hicks, John Russell, Carey Walker and Lou St. Amant. There were none absent.
Jerry Hicks led the Pledge to the Flag.
Mr. “Red” Sims gave the Invocation.
On motion by Jerry Hicks, seconded by A. R. Sims, the Board unanimously approved the Minutes of June 19 & 26, 2007 as written.
On motion by A. R. Sims, seconded by Carey Walker, the Board approved the revised Agenda to include prior permission to accept the bids meeting specifications for portable classrooms. Motion carried unanimously.
Upon motion by A. R. Sims, seconded by Jerry Hicks, the Board approved the amended Personnel Agenda as presented including the changes since mailout. Motion carried unanimously.
Superintendent Webber presented a plaque to retiring Assistant Superintendent/Personnel Director, Dr. Frank Hoffmann, in honor of his 41 years of dedicated service as an educator in the Ouachita Parish School System. Dr. Webber expressed appreciation to Dr. Hoffmann with his comment, “Thanks for making a difference.”
Technology Coordinator Nancy Parks presented her comprehensive Technology Plan to the Board for consideration. Whereby, Carey Walker moved, seconded by Lou St. Amant, to adopt the Technology Plan as presented by Mrs. Parks. Motion carried unanimously.
On the recommendation of Purchasing Agent Bobby Jones, Lou St. Amant moved, seconded by Jerry Hicks, that the Board authorize President, Jack White, to execute the present lease agreement between the Department of Wildlife and Fisheries and the Ouachita Parish School Board regarding the 16th Section property at Russell Sage, extending the existing lease an additional 10 years. Motion carried unanimously.
On the recommendation of Purchasing Agent Bobby Jones, A. R. Sims moved, seconded by Lou St. Amant, to authorize the installation of the light poles donated to West Ouachita High. Mr. Jones estimated the cost for the installation of the light poles to be $40,000.00. Motion carried unanimously.
In an effort to prevent a delay in completing the repairs to the tennis courts at West Ouachita High School before school starts, Purchasing Agent Bobby Jones, recommended that the Board precede the customary protocol in accepting bids for the project and grant him prior permission to accept the low bid meeting specifications from submitted bid proposals for repairing the tennis courts at the school at an estimated cost of $13,100.00. Whereby, Mr. Sims moved, seconded by Scott Robinson, to allow Mr. Jones to accept the low bid meeting specifications for repairing the West Ouachita High School tennis courts within the budgeted amount of $13,100.00. Motion unanimously carried.
Again, Purchasing Agent Bobby Jones expressed urgency to the Board regarding prior permission to accept the low bid meeting specifications for the purchase of portable classrooms in order to expedite their construction and installation. Whereby, Mr. Sims moved, seconded by Carey Walker, that the Board grant permission to allow Mr. Jones to accept the low bid meeting specifications for up to 15 portable classroom buildings within the budgeted amount of $375,000.00 to help expedite construction and delivery setup.
On the recommendation of Business Manager Richie Garrett, A. R. Sims moved, seconded by Lou St. Amant, that the Board grant permission to bid gym ceiling repair at Pinecrest Middle School with a budgeted amount of $12,000 funded through the M&O Sales Tax Account [Bid No. 13-08]; parking lot construction at Woodlawn Elementary School with a budgeted amount of $10,000 funded through the M&O Sales Tax Account [Bid No. 14-08]; and, LA-4 materials with a budget amount of $40,000 funded through the Grant Fund Account [Bid No. 15-08]. Motion carried unanimously.
The next scheduled Board meeting will be held at 12:00 P.M. August 7, 2007.

Each bid must be in written form on the Official Bid Form in a sealed envelope marked "Proposal for the Purchase of General Obligation School Bonds, Series 2007 of the East Ouachita Parish School District of the Parish of Ouachita, State of Louisiana". For purposes of accepting written bids, the time as maintained on PARITY® shall constitute the official time.
The Bonds will be dated October 1, 2007, and will be in the denomination of Five Thousand Dollars ($5,000) each, or any integral multiple thereof within a single maturity. The Bonds will bear interest from date thereof or the most recent interest payment date to which interest has been paid or duly provided for, at a rate or rates not exceeding six per centum (6%) per annum on any Bond in any interest payment period, said interest to be payable on March 1, 2008, and semiannually thereafter on March 1 and September 1 of each year. The Bonds will be issued as fully registered bonds in “book-entry only” form and registered in the name of Cede & Co., as nominee of The Depository Trust Company, New York, New York (“DTC”). DTC will act as securities depository for the bonds, and purchasers of the Bonds will not receive certificates representing their interest in the Bonds purchased.
Those Bonds maturing March 1, 2018, and thereafter, will be callable for redemption by the Issuer in full or in part at any time on or after March 1, 2017, and if less than a full maturity, then by lot within such maturity, at the principal amount thereof and accrued interest to the date fixed for redemption. In the event a Bond is of a denomination larger than $5,000, a portion of such Bond ($5,000 or any multiple thereof) may be redeemed. Official notice of such call of any of the Bonds for redemption will be given by first class mail, postage prepaid, by notice deposited in the United States mails not less than thirty (30) days prior to the redemption date addressed to the registered owner of each bond to be redeemed at his address as shown on the registration books of the Paying Agent.
The principal of the Bonds, upon maturity or redemption, will be payable at the principal corporate trust office of the Paying Agent upon presentation and surrender thereof, and interest on the Bonds will be payable by the Paying Agent by check mailed by the Paying Agent to the registered owner (determined as of the 15th calendar day of the month next preceding said interest payment date) at the address as shown on the books of said Paying Agent. Said Paying Agent will be a qualified bank or trust company selected by the Issuer.
Except as provided under DTC’s book-entry only system, the Bonds may be transferred, registered and assigned only on the registration books of the Paying Agent, and such registration shall be at the expense of the Issuer. A Bond may be assigned by the execution of an assignment form on the Bonds or by other instruments of transfer and assignment acceptable to the Paying Agent. A new Bond or Bonds will be delivered by the Paying Agent to the last assignee (the new registered owner) in exchange for such transferred and assigned Bonds after receipt of the Bonds to be transferred in proper form. Such new Bond or Bonds must be in the denomination of $5,000 or any integral multiple thereof within a single maturity. Neither the Issuer nor the Paying Agent shall be required to issue, register, transfer or exchange (i) any Bond during a period beginning at the opening of business on the 15th day of the month next preceding an interest payment date and ending at the close of business on the interest payment date, or (ii) any Bond called for redemption prior to maturity during a period beginning at the opening of business fifteen (15) days before the date of the mailing of a notice of redemption of such Bonds and ending on the date of such redemption.
Each bid submitted, whether submitted as a sealed bid or electronically, must be for the entire issue of Bonds, and must be accompanied by a deposit (the “Deposit”) as follows: (i) a certified or cashier's check on any member of the Federal Reserve System, or (ii) a Financial Surety Bond, in the amount of One Hundred Thousand Dollars ($100,000) made payable to the Issuer as a guarantee that the bidders will comply with the terms of their bids. If a Financial Surety Bond is used, it must be from an insurance company licensed to issue such a bond in the State of Louisiana, and such Financial Surety Bond must be submitted to the Governing Authority or its Bond Counsel by 9:00 a.m., Louisiana (Central) time, on the sale day. The Financial Surety Bond must identify each bidder whose Deposit is guaranteed by such Financial Surety Bond. If the Bonds are awarded to a bidder utilizing a Financial Surety Bond, then that purchaser is required to submit its Deposit to the Issuer in the form of a wire transfer not later than 3:30 p.m., Louisiana (Central) time, on the day following the award. If such Deposit is not received by that time, the Financial Surety Bond may be drawn by the Issuer to satisfy the Deposit requirement. The Deposits of the unsuccessful bidder or bidders will be returned promptly, and the Deposit of the successful bidder or bidders will be deposited and the proceeds credited against the purchase price of the Bonds, or in the case of neglect or refusal to comply with such bid, will be forfeited to the Issuer as and for liquidated damages. No interest will be allowed on the amount of the Deposit.
Bidders shall name the rate or rates of interest the Bonds shall bear, not exceeding six per centum (6%) per annum on any Bond in any interest payment period, to be expressed in a multiple of 1/20th or 1/8th of 1% per annum. Bids must stipulate a purchase price for the Bonds of the par value thereof and accrued interest from the date of the Bonds to the date of delivery of the Bonds. No bid which specifies cancellation of the Bonds will be considered. No bids providing for additional or supplemental interest will be considered.
The Governing Authority will meet at the place and time hereinabove set forth for the receipt of bids. The Bonds will be awarded to the bidder whose bid offers the lowest "true interest cost" to the Issuer for the full authorized amount of the Bonds, to be determined by doubling the semiannual interest rate (compounded semiannually) necessary to discount the debt service payments on the Bonds from the payment dates to October 1, 2007, such that the sum of such present values is equal to the price bid, including any premium bid but not including interest accrued to the date of delivery (the preceding calculation is sometimes referred to as the "Canadian Interest Cost Method" or "Present Value Method"). In the case of a tie bid, the winning bid will be awarded by lot. If any bid for the Bonds shall be acceptable, a prompt award of the bonds will be made. The right is expressly reserved to waive any irregularity in any bid or to reject any and all bids received.
The Official Statement containing pertinent information relative to the authorization, sale and security of the Bonds is being prepared and may be obtained upon its completion from the Issuer's Bond Counsel, Foley & Judell, L.L.P., One Canal Place, Suite 2600, 365 Canal Street, New Orleans, Louisiana 70130. The Purchaser will be furnished a reasonable number of final official statements on or before the seventh business day following the sale of the Bonds.
The approving legal opinion of Foley & Judell, L.L.P., Bond Counsel, who have supervised the proceedings, the printed Bonds and the transcripts of record as passed upon will be furnished to the successful bidders without cost to them. Said transcripts will contain the usual closing proofs, including a certificate that up to the time of delivery no litigation has been filed questioning the validity of the Bonds or the respective tax revenues necessary to pay the same.
It is anticipated that the American Bankers' Association Committee on Uniform Security Identification Procedures (CUSIP) identification numbers will be printed on the Bonds, but the failure to print such numbers shall not constitute cause for refusal by the successful bidder to accept delivery of and to pay for the Bonds. No CUSIP identification number shall be deemed to be part of any Bond or a part of the contract evidenced thereby, and no liability shall hereafter attach to the Issuer or any of the officers or agents thereof because of or on account of such numbers. All expenses in relation to the printing of the CUSIP identification numbers on the Bonds shall be paid by the Issuer. However, the CUSIP Service Bureau charge for the assignment of such numbers shall be the responsibility of and shall be paid by the successful bidder.
In order to assist bidders in complying with S.E.C. Rule 15c2-12(b)(5), the Governing Authority will undertake, pursuant to the resolution providing for the issuance of the Bonds and a Continuing Disclosure Certificate, to provide annual reports and notices of certain events. A description of this undertaking is set forth in the Preliminary Official Statement and will also be set forth in the Final Official Statement.

Bid Requirements: Each bid, whether submitted as a sealed bid or electronically (i) shall be for the full principal amount of the Bonds, (ii) shall name the rate or rates of interest to be borne by the Bonds, expressed in multiples of 1/8th or 1/20th of 1%, (iii) shall prescribe one rate of interest, not to exceed six per centum (6%) per annum, for the Bonds of any one maturity, (iv) shall limit the interest due on each Bond for each interest period to a single rate, (v) shall be unconditional, (vi) shall be made on the form furnished by the Issuer, without alteration, omission or qualification , and (vii) shall be subject to the terms, conditions and restrictions set forth in the Official Statement.

Delivery of the Bonds: The Bonds will be delivered to the successful bidder upon payment in Federal Funds on the date of delivery the purchase price of the Bonds plus accrued interest. The Bonds will be delivered in New Orleans, Louisiana unless another place shall be mutually agreed upon.
Legal Opinion of Bond Counsel and Closing Documents: The approving legal opinion of Foley & Judell, L.L.P., Bond Counsel, who have supervised the proceedings, the Bonds and the transcript of record as passed upon will be furnished without cost to the successful bidder. Said transcript will contain the usual closing proofs, including a certificate that up to the time of delivery no litigation has been filed questioning the validity of the Bonds or the taxes necessary to pay the same.
CUSIP Numbers: It is anticipated that the American Bankers' Association Committee on Uniform Security Identification Procedures (CUSIP) identification numbers will be printed on the Bonds, but the failure to print such numbers shall not constitute cause for refusal by the successful bidder to accept delivery of and to pay for the Bonds. No CUSIP identification number shall be deemed to be part of any Bond or a part of the contract evidenced thereby, and no liability shall hereafter attach to the Issuer or any of the officers or agents thereof because of or on account of such numbers. All expenses in relation to the printing of the CUSIP identification numbers on the Bonds shall be paid by the Issuer. However, the CUSIP Service Bureau charge for the assignment of such numbers shall be the responsibility of and shall be paid by the successful bidder.
Continuing Disclosure: In order to assist bidders in complying with S.E.C. Rule 15c2-12(b)(5), the Issuer will undertake, pursuant to the resolution providing for the issuance of the Bonds and a Continuing Disclosure Certificate, to provide annual reports and notices of certain events. A description of this undertaking is set forth in the Preliminary Official Statement and will also be set forth in the Final Official Statement.
Additional Information, Bid Forms, and Official Statements: Further information and particulars including the required bid form and an Official Statement relating to the Bonds will be furnished upon application to the undersigned. BE IT RESOLVED by the Parish School Board of the Parish of Ouachita, State of Louisiana, acting as the governing authority of East Ouachita Parish School District of the Parish of Ouachita, State of Louisiana, that:
1. The Bonds will be initially issued in the name of Cede & Co., as nominee for The Depository Trust Company (“DTC”), as registered owner of the Bonds, and held in the custody of DTC. The Issuer and the Paying Agent acknowledge that they have executed and delivered a Letter of Representation with DTC and that the terms and provisions of said Letter of Representation shall govern in the event of any inconsistency between the provisions of this resolution and said Letter of Representation. A single certificate will be issued and delivered to DTC for each maturity of the Bonds. The Beneficial Owners will not receive physical delivery of Bond certificates except as provided herein. Beneficial Owners are expected to receive a written confirmation of their purchase providing details for the Bonds acquired. b. The Issuer determines that continuation of the system of book-entry transfer through DTC (or a successor securities depository) is not in the best interests of the Beneficial Owners.

1. DTC will act as securities depository for the bonds, and purchasers of the Bonds will not receive certificates representing their interest in the Bonds purchased.
Those Bonds maturing March 1, 2018, and thereafter, will be callable for redemption by the Issuer in full or in part at any time on or after March 1, 2017, and if less than a full maturity, then by lot within such maturity, at the principal amount thereof and accrued interest to the date fixed for redemption. In the event a Bond is of a denomination larger than $5,000, a portion of such Bond ($5,000 or any multiple thereof) may be redeemed. Official notice of such call of any of the Bonds for redemption will be given by first class mail, postage prepaid, by notice deposited in the United States mails not less than thirty (30) days prior to the redemption date addressed to the registered owner of each bond to be redeemed at his address as shown on the registration books of the Paying Agent.
The principal of the Bonds, upon maturity or redemption, will be payable at the principal corporate trust office of the Paying Agent upon presentation and surrender thereof, and interest on the Bonds will be payable by the Paying Agent by check mailed by the Paying Agent to the registered owner (determined as of the 15th calendar day of the month next preceding said interest payment date) at the address as shown on the books of said Paying Agent. Said Paying Agent will be a qualified bank or trust company selected by the Issuer.
Except as provided under DTC’s book-entry only system, the Bonds may be transferred, registered and assigned only on the registration books of the Paying Agent, and such registration shall be at the expense of the Issuer. A Bond may be assigned by the execution of an assignment form on the Bonds or by other instruments of transfer and assignment acceptable to the Paying Agent. A new Bond or Bonds will be delivered by the Paying Agent to the last assignee (the new registered owner) in exchange for such transferred and assigned Bonds after receipt of the Bonds to be transferred in proper form. Such new Bond or Bonds must be in the denomination of $5,000 or any integral multiple thereof within a single maturity. Neither the Issuer nor the Paying Agent shall be required to issue, register, transfer or exchange (i) any Bond during a period beginning at the opening of business on the 15th day of the month next preceding an interest payment date and ending at the close of business on the interest payment date, or (ii) any Bond called for redemption prior to maturity during a period beginning at the opening of business fifteen (15) days before the date of the mailing of a notice of redemption of such Bonds and ending on the date of such redemption.
Each bid submitted, whether submitted as a sealed bid or electronically, must be for the entire issue of Bonds, and must be accompanied by a deposit (the “Deposit”) as follows: (i) a certified or cashier's check on any member of the Federal Reserve System, or (ii) a Financial Surety Bond, in the amount of One Hundred Thousand Dollars ($100,000) made payable to the Issuer as a guarantee that the bidders will comply with the terms of their bids. If a Financial Surety Bond is used, it must be from an insurance company licensed to issue such a bond in the State of Louisiana, and such Financial Surety Bond must be submitted to the Governing Authority or its Bond Counsel by 9:00 a.m., Louisiana (Central) time, on the sale day. The Financial Surety Bond must identify each bidder whose Deposit is guaranteed by such Financial Surety Bond. If the Bonds are awarded to a bidder utilizing a Financial Surety Bond, then that purchaser is required to submit its Deposit to the Issuer in the form of a wire transfer not later than 3:30 p.m., Louisiana (Central) time, on the day following the award. If such Deposit is not received by that time, the Financial Surety Bond may be drawn by the Issuer to satisfy the Deposit requirement. The Deposits of the unsuccessful bidder or bidders will be returned promptly, and the Deposit of the successful bidder or bidders will be deposited and the proceeds credited against the purchase price of the Bonds, or in the case of neglect or refusal to comply with such bid, will be forfeited to the Issuer as and for liquidated damages. No interest will be allowed on the amount of the Deposit.
Bidders shall name the rate or rates of interest the Bonds shall bear, not exceeding six per centum (6%) per annum on any Bond in any interest payment period, to be expressed in a multiple of 1/20th or 1/8th of 1% per annum. Bids must stipulate a purchase price for the Bonds of the par value thereof and accrued interest from the date of the Bonds to the date of delivery of the Bonds. No bid which specifies cancellation of the Bonds will be considered. No bids providing for additional or supplemental interest will be considered.
The Governing Authority will meet at the place and time hereinabove set forth for the receipt of bids. The Bonds will be awarded to the bidder whose bid offers the lowest "true interest cost" to the Issuer for the full authorized amount of the Bonds, to be determined by doubling the semiannual interest rate (compounded semiannually) necessary to discount the debt service payments on the Bonds from the payment dates to October 1, 2007, such that the sum of such present values is equal to the price bid, including any premium bid but not including interest accrued to the date of delivery (the preceding calculation is sometimes referred to as the "Canadian Interest Cost Method" or "Present Value Method"). In the case of a tie bid, the winning bid will be awarded by lot. If any bid for the Bonds shall be acceptable, a prompt award of the bonds will be made. The right is expressly reserved to waive any irregularity in any bid or to reject any and all bids received.
The Official Statement containing pertinent information relative to the authorization, sale and security of the Bonds is being prepared and may be obtained upon its completion from the Issuer's Bond Counsel, Foley & Judell, L.L.P., One Canal Place, Suite 2600, 365 Canal Street, New Orleans, Louisiana 70130. The Purchaser will be furnished a reasonable number of final official statements on or before the seventh business day following the sale of the Bonds.
The approving legal opinion of Foley & Judell, L.L.P., Bond Counsel, who have supervised the proceedings, the printed Bonds and the transcripts of record as passed upon will be furnished to the successful bidders without cost to them. Said transcripts will contain the usual closing proofs, including a certificate that up to the time of delivery no litigation has been filed questioning the validity of the Bonds or the respective tax revenues necessary to pay the same.
It is anticipated that the American Bankers' Association Committee on Uniform Security Identification Procedures (CUSIP) identification numbers will be printed on the Bonds, but the failure to print such numbers shall not constitute cause for refusal by the successful bidder to accept delivery of and to pay for the Bonds. No CUSIP identification number shall be deemed to be part of any Bond or a part of the contract evidenced thereby, and no liability shall hereafter attach to the Issuer or any of the officers or agents thereof because of or on account of such numbers. All expenses in relation to the printing of the CUSIP identification numbers on the Bonds shall be paid by the Issuer. However, the CUSIP Service Bureau charge for the assignment of such numbers shall be the responsibility of and shall be paid by the successful bidder.
In order to assist bidders in complying with S.E.C. Rule 15c2-12(b)(5), the Governing Authority will undertake, pursuant to the resolution providing for the issuance of the Bonds and a Continuing Disclosure Certificate, to provide annual reports and notices of certain events. A description of this undertaking is set forth in the Preliminary Official Statement and will also be set forth in the Final Official Statement.

SECTION This Governing Authority will meet in open and public session at the time and place set out in the Notice of Bond Sale incorporated herein (or such other date as may be determined by the President of the Governing Authority and advertised by Munifacts Disclosure Service), for the purpose of receiving bids for the Bonds, considering and taking action upon the bids, and taking any other action required by this resolution, or necessary to effectuate the issuance, sale and delivery of the Bonds. 6. SECTION In order to assist bidders in complying with S.E.C. Rule 15c2-12(b)(5), the Governing Authority will undertake, pursuant to the resolution providing for the issuance of the Bonds and a Continuing Disclosure Certificate, to provide annual reports and notices of certain events. 7. SECTION Prior to the delivery of the Bonds, the Issuer anticipates that it may pay a portion of the costs of the project from the General Fund. The project includes specifically acquiring and/or improving lands for building sites and playgrounds; including construction of necessary sidewalks and streets adjacent thereto; purchasing, erecting and/or improving school buildings and other school related facilities within and for the District, and acquiring the necessary equipment and furnishings therefor, title to which shall be in the public. Upon the issuance of the Bonds, the Issuer reasonably expects to reimburse any such expenditures of other available funds from a portion of the proceeds of the Bonds. Any such allocation of proceeds of the Bonds for reimbursement will be with respect to capital expenditures (as defined in Reg. 1.150-1(b)) and will be made upon the delivery of the Bonds and not later than one year after the later of (i) the date such expenditure was paid or (ii) the date on which the project was placed in service. This Section is intended to be a declaration of official intent within the meaning of Reg. 1.150-2.

1. SECTION Advertisement for Sale. Legal Opinion of Bond Counsel and Closing Documents: The approving legal opinion of Foley & Judell, L.L.P., Bond Counsel, who have supervised the proceedings, the Bonds and the transcript of record as passed upon will be furnished without cost to the successful bidder. Said transcript will contain the usual closing proofs, including a certificate that up to the time of delivery no litigation has been filed questioning the validity of the Bonds or the taxes necessary to pay the same.
CUSIP Numbers: It is anticipated that the American Bankers' Association Committee on Uniform Security Identification Procedures (CUSIP) identification numbers will be printed on the Bonds, but the failure to print such numbers shall not constitute cause for refusal by the successful bidder to accept delivery of and to pay for the Bonds. No CUSIP identification number shall be deemed to be part of any Bond or a part of the contract evidenced thereby, and no liability shall hereafter attach to the Issuer or any of the officers or agents thereof because of or on account of such numbers. All expenses in relation to the printing of the CUSIP identification numbers on the Bonds shall be paid by the Issuer. However, the CUSIP Service Bureau charge for the assignment of such numbers shall be the responsibility of and shall be paid by the successful bidder.
Continuing Disclosure: In order to assist bidders in complying with S.E.C. Rule 15c2-12(b)(5), the Issuer will undertake, pursuant to the resolution providing for the issuance of the Bonds and a Continuing Disclosure Certificate, to provide annual reports and notices of certain events. A description of this undertaking is set forth in the Preliminary Official Statement and will also be set forth in the Final Official Statement.
Additional Information, Bid Forms, and Official Statements: Further information and particulars including the required bid form and an Official Statement relating to the Bonds will be furnished upon application to the undersigned. The Purchaser will be furnished a reasonable number of final official statements on or before the seventh business day following the sale of the Bonds.

5. SECTION Date and Time of Sale. The Governing Authority will meet in open and public session at the time and place set out in the published Notice of Bond Sale incorporated herein, for the purpose of receiving bids for the Bonds, considering and taking action upon the bids, and taking any other action required by this resolution, or necessary to effectuate the issuance, sale and delivery of the Bonds. If any award of the Bonds shall be made, such award shall be made for not less than par and accrued interest to the highest bidder for the Bonds, such award and highest bidder to be determined in accordance with the aforesaid Notice of Bond Sale.
6. SECTION Bid Form and Official Statement. There shall be prepared an Official Bid Form for the submission of bids and an Official Statement which shall contain complete bidding details, security features and other pertinent information relative to the sale and issuance of the Bonds as may be deemed necessary, advisable or desirable, which Official Bid Form and Official Statement shall be distributed to all prospective bidders and other interested parties.
7. SECTION State Bond Commission Approval. Application be and the same is hereby formally made to the State Bond Commission, Baton Rouge, Louisiana, for its consent and authority to issue and sell the aforesaid Bonds, and a certified copy of this resolution shall be forwarded to the State Bond Commission on behalf of the Governing Authority, together with a letter requesting the prompt consideration and approval of this application.
By virtue of applicant/issuer’s application for, acceptance and utilization of the benefits of the Louisiana State Bond Commission’s approval(s) resolved and set forth herein, it resolves that it understands and agrees that such approval(s) are expressly conditioned upon, and it further resolves that it understands, agrees and binds itself, its successors and assigns to, full and continuing compliance with the “State Bond Commission Policy on Approval of Proposed Use of Swaps, or other forms of Derivative Products Hedges, Etc.”, adopted by the Commission on July 20, 2006, as to the borrowing(s) and other matter(s) subject to the approval(s), including subsequent application and approval under said Policy of the implementation or use of any swap(s) or other product(s) or enhancement(s) covered thereby.
8. SECTION Employment. Foley & Judell, L.L.P., Bond Counsel, are hereby requested to do and perform comprehensive legal and coordinate professional work as bond counsel with respect to the issuance and sale of the Bonds. Said Bond Counsel shall prepare and submit to this Governing Authority for adoption all of the proceedings incidental to the authorization, issuance, sale and delivery of such Bonds, shall counsel and advise this Governing Authority as to the issuance and sale thereof and shall furnish its opinion covering the legality of the issuance of the Bonds. The fee of Bond Counsel shall be fixed at a sum not exceeding the maximum fee allowed by the Attorney General's fee schedule for comprehensive, legal and coordinate professional work in the issuance of revenue bonds and based on the amount of bonds actually issued, sold, delivered and paid for, plus "out-of-pocket" expenses, said fees to be contingent upon the issuance, sale and delivery of said Bonds. That pursuant to instructions from the Business Manager, said Foley & Judell, L.L.P. shall also assist in the preparation of an official statement containing detailed and comprehensive financial and statistical data with respect to the sale of the Bonds and the costs of the preparation and printing of said official statement shall be paid from the proceeds of the issue for which it has been prepared. Said official statement shall be submitted to such nationally recognized bond rating service or services as may be recommended by Bond Counsel, together with a request that an appropriate rating be assigned. Payment for all ratings shall be made by the Business Manager upon presentation of appropriate statements from the particular rating service furnishing the ratings. A certified copy of this resolution shall be submitted to the Attorney General of the State of Louisiana for his written approval of said employment and of the fees herein designated, and the Business Manager is hereby empowered and directed to issue vouchers to said Bond Counsel in payment for the work herein provided for upon completion of the work herein specified and under the conditions herein enumerated.
9. SECTION Disclosure. In order to assist bidders in complying with S.E.C. 10. SECTION Declaration of Intent. Prior to the delivery of the Bonds, the Issuer anticipates that it may pay a portion of the costs of the project from the General Fund. The project includes specifically constructing, acquiring, improving, equipping and/or furnishing schools and school related facilities in the Issuer, including, to the extent feasible, those school projects recommended by the West Ouachita Citizens Task Force and approved by the Governing Authority on August 5, 1997. Upon the issuance of the Bonds, the Issuer reasonably expects to reimburse any such expenditures of other available funds from a portion of the proceeds of the Bonds. Any such allocation of proceeds of the Bonds for reimbursement will be with respect to capital expenditures (as defined in Reg. 1.150-1(b)) and will be made upon the delivery of the Bonds and not later than one year after the later of (i) the date such expenditure was paid or (ii) the date on which the project was placed in service. This Section is intended to be a declaration of official intent within the meaning of Reg. 1.150-2.

The Bureau of Land Management, Jackson Field Office, will prepare an environmental assessment document to consider leasing federally owned mineral estate for oil and gas exploration and development.
The location of the tracts are as follows:

The analysis will be prepared by an interdisciplinary team. An issue to be addressed by the team is to identify environmental impacts and what restrictions may be necessary to avoid or mitigate identified impacts. The public is invited to participate by submitting comments on environmental issues with land use or by submitting other issues for consideration with the land use. The Ouachita Parish School Board’s proposed 2007-08 budget is available for public inspection at the Ouachita Parish School Board office, 100 Bry Street, Monroe, Louisiana, during regular business hours 8:00 a.m.-4:00 p.m. A public hearing on the proposed budget will be held at 11:00 a.m. on September 11, 2007, at the Ouachita Parish School Board meeting room.
