R.S. 47:121(5); and WHEREAS, pursuant to and in accordance with the Authorizing Legislation, the Foundation has requested that the Issuer issue not to exceed $4,500,000 aggregate principal amount of Monroe-West Monroe Convention & Visitors Bureau Revenue Bonds (Biedenharn Museum & Gardens Project), Series 2007 (the "Bonds"), the net proceeds of which will be loaned to the Foundation pursuant to the Loan Agreement and Pledge of Revenues dated as of August 1, 2007 (the "Loan Agreement"); and WHEREAS, the proceeds loaned pursuant to the Loan Agreement will be used by then Foundation in a manner consistent with the public purpose of the Issuer by providing tax-exempt financing for renovations, additions and improvements to the facilities comprising the Biedenharn Museum and Gardens located in Monroe, Ouachita Parish, Louisiana (collectively, the "Project"), a major tourist attraction within the jurisdiction of the Issuer, which facilities are open to the public and operated by the Foundation on a non-profit basis, for the benefit of the citizenry of the State of Louisiana; and (ii) to pay costs of issuing the Bonds; and WHEREAS, the Issuer adopted a preliminary resolution on May 21, 2007, expressing its intention to issue Monroe-West Monroe Convention & Visitors Bureau Revenue Bonds (Biedenharn Museum & Gardens Project), Series 2007 in an aggregate amount not to exceed Four Million Five Hundred Thousand ($4,500,000) Dollars pursuant to the Authorizing Legislation for the purpose of providing financing for the Project and engaging the firm of Breithaupt, Dunn, DuBos, Shafto & Wolleson, L.L.C. as bond counsel ("Bond Counsel"); and WHEREAS, the Authorizing Legislation authorizes the Issuer to secure its revenue bonds by a pledge of the income, revenues and receipts derived by or payable to the Issuer under the Loan Agreement, and the Issuer's obligations with respect to such Bonds shall always be limited to and payable solely from, and secured solely by a pledge of (i) payments by the Foundation under the Loan Agreement; and (ii) funds and accounts held by the Trustee under the Indenture (items (i) and (ii) comprising part of the "Trust Estate" as defined in the Indenture); and WHEREAS, the Issuer and The Bank of New York Trust Company, N.A., Baton Rouge, Louisiana (the "Trustee") will enter into an Indenture of Trust and Pledge Agreement dated as of July 1, 2007 (the "Indenture") pursuant to which the Issuer's rights, duties and obligations under the Loan Agreement (except for certain rights, including those relating to indemnification and exculpation, exercise of remedies, rights to reimbursement for certain fees and expenses and receipt of notices) will be assigned by the Issuer to the Trustee for the benefit and security of the present and future owners of the Bonds; and WHEREAS, on June 21, 2007, the Louisiana State Bond Commission authorized issuance, sale and delivery of the Bonds by the Issuer; and WHEREAS, pursuant to Section 147(f) of the Internal Revenue Code of 1986, as amended (the "Code"), a public hearing with respect to the issuance of the Bonds following reasonable public notice published in The Ouachita Citizen, the official journal of the Issuer was held on July 16, 2007; and WHEREAS, the Issuer has determined that all consents and approvals required to be given by public bodies in connection with authorization, issuance and sale of the Bonds as authorized by the Indenture and as required by the Authorizing Legislation have been or will be secured prior to delivery of the Bonds; and WHEREAS, the Issuer now desires to: (a) authorize and approve issuance and sale of the Bonds; (b) authorize execution and delivery of the following documents; (i) the Loan Agreement; (ii) the Indenture (iii) the Tax Regulatory Agreement and Arbitrage Certificate by and among the Issuer, the Foundation and the Trustee (the "Tax Agreement"), collectively with (i) and (ii) above, the "Project Documents"); (d) provide for execution of all instruments, documents and certificates in connection therewith. NOW, THEREFORE, BE IT RESOLVED, by the Board of Directors of the Monroe- West Monroe Convention & Visitors Bureau, acting as the governing authority for said Issuer, that: SECTION 1. For the purpose of providing tax-exempt financing for the Project, the Issuer hereby authorizes issuance of not to exceed $4,500,000 Monroe-West Monroe Convention & Visitors Bureau Revenue Bonds (Biedenharn Museum & Gardens Project), Series 2007 (the "Bonds"). The details of the Bonds and the other provisions of their issuance, security and payment shall be as set forth in the Indenture, said Indenture to be substantially in the form submitted at this meeting and filed with the official minutes of the Issuer, with such additions, omissions and changes as may be approved by Bond Counsel and counsel to the Issuer. The Bonds will be issued only as fully registered bonds in the denominations of $100,000 and integral multiples of $5,000 in excess thereof. The Bonds shall mature and bear interest subject to the terms and conditions of the Indenture and as set forth in the Indenture. SECTION 2. The forms and terms of the Project Documents are hereby approved substantially as submitted to the Issuer and filed with the official minutes of the Issuer, all of the provisions of which are hereby made a part of this resolution, with such additions, omissions and changes as may be approved by Bond Counsel and counsel to the Issuer. SECTION 3. The Bonds shall mature no later than twenty (20) years from their date of issuance, bear interest at a rate or rates not exceeding six percent (6%) per annum and shall be sold in a private placement transaction to the Initial Purchaser as set forth herein. SECTION 4. The Bonds are hereby awarded to J.P. Morgan Chase Bank, N.A. (the "Initial Purchaser"). SECTION 5. In connection with the purchase of the Bonds, the Initial Purcahser shall execute an Investment Letter in substantially the form of Exhibit A hereto, with such additions, omissions and changes as may be approved by Bond Counsel and counsel to the Issuer. SECTION 6. The Bonds are designated as "qualified tax-exempt obligations" within the meaning of Section 265(b)(3) of the Code. In making this designation, the Issuer finds and determines that; (a) the Bonds are "qualified 501(c)(3) bonds" within the meaning of the Code; and (b) the reasonable anticipated amount of qualified tax-exempt obligations which will be issued by the Issuer and all subordinate entities in calendar year 2007 does not exceed $10,000,000. With respect to the determination in (a) above, such determination is made in reliance on the opinion of Bond Counsel consistent with such determination as of the date of issuance of the Bonds. SECTION 7. THE BONDS SHALL NOT BE GENERAL OBLIGATIONS OF THE ISSUER BUT LIMITED AND SPECIAL OBLIGATIONS PAYABLE SOLELY FROM THE AMOUNTS PAYABLE BY THE FOUNDATION UNDER THE LOAN AGREEMENT AND OTHER AMOUNTS SPECIFICALLY PLEDGED THEREFOR UNDER THE INDENTURE, AND SHALL BE A VALID CLAIM OF THE RESPECTIVE OWNERS THEREOF ONLY AGAINST THE TRUST ESTATE, WHICH AMOUNTS ARE HEREBY PLEDGED, ASSIGNED AND OTHERWISE SECURED FOR THE EQUAL AND RATABLE PAYMENT OF THE BONDS AND SHALL BE USED FOR NO OTHER PURPOSE THAN TO PAY THE PRINCIPAL OF, PREMIUM, IF ANY, AND INTEREST ON THE BONDS, EXCEPT AS MAY BE OTHERWISE EXPRESSLY AUTHORIZED IN THIS INDENTURE. NO OWNER OF ANY BONDS HAS THE RIGHT TO COMPEL ANY EXERCISE OF TAXING POWER (IF ANY) OF THE ISSUER TO PAY THE BONDS OR THE INTEREST THEREON, AND THE BONDS DO NOT CONSTITUTE AN INDEBTEDNESS OF THE ISSUER OR A LOAN OF CREDIT THEREOF WITHIN THE MEANING OF ANY CONSTITUTIONAL OR STATUTORY PROVISIONS. The fee to be paid for such services shall be computed on an hourly rate calculated in accordance with the Attorney General's then current maximum hourly fee schedule, together with reimbursement of out-of-pocket expenses incurred and advanced in connection with the issuance of the Bonds, and shall be payable from the proceeds of the Bonds. The legal fee and reimbursement of actual out-of-pocket expenses as such special counsel shall not exceed $5,000. SECTION 11. The Chairman, Vice Chairman, Secretary-Treasurer or the Executive Director are hereby authorized, empowered and directed, for and on behalf of the Issuer, to do all things necessary, on the advice of Bond Counsel to the Issuer, to effect the sale and delivery of the Bonds and to implement this resolution, including publication hereof as required by the Act, execution of the Bond Purchase Agreement when presented in execution form, and execution of the other agreements, documents or certificates necessary to issue and delivery the Bonds. Said officers are hereby further authorized and directed to approve, which shall be evidenced by execution thereof, for and on behalf of and in the name of the Issuer, any changes, additions or deletions in any of the Project Documents or any other documents, instruments or certificates referred to in this resolution, provided that all such changes, additions or deletions, if any, shall be approved by Bond Counsel to the Issuer and consistent with and within the Issuer provided by the Act. SECTION 12. Disclosure Under SEC Rule 15c2-12.
